述 标 明 为 保 密 信 息 的 信 息 进 行 个 人 使 用 , 为 任 何 第 三 方 使 用 , 或 者 泄 露 给 任 何 第 三 方 。 代 理
商 将 采 取 一 切 合 理 措 施 保 护 保 密 信 息 。 根 据 代 理 商 的 要 求 , 公 司 需 要 说 明 任 何 特 定 信 息 或
者 材 料 是 否 保 密 。 若 本 协 议 结 束 , 代 理 商 将 不 再 使 用 或 披 露 任 何 公 司 保 密 信 息 , 且 代 理 商 不
能 使 用 公 司 保 密 信 息 自 己 生 产 或 通 过 第 三 方 生 产 任 何 保 密 信 息 相 关 设 备 、 备 件 或 者 组 装 设
备 。 该 条 款 不 适 用 非 因 代 理 商 过 错 已 经 被 公 众 知 悉 且 已 进 入 公 众 领 域 的 保 密 信 息 。
9. INDEMNIFICATION 补 偿
The Company shall be solely responsible for the design, development, supply, production and
performance of its products and the protection of its trade names and patents. The Company agrees
to indemnify, hold the Representative harmless against and pay all losses, costs, damages or
expenses, whatsoever, including counsel fees, which the Representative may sustain or incur on
account of infringement or alleged infringements of patents, trademarks or trade names resulting
from the sale of the Company's products, or arising on account of warranty claims, negligence
claims, product liability claims or similar claims by third parties. The Representative shall promptly
deliver to the Company any notices or papers served upon it in any proceeding covered by this
Indemnification Agreement, and the Company shall defend such litigation at its expense. The
Representative shall, however, have the right to participate in the defense at its own expense unless
there is a conflict of interest, in which case, the Representative shall indemnify the Company for
the expenses of such defense including counsel fees. The Company shall provide the Representative
with a certificate of insurance evidencing the Representative as an additional insured on the
Company’s product liability insurance policy. This provision shall survive and remain in full force
and effect and continue to bind the parties after the termination or nonrenewal of this Agreement.
公 司 是 将 承 担 所 有 因 其 产 品 设 计 、 研 发 、 代 理 、 生 产 和 履 行 合 同 产 生 的 相 关 法 律 责 任 并
保 护 其 商 标 和 专 利 。 公 司 将 向 代 理 商 做 出 赔 偿 , 使 代 理 商 免 受 其 其 因 销 售 公 司 产 品 产 生 或
者 可 能 产 生 的 专 利 、 商 标 或 者 商 号 侵 权 责 任 , 或 者 产 品 担 保 责 任 , 过 失 责 任 , 产 品 责 任 或 者
其 他 责 任 给 代 理 商 代 理 的 损 失 、 成 本 、 损 害 和 开 支 等 , 包 括 律 师 费 用 。 代 理 商 需 及 时 将 本
补 偿 协 议 下 任 何 ( 诉 讼 ) 程 序 的 被 送 达 的 通 知 或 者 文 件 及 时 通 知 公 司 , 公 司 将 自 行 承 担 费 用 抗
辩 。 除 非 有 利 益 冲 突 , 代 理 商 有 权 自 行 承 担 费 用 加 入 抗 辩 , 在 改 情 形 下 , 代 理 商 需 补 偿 公 司
抗 辩 费 用 , 包 括 咨 询 费 用 。 公 司 将 向 代 理 商 提 供 保 险 证 书 证 明 代 理 商 为 公 司 产 品 责 任 保 单
的 附 加 受 益 人 。 本 条 款 在 协 议 终 止 或 者 协 议 不 再 延 期 后 仍 然 继 续 有 效 , 对 协 议 各 方 仍 然 有
约 束 力 。
10. TERM AND TERMINATION 协 议 期 间 和 终 止
10.1 Term. This Agreement shall continue in full force and effect for a period
of three year from the date above. Thereafter, this Agreement shall be renewed automatically
for successive additional three-year terms under the same terms and conditions unless either
party chooses not to continue the relationship and provides written notice 180 days prior to the
