11. MISCELLANEOUS 其 他
11.1 Notices. Any notice required or permitted by this Agreement shall be in writing
and shall be sent by prepaid registered or certified mail, return receipt requested, addressed to
the other party at the address shown above or at such other address for which such party gives
notice hereunder. Such notice shall be deemed to have been given three (3) days after deposit
in the mail.

预 付 、 随 附 回 执 的 挂 号 信 件 或 者 注 册 邮 件 的 方 式 邮 寄 至 协 议 签 署 地 址 , 或 者 协 议 一 方 根 据
本 协 议 通 知 另 一 方 的 地 址 。 该 通 知 在 投 递 3 天 后 视 为 对 方 已 经 收 到 。
11.2 Assignment. The parties may not assign or transfer this Agreement or any of its
rights and obligations under this Agreement without the prior written consent of the other
party, which shall not be unreasonably withheld. This Agreement shall be binding upon and
inure to the benefit of the parties hereto and their successors and assigns including purchasers
of their assets constituting a bulk sale pursuant to the provisions of the “Uniform Commercial
Code”, as adopted by the State of New York.
11.2 转 让 未 经 协 议 另 一 方 书 面 同 意 ( 另 一 方 不 得 无 理 拒 绝 同 意 ), 任 何 一
方 均 不 得 转 让 或 者 转 移 其 本 协 议 下 部 分 或 者 全 部 权 利 或 者 义 务 。 本 协 议 将 对 协 议 各 方 及 其
继 承 人 或 者 受 让 人 , 包 括 符 纽 约 州 所 采 用 的 《 统 一 商 法 典 》 规 定 的 批 量 采 购 商 , 产 生 约 束
力 及 提 供 利 益 保 证 。
11.3 Compliance With Law. Company and Representative agree that they will
comply with all governmental laws, regulations and requirements applicable to the duties
conducted hereunder and applicable medical devices, including, without limitation, the federal
Stark law, federal false claims act, federal anti-kickback statute, federal civil monetary
penalties statute, and similar laws; and will keep accurate records of consigned inventory.
Company and Representative represent and warrant that at present and during the term
of the Agreement they and their owners, principals, employees and/or contractors (1) have not been
and will not be sanctioned within the meaning of Social Security Act Section 1128A or any
amendments thereof; (2) have not been and will not be convicted of violating the federal Stark law,
federal false claims act, federal anti-kickback statute, federal civil monetary penalties statute, or
similar state laws; (3) have not engaged and will not engage in any conduct that could give rise to
sanctions, convictions, or violations of any of the identified laws; and (4) are free to enter into this
relationship and that by doing so, are not violating and will not violate any agreement or
understanding, written or unwritten, with any third party.
The parties represent and warrant that they shall have in effect at all times during the
initial term and any renewal terms of this Agreement all licenses, permits, and authorizations from
