with respect to charges for handling, freight, taxes, C.O.D. charges, insurance, tariffs and duties,
after taking into account of cash and trade discounts, rebates, amounts allowed or credited for
returns, uncollected or uncollectible amounts and the like.
3.2 佣 金 范 围 只 要 通 过 代 理 商 网 站 发 出 订 单 且 产 品 运 输 至 销 售 区 域 的 订 单
均 计 入 佣 金 收 取 范 围 , 无 论 该 订 单 为 公 司 或 者 代 理 商 的 长 期 客 户 或 者 潜 在 客 户 。 佣 金 根 据
公 司 出 具 给 客 户 的 实 际 收 到 的 销 售 净 额 的 发 票 信 息 计 算 , 但 是 佣 金 都 不 包 括 搬 运 费 , 运
费 , 税 款 , 费 用 , 保 险 费 用 , 关 税 等 , 前 述 计 算 金 额 已 经 去 掉 现 金 及 贸 易 折 扣 , 费 用 返
还 , 允 许 扣 除 金 额 或 者 可 以 退 还 信 用 金 额 , 未 收 回 或 者 不 可 收 回 金 额 等 。
3.3 Payment. Commissions shall be paid in United States dollars and shall be
subject to all applicable governmental laws, regulations and rulings, including the withholding
of taxes.

扣 税 款 相 关 规 定 。
3.4. Time of Payment. The Representative shall remit the proceeds of the sale of
the Product to the Company at the end of each calendar month. The Commission for a given
order shall be earned by Representative when that order is placed. The Commission on a given
order shall be due and payable to the Representative at the end of each calendar month in which
the Representative ships that order.

定 , 代 理 商 即 可 获 得 相 关 订 单 佣 金 。 代 理 商 根 据 订 单 运 输 产 品 后 , 佣 金 在 发 出 运 输 当 月 到
期 并 需 支 付 给 代 理 商 。
3.5. Commission Charge-Back. Company shall have the right, while this
Agreement is in effect, to write off as bad debts such overdue customer accounts as it deems
advisable after notifying Representative and providing Representative the opportunity to
attempt to induce payment. In each such case, Company may charge back to Representative’s
account only any amounts previously paid to Representative. If such accounts are paid at any
time, Representative shall be entitled to the applicable commissions.
3.5 佣 金 扣 回 本 协 议 有 效 期 内 , 对 于 部 分 客 户 账 户 超 期 呆 账 , 公 司 经 通 知 代
理 商 并 给 予 代 理 商 合 理 时 间 收 回 后 , 公 司 有 权 摊 提 该 呆 账 。 在 此 情 形 下 , 公 司 仅 能 扣 回 其
已 经 支 付 给 代 理 商 的 金 额 。 若 客 户 后 期 支 付 该 呆 账 , 公 司 仍 需 支 付 代 理 商 该 佣 金 。
3.6. Tax Obligations. Each party hereunder is liable for its own respective tax
obligations arising from the transactions contemplated hereunder. The Representative shall
provide reasonable assistance to the Company for the latter to comply with the legal
requirements with respect to the Company’s potential and actual tax obligations toward the
local, State and Federal governments of the United States. If it is so required by the laws of
the United States, the Representative may withhold any such amount as it reasonably
determines under the professional advice of the Representative’s accountants or attorneys from
