代 理 商 接 受 该 指 定 。 为 避 免 歧 义 , 代 理 商 有 权 销 售 本 协 议 下 产 品 的 竞 争 产 品 。
2.2 Independent Contractors. The relationship of Company and Representative
established by this Agreement is that of independent contractor, and nothing contained in this
Agreement shall be construed to (i) give either party the power to direct and control the day-today
activities of the other, or (ii) constitute the parties as partners, joint venturers, co-owners or
otherwise as participants in a joint undertaking, or (iii) allow Representative to create or assume
any obligation on behalf of Company for any purpose whatsoever. All financial, legal
(including any product liabilities) and other obligations associated with the Products or the
Company’s business are the sole responsibility of the Company, and the Company shall be
responsible for, and shall indemnify and hold Representative free and harmless from, any and
all claims, damages or lawsuits (including the Representative’s attorneys’ fees) arising
therefrom, including without limitation, out of the acts of the Company, its employees or its
agents other than the Representative.
2.2 独 立 代 理 商 本 协 议 项 下 , 公 司 和 代 理 商 为 代 理 商 关 系 , 本 协 议 在 任 何 条 款
不 得 解 释 为 (1) 一 方 给 予 另 外 一 方 指 挥 和 控 制 日 常 经 营 活 动 的 的 权 力 , 或 者 (2) 将 双 方 视
为 合 伙 企 业 , 合 资 企 业 , 共 同 所 有 人 , 或 者 联 合 项 目 的 参 与 人 , 或 (3) 以 论 任 何 目 的 , 允
许 代 理 商 代 表 企 业 设 立 或 者 假 设 任 何 义 务 。 公 司 是 产 品 或 者 公 司 经 营 行 为 相 关 的 财 务 、 法
务 ( 包 括 任 何 产 品 责 任 ) 和 其 他 相 关 义 务 的 唯 一 责 任 人 , 公 司 将 承 担 , 并 赔 偿 或 者 使 代 理 商
免 于 由 公 司 行 为 、 包 括 但 不 限 于 公 司 员 工 或 者 代 理 人 ( 非 代 理 商 ) 行 为 所 导 致 的 本 协 议 项 下
的 任 何 争 议 , 损 失 , 或 者 诉 讼 ( 包 括 代 理 商 的 律 师 费 )。
3. COMMISSION 佣 金
3.1 Compensation. (a) Representative’s compensation under the terms of this
Agreement shall be a commission (“Commission”) as provided in Exhibit C Part I hereof on
the net sales of all Products ordered, delivered or sold in the Territory. (b) In the event that
the Company shall send the Product to the Representative’s facilities in China at the Company’s
cost, and the Company contracts with the Representative to ship the Product from China to the
United States, the shipping cost payable by the Company to the Representative shall be as set
forth in Exhibit C Part II hereof.
3.1 报 酬 (1) 本 协 议 项 下 , 代 理 商 的 报 酬 为 佣 金 (“ 佣 金 ”), 见 附 件 C 第 一
部 分 销 售 区 域 内 净 销 售 额 ;(2) 若 公 司 自 行 承 担 成 本 将 其 产 品 运 送 至 代 理 商 的 中 国 加 工 区 ,
公 司 和 代 理 商 合 同 约 定 由 代 理 商 将 上 述 产 品 从 中 国 到 美 国 , 运 输 费 用 由 公 司 根 据 附 件 C 第 二
部 分 约 定 支 付 给 代 理 商 。
3.2 Basis of Commission. The Commission shall apply to all orders shipped to the
Territory, so long as such orders were recorded via the website of the Representative, with
regard to whether such orders resulted from the solicitation of the buyer or potential buyer by
the Company or the Representative. Commissions shall be computed on the actually received
net sales amount invoiced by Company to the customer, provided no commission shall be paid
