4.6 收 款 双 方 明 确 同 意 , 代 理 商 负 责 收 取 所 有 销 售 款 项 ; 若 经 公 司 同 意 , 代 理
商 从 公 司 处 采 购 并 销 售 产 品 给 代 理 商 自 有 客 户 , 代 理 商 有 批 准 或 者 拒 绝 自 有 客 户 信 用 的 独
有 权 利 , 并 全 面 负 责 该 类 客 户 款 项 收 取 。
4.7 Product Availability. Company shall not be responsible to Representative or
any other party for its failure to fill accepted orders, or for its delay in filling accepted orders,
when such failure or delay is due to a cause beyond Company’s reasonable control.
4.7 产 品 责 任 若 因 超 出 公 司 合 理 可 控 制 的 原 因 , 公 司 未 能 及 时 接 受 订 单 或
者 迟 延 提 交 订 单 的 , 公 司 不 对 代 理 商 或 者 其 他 任 何 合 作 方 承 担 责 任 。
5. ADDITIONAL OBLIGATIONS OF REPRESENTATIVE 代 理 商 其 他 义 务
5.1 Promotion of the Products. Representative shall, at its own expense, promote
the sale of the Products in the Territory. Representative may hire or contract with sales
representatives or service personnel to promote the Products and perform the duties hereunder.
5.1 产 品 营 销 代 理 商 可 在 授 权 销 售 区 域 内 自 行 承 担 费 用 营 销 产 品 。 代 理 商 可
以 雇 佣 或 者 与 销 售 代 理 商 或 个 人 合 作 营 销 产 品 。
5.2 Facilities. Representative shall provide itself with, and be solely responsible
for, (i) such facilities (including storage space), employees, and business organization, and (ii)
such permits, licenses, and other forms of clearance from governmental or regulatory agencies,
if any, as it deems necessary for the conduct of its business operations in accordance with this
Agreement; provided, however, if the Company elects to have the Representative ship the
Product back to the Company, the Representative shall charge a reasonable handling fee equal
to 15% of the cost of the shipping. The Representative shall procure reasonable amount of
insurance coverage for Products stored in its warehouse.
5.2 设 备 设 施 代 理 商 自 行 承 担 本 协 议 项 下 其 认 为 合 理 的 销 售 所 需 设 备 设 施
等 :(1) 设 备 设 施 ( 包 括 仓 储 ), 雇 员 , 企 业 组 织 , 和 (2) 从 政 府 部 门 或 者 监 管 机 构
获 取 其 认 为 开 展 本 协 议 项 下 商 务 活 动 所 需 相 关 批 准 , 证 书 和 其 他 清 关 文 件 ; 公 司 要 求 代
理 商 将 产 品 运 回 公 司 , 代 理 商 将 收 取 运 输 费 用 百 分 之 十 五 的 合 理 处 理 费 用 。 代 理 商 需 为 其
仓 库 储 存 产 品 购 买 合 理 金 额 保 险 。
5.3 Customer and Sales Reporting. Representative shall, at its own expense, and
in a manner consistent with the sales policies of Company: (a) market the Products to the
customers of the Representative that has purchased other products from the Representative, or
via the website of the Representative; (b) provide adequate contact with existing and potential
customers within the Territory on a regular basis; and (c) assist Company in assessing customer
