INVESTORS<br />
We seek to provide shareholders with improving returns and the<br />
information they need to make well informed investment decisions.<br />
We run an active shareholder engagement programme involving regular<br />
roadshows and one-to-one meetings. During <strong>2007</strong>, senior executives held<br />
over 100 meetings with shareholders, representing, in aggregate,<br />
approximately 60% of the ordinary issued share capital. All financial<br />
presentations are webcast in order to ensure that they are accessible to all<br />
shareholder groups and other interested parties.<br />
Our registrars, Capita, have a facility which enables <strong>Balfour</strong> <strong>Beatty</strong><br />
shareholders to access details of their shareholding over the internet, subject<br />
to complying with an identity check.<br />

We have continued to evaluate,<br />
critically, all our governance and<br />
management systems to ensure their<br />
suitability for purpose. Policies have<br />
been renewed and, where necessary,<br />
restated. We are updating the terms<br />
of reference of the Business Practices<br />
Committee so that it can monitor,<br />
evaluate and guide our non-financial<br />
performance more effectively.<br />

For every shareholder that registers to receive shareholder communications<br />
electronically, <strong>Balfour</strong> <strong>Beatty</strong> will donate £1 to Climate Care.<br />
Climate Care is a not-for-profit organisation that funds global sustainable<br />
energy and forest restoration projects, which reduce greenhouse gases.<br />
Examples of projects are:<br />
financing renewable energy cooking stoves in schools in India;<br />
making clean, efficient stoves available to some of the poorest communities<br />
in Honduras;<br />
restoring rainforests in Uganda; and<br />
installing energy-efficient lamps in low-income households in South Africa<br />
and St Lucia.<br />
As well as cutting greenhouse gases, Climate Care's projects also help to<br />
improve people's standard of living and to protect wildlife habitats. For more<br />

We are a long-term supporter of the charity ShareGift which offers a solution<br />
to those shareholders who have small holdings of shares which are otherwise<br />
uneconomic to sell, by accepting these shares as donations, selling them<br />
when possible and using the proceeds to make donations to a wide range of<br />
other UK charities. We regularly promote this free service to shareholders.<br />
In relation to fraud prevention, we have also provided shareholders with clear<br />
guidance regarding the measures that they should take, both to protect<br />
themselves from unauthorised firms offering unsolicited "investment advice"<br />
who have targeted UK investors, and from the growing risk of identity fraud.<br />
