That in doing this they do not act in contempt or contravention of the interdict lately obtained from the Court of Session, inasmuch as they have no intention to interfere either with the political, magisterial or judicial functions of the Magistrates, Dean of Guild until that interdict shall be finally disposed of. 3. That as a deliberative body, and acknowledged as such by act of Parliament, the Guildry have a right to regulate their own proceedings; to enact by-laws for that purpose, and in general to pursue all measures which to the majority of their members, shall seem expedient. That the Dean whether he be of heir own election or the choice of the Magistrates, has right only to one deliberative vote – excepting in such cases as in a division of the Incorporation, there shall be an equality of votes, when he shall likewise have a casting vote. 4. That it is of the essence of every corporation and consequently of the Guildry that the power of convening meetings and of adjourning them from time to time should be properly regulated; and in this view it is necessary that such regulations be now enacted by the Guildry. The Second third and fourth resolutions were carried by the same votes as the first and opposed by the same votes as the first. 5. That the Dean of Guild shall at all times be intitled to call a meeting of the Corporation; and upon written requisition from any six or more of the individual members, he shall be bound to do so; And Farther in case of his refusal, it shall be in the power of the members signing the requisition to Convene the meeting themselves, either by direct advertisement, bearing their own names, or thro’ the medium of the Clerk to the Corporation. Mr James Smith Senior a member of the Toun Council, having proposed an amendment vizt: That the words “twenty” should be adopted in place of “six” – and Mr David Martin also a Toun Councillor having signified his approval of the amendment the resolution as amended was put and carried in the same manner as the preceding resolutions; with this exception that the said James Smith, David Martin and David Cobb also voted for the resolutions. 6 th That besides these occasional meetings there shall be four stated meetings called on the second Monday of January, April, July and October, each year; and of these the Clerk of the Corporation shall be bound without authority from the dean to give regular notice by previous public advertisement. 7. That no meeting of the Guildry shall be dissolved but by the vote of its members; nor shall the dean by himself have any right to dismiss a meeting. But a majority of the members 14
present shall, at all times, be intitled to dismiss or to adjourn, or so appoint farther meetings as they shall judge to be necessary. 8. That until the result of the question now under dependence be ascertained, the Magistrates Dean shall preside at all meetings of the Corporation; but in case of his absence or refusal to attend, or of his leaving the chair before the business of the day be regularly brought to a close, the proceedings of the meeting shall in no wise be affected; but the members present shall be entitled to choose one of their number as chairman. 9. That the Guildry tho’ at present, as the conceive illegally deprived of their funds are entitled to incur obligations affecting the same, and so far as they can exercise this power without interfering with the question of interdict under dependence, they are determined to do so. 10. That the Guildry cannot acknowledge the Magistrates and Toun Council as assessors to the Guild; but as they are at present interdicted from interfering with them, they shall not, in the meantime dispute their powers of acting in the same manner as they have latterly been accustomed to act. But as from the present revival of the Guildrys meetings as a Corporation, there must now be many proceedings not within the sphere of these Magistrates Assessors usual routine, the Guildry conceive, that with regard to all these, they are entitled to have a Committee of their own choice; and they do accordingly nominate as a Committee the following persons vizt: Patrick Anderson Esq D. Mr David Jobson Mr William Roberts Mr John Croom Mr David Miln Mr John Sturrock Mr Dad Blair Jun Mr Thomas Mitchell Mr William Bisset Mr Henry Blyth Mr John Peter Mr Thomas Ivory Mr Henry Bell Mr William Ellet Mr Archd Crichton Mr James Keiller Mr Thomas Watt Mr Andw Garland Mr John Watt Mr James Duncan Jun Mr James Soot Mr William Lindsay Mr Edward Baxter Deacon of Maltmen Mr James Saunders Clerk & Convener Robert Jobson Esq Preses in absence of the Dean of Guild Seven of the Committee to create a quorum. 11 th That the Guildry being determined to follow for the proceedings against the Magistrates for the purpose of finally securing a full restoration of all their privileges do hereby again sanction the prosecution lately raised by them under Mr Robert Jobson the Dean of their own election, and empower the above named Committee to pursue it to an issue. And they do also not only authorise the same committee, but entreat of them to use every exertion in their power for the complete attainment of the Guildrys rights and franchise, in every advisable way; And farther for defraying the expence of all such proceedings, they hereby declare the proper funds of the Corporation to be liable; but that only in so far a such a declaration may not be inconsistent with the question of interdict now in dependence, and in so far as the Guildry may hereafter be found entitled to regain possession of these funds. 15
