THE PROPERTY MANAGER L.C.P. Management Limited L.C.P. Management Limited was incorporated in England and Wales on 20 November 1987 (registered number 2196600) as a private company with limited liability under the Companies Act 1985. The registered office of L.C.P. Management Limited is at L.C.P. House, The Pensnett Estate, Kingswinford, West Midlands DY6 7NA (telephone +44 (0) 1384 400 123). L.C.P. Management Limited will be appointed as Property Manager pursuant to the terms of the Property Management Agreements (as to which see the section entitled ‘‘Summary of Principal Documents – The Property Management Agreements’’ above). Principal Activity The Property Manager provides property management services in relation to the Secured Properties including, inter alia, monitoring and inspecting the Secured Properties to ensure they are in good repair, negotiating the operation of any rent review under any lease, conducting negotiations with any Occupational Tenants including surrenders of leases, the granting of new tenancies and renewals of existing tenancies, collection of rental income and other monies due under the Occupational Leases, including, without limitation, any taxes, insurance proceeds and service charges. Appointment as Property Manager The Property Manager will be appointed by <strong>LCP</strong> Real Estate on or around the Closing Date and by <strong>Proudreed</strong> Real Estate on or around the Closing Date, in each case pursuant to a Property Management Agreement between the Property Manager and the relevant Borrower, to be the property manager of the relevant Borrower with full power and authority to act as property manager of the relevant Borrower and exercise all the powers expressed to be granted to the Property Manager pursuant to the relevant Property Management Agreement. Share Capital As at 19 October 2005, the Property Manager had an authorised share capital of £100 comprising 100 ordinary shares of £1.00 each of which 100 shares have been issued. 134
