The supervisory Boord opproved two moior ocquisitions by PolyGrom during the yeor,The ocquisition of lslond Records in<br />
July 1989 ond thot of A&M Records, effective jonuory 1, 1990 , were moior ochievemenls in PolyGrom's history'<br />
During the yeor, we decided to divide PolyGrom's equity into smoller units, wilh q lwo-for-one shore split resulting in on<br />
issued shore copitol of 160 million shores of NLG 0.50 por volue. After consulring with PolyGrom's Boord of Monogemenl, the<br />
Supervisory Boord decided to seek shoreholder opprovol for on iniliol public offering of PolyGrom shores. NV' Philips'<br />
Gloeilompenfobrieken. Polycrom's principol shoreholder, ogreed to flool 25 million PolyGrom shores in on initiol public<br />
offering, with the shores to be listed on the Amsterdom ond NewYork stock exchonges.The supervisory Boord then decided,<br />
ot polyGrom's request ond with the opprovol of NV. Philips' Gloeilompenfobrieken, to issue on odditionol 10 million<br />
PolyGrom shqres in the some public offering.<br />

shoreholders for iust over 20% of its increqsed equity of 170 million shores'<br />
