1. BUILDING CORPORATION ARTICLES OF INCORPORATION*<br />

(Federal Taxpayer Identification Number: 48-6111335)<br />

We, the undersigned, incorporators, do hereby voluntarily associate ourselves together to form and<br />

establish a corporation NOT for pr<strong>of</strong>it, under the laws <strong>of</strong> the <strong>State</strong> <strong>of</strong> <strong>Kansas</strong>.<br />

NAME. The name <strong>of</strong> the Corporation is Delta Theta Chapter <strong>of</strong> Alpha Tau Omega Building<br />

Corporation.<br />

REGISTERED OFFICE. The location <strong>of</strong> its registered <strong>of</strong>fice in <strong>Kansas</strong> is 1632 McCain Lane,<br />

Manhattan, <strong>Kansas</strong> 66502.<br />

REGISTERED AGENT. The name and address <strong>of</strong> its resident agent in <strong>Kansas</strong> is Delta Theta <strong>of</strong> Alpha<br />

Tau Omega, 1632 McCain Lane, Manhattan, <strong>Kansas</strong> 66502.<br />

PURPOSE. This Corporation is organized NOT for pr<strong>of</strong>it and the general purpose for which it is created<br />

shall be to acquire, erect, maintain, operate, and/or lease, a fraternity chapter house in the vicinity <strong>of</strong><br />

<strong>Kansas</strong> <strong>State</strong> <strong>University</strong> at Manhattan, <strong>Kansas</strong>.<br />

POWERS. This Corporation shall have power in furtherance <strong>of</strong> its corporate purposes:<br />

(e)<br />

To acquire by gift, bequest, devise, purchase or exchange property <strong>of</strong> any kind or character.<br />

To hold, manage, conserve, lease, rent, sell, mortgage, encumber, expend, convey, exchange,<br />

invest or reinvest any property or funds which it may acquire, and to exercise with respect to any<br />

such property or funds any power with respect to the business management there<strong>of</strong> which any<br />

individual could exercise if such individual owned such property or funds in fee simple.<br />

To employ and compensate all necessary agents, attorneys and employees and to delegate to them<br />

such duties, powers and responsibilities as may be deemed appropriate.<br />

To exercise each and every power which any private corporation chartered under the laws <strong>of</strong><br />

<strong>Kansas</strong> might exercise, and which is not inconsistent with provisions <strong>of</strong> these Articles <strong>of</strong><br />

Incorporation, or the purpose for which this Corporation is formed.<br />

To adopt and amend, from time to time, By-Laws (not inconsistent with these Articles <strong>of</strong><br />

Incorporation) to govern the management and conduct <strong>of</strong> this Corporation and its affairs, the<br />

selection <strong>of</strong> its <strong>of</strong>ficers, their terms <strong>of</strong> <strong>of</strong>fice, and their duties and powers.<br />

To do and perform all other acts needful or appropriate in carrying out the purpose for which this<br />

Corporation was formed.<br />

6th.<br />

TERM OF EXISTENCE. The term for which this Corporation is to exist is one hundred (100) years, but<br />

by action <strong>of</strong> its Board <strong>of</strong> Directors this term may be extended or renewed as <strong>of</strong>ten and for such additional<br />

periods as at the time <strong>of</strong> the action may be lawful.<br />
