Appendix B: <strong>Heathrow</strong> <strong>Airport</strong> Limited Licence (April 2013 draft)<br />

Change to contractual ring fence<br />

10. The Licensee shall not amend, vary, supplement or modify or concur<br />

in <strong>the</strong> amendment, variation, supplementation or modification of any of<br />

<strong>the</strong> finance documents in respect of credit rating requirements<br />

(whe<strong>the</strong>r in each case in <strong>the</strong> form of a written instrument, agreement<br />

or document or o<strong>the</strong>rwise) (a “Variation”) unless it has given prior<br />

written notice <strong>the</strong>reof to <strong>the</strong> <strong>CAA</strong>. The Licensee shall, as soon as<br />

reasonably practicable:<br />

a) notify <strong>the</strong> <strong>CAA</strong> of <strong>the</strong> possibility of any such Variation; and<br />

b) provide a summary of <strong>the</strong> executed change.<br />

11. The provisions of this Condition shall not apply to any administrative<br />

or procedural Variation.<br />

Definition<br />

12. In this Condition 8 <strong>the</strong> Covenantor means a company or o<strong>the</strong>r person<br />

which is at any time an ultimate holding company of <strong>the</strong> Licensee.<br />

Condition 9: Continuity of service plan<br />

1. The purpose of <strong>the</strong> continuity of service plan shall be to describe in<br />

detail <strong>the</strong> legal, regulatory, operational and financial information that<br />

an administrator, receiver, new management or similar could<br />

reasonably be expected to require in order for it to efficiently carry out<br />

its functions and to remain compliant with its aerodrome licence.<br />

2. The Licensee shall prepare and at all times maintain a continuity of<br />

service plan fulfilling <strong>the</strong> requirements of Condition [9.]1.<br />

3. The continuity of service plan prepared under Condition [9.] 2 shall be<br />

submitted to <strong>the</strong> <strong>CAA</strong> as follows:<br />

a) <strong>the</strong> first continuity of service plan shall be submitted as soon<br />

as practicable, and in any event not later than [1 October<br />

2014];<br />

b) subsequent continuity of service plans within [ ] business days<br />

of <strong>the</strong> <strong>CAA</strong>'s written request.<br />

4. The form, scope and level of detail of <strong>the</strong> plan referred to in this<br />

Condition shall be approved by <strong>the</strong> <strong>CAA</strong>, (such approval not to be<br />

unreasonably withheld or delayed).<br />
