12.4 Role of Directors
The Board of Directors is responsible for the overall management of the
Manager and the Fund. The Board not only ensures corporate governance
is practised but policies and guidelines are adhered to. The Board meets
once every quarter of the year to discuss and decide on business strategies,
operational priorities and ways of managing risk within the Manager.
12.5 Board of Directors of the Manager
Yap Suat Yen (Chief Executive Officer/Executive Director) was appointed
Chief Executive Officer in 2009. Ms Yap has over 20 years of experience
in the financial services industry, mainly in the life insurance sector. She
joined Manulife Insurance (Malaysia) Berhad (now known as Manulife
Holdings Berhad) in 2006 as Head of Bancassurance and was responsible in
successfully driving the growth and business expansion through the various
local and foreign partner banks. She is responsible for setting the vision,
mission and overall business strategies of the Manager.
Prior to joining Manulife Holdings Berhad, she was attached with a leading
foreign insurance company, where she headed the profit centre, and to her
credit, successfully developed a strong business proposition with partner
banks, multinational companies, brokers as well as the foreign insurance
company’s agency force.
Tan Sri Dato’ Mohd Sheriff Bin Mohd Kassim (Independent Director)
was appointed to the Board on 26 May 2008. He holds a BA (Honours)
Economics degree from University Malaya and a Diploma in Economic
Development from Oxford University, United Kingdom. He also holds a MA
Economics from Vanderbilt University, United States of America.
Tan Sri Dato’ was the Managing Director of Khazanah Nasional Berhad and
past Director of United Engineers (Malaysia) Berhad and former Chairman
of UEM Land Sdn Bhd (formerly known as Renong Berhad). Prior to joining
Khazanah Nasional Berhad as the Managing Director in 1994, he served as
the Secretary General of Treasury, Ministry of Finance for 3 years.
Tan Sri Dato’ sits on the Boards of Manulife Holdings Berhad (formerly
known as Manulife Insurance (Malaysia) Berhad), Manulife Insurance
Berhad and the Investment Manager as Independent Non-Executive
Chairman. He is also the Non-Independent Non-Executive Chairman of
PLUS Expressways Berhad, Chairman of the Malaysian Institute of Economic
Research, President of the Malaysian Economic Association. He further
