The Trustee
The Trustee (or any person connected to the Trustee) may have an existing or
proposed related party transaction involving or in connection with the Fund under
the following circumstances:
(a) where the Fund invests in instrument(s) offered by the HSBC Group (e.g.
placement of monies, structured products, etc);
(b) where the Fund is being distributed by the HSBC Group as IUTA;
(c) where the assets of the Fund are being custodised by the HSBC Group both as
sub-custodian and global custodian of the Fund (i.e. Trustee’s delegate); and
(d) where the Fund obtains financing as permitted under the Guidelines, from the
HSBC Group.
To the best of the Trustee’s knowledge, none of the Trustee’s key personnel (or any
person connected to them) have entered into (or are planning to enter into) any
transaction involving, or in connection with, the Fund.
The Trustee has in place policies and procedures to deal with any conflict of interest
situations. The Trustee will not make improper use of its position as the owner of
the Fund’s assets to gain, directly or indirectly, any advantage or cause detriment to
the interests of Unit Holders. Any related party transaction is to be made on terms
which are best available to the Fund and which are not less favourable to the Fund
than an arm’s length transaction between independent parties.
16. STATEMENT OF CONSENT
The Trustee, the Manager’s delegate (fund valuation function), the Investment
Manager, the Auditors, the Banker and the Solicitors have given their consent to the
inclusion of their names in the form and context in which such names appear in this
Prospectus and have not withdrawn such consent prior to the lodgement of a copy
of this Prospectus for registration.
The Tax Adviser has given their consent to the inclusion of their names and the Tax
Adviser’s letter on Taxation of the Fund and Unit Holders in the form and context in
which it appears in this Prospectus and has not withdrawn such consent prior to the
lodgement of a copy of this Prospectus for registration.
