Forward looking statements
Certain statements contained in this document, as well as in written and oral statements that the
Company, its Directors and/or its management make from time to time in reports, filings, news
releases, conferences, teleconferences, web postings or otherwise, are or may constitute ‘‘forward
looking statements’’. Forward looking statements include, but are not limited to, statements
concerning the Company’s plans, expectations, projections, objectives, targets, goals, strategies, future
events, future revenues or performance, capital expenditure, financing needs, plans or intentions
relating to acquisitions, competitive strengths and weaknesses, plans or goals relating to financial
position and future operations and development, business strategy and trends the Company
anticipates in the industry and the political and legal environment in which it operates and other
information that is not historical information.
Words such as ‘‘believe’’, ‘‘anticipate’’, ‘‘estimate’’, ‘‘target’’, ‘‘potential’’, ‘‘expect’’, ‘‘intend’’,
‘‘predict’’, ‘‘project’’, ‘‘could’’, ‘‘should’’, ‘‘may’’, ‘‘will’’, ‘‘plan’’, ‘‘aim’’, ‘‘seek’’ and similar
expressions are intended to identify forward looking statements but are not the exhaustive means of
identifying such statements.
Such forward looking statements involve inherent risks, uncertainties and other factors which may
cause the actual results, achievements or performance of the Group, or the industry in which the
Group operates, to be materially different from any future results, achievements, predictions, forecasts
or performance expressed or implied by such forward looking statements. Investors should be aware
that a number of important factors could cause actual results to differ materially from the plans,
objectives, expectations, estimates and intentions expressed in such forward looking statements.
Accordingly, investors should not place undue reliance on forward looking statements and, when
looking at forward looking statements, should carefully consider the foregoing factors and other
uncertainties and events, especially in light of the political, economic, social and legal environment in
which the Group operates. Please refer to the section entitled ‘‘Risk Factors’’ for further confirmation
in this regard.
any updates or revisions to any forward looking statements contained herein to reflect any change in
the Company’s expectations with regard thereto or any change in events, conditions or circumstances
on which any such statement is based.
Investors should note that the contents of these paragraphs relating to forward looking statements do
not qualify the statement made as to sufficiency of working capital in paragraph 11 of Part XI of this
Prospectus.
Mineral Resource and Ore Reserve reporting
Gerry Fahey and Matthew Stevens, both of CSA Global, and Dennis Bergen, of Roscoe Postle, have
reviewed the Mineral Resources and Ore Reserves statements compiled by the Company and have
stated the Mineral Resources and Ore Reserves as set out in the Mineral Experts’ Report (‘‘MER’’)
relating to Inata, Souma, and Koulékoun included in Part XII ‘‘Mineral Experts’ Report’’ to be in
compliance with the Prospectus Rules and the ESMA recommendations.
The MER has been prepared for Avocet Mining by Competent Persons in accordance with the JORC
reporting standards of disclosure for mineral projects. The JORC Code is binding upon Members of
the Australian Institute of Geoscientists, the Australasian Institute of Mining and Metallurgy and
Recognised Overseas Professional Organisations.
The Mineral Resources and Ore Reserves reported herein have been classified and reported in
accordance with the JORC Code. The Inferred Mineral Resources of Avocet Mining are considered
material to the MER and are required for the purpose of making a reasoned and balanced judgement
regarding the exploration results, Mineral Resources, and Ore Reserves being reported. The Mineral
Resources that are not Ore Reserves do not demonstrate economic viability.
Avocet Mining has interests in several other exploration projects in Burkina Faso, Guinea, and Mali
that are not described in the MER, as they do not contain Mineral Resources reportable under the
JORC Code.
