AGREEMENT<br />
<strong>FOR</strong><br />
PROPERTY AND CASUALTY INSURANCE BROKERAGE AND RELATED SERVICES<br />
This is an Agreement between the <strong>Indianapolis</strong> <strong>Airport</strong> Authority (“Authority”) and ___________________<br />
(“Contractor”), referred to hereinafter as “Party” or collectively as “Parties.”<br />

Authority seeks the assistance of a company to perform property and casualty insurance<br />
brokerage and related services; and<br />
Contractor possesses independent qualifications and abilities to perform such efforts; and<br />
Contractor is willing to provide such services in accordance with the terms and<br />
conditions set forth herein.<br />
Now, therefore, the above named Parties enter into this Agreement upon the following terms and<br />
conditions:<br />
I. Scope of Work<br />
Contractor shall report to, and act under the direction of, Authority’s Health, Safety & Claims Manager,<br />
or her/his designee, in providing the services which are more particularly described in Exhibit A – Scope<br />
of Work attached hereto and made a part hereof.<br />
II.<br />
Consideration<br />
For all services rendered under this Agreement, the Authority agrees to pay the Contractor an amount<br />
not to exceed $__________________, in accordance with Exhibit B – Compensation attached hereto and<br />
made a part hereof. Contractor will be paid only after Authority has received and reviewed Contractor’s<br />
itemized and detailed invoice for services rendered. All payments made to Contractor shall be net thirty<br />
(30) days.<br />

Term<br />
This Agreement shall commence on ________________ and shall expire on _______________ (“Term”).<br />
IV.<br />
Option to Renew<br />
Prior to the expiration of the Term or any renewal term, the Authority may elect to extend this<br />
Agreement, in whole or in part, for a period of one (1) year. Any such renewal shall be subject to the<br />
same terms and conditions set forth in this Agreement. In no event shall any Renewal Term exceed the<br />
Term of the original agreement. The cumulative term of the Agreement, including any renewals, shall<br />
not exceed four (4) years.<br />
V. Access to Records<br />
Contractor, and its subcontractors, if any, must provide the Authority, its auditors or its duly authorized<br />
representatives, with access to all books, documents, papers, and accounting records and other evidence<br />
