TERMS & CONDITIONS<br />

Order Acceptance:<br />

All orders are subject to approval at our headquarters in Elk Grove, Illinois. Order by<br />

phone, fax, and mail or via our web site at www.<strong>suzo</strong><strong>happ</strong>.com<br />

Payment Terms:<br />

Our terms are C.O.D., Visa, MasterCard, American Express or Net 30 days with<br />

approved credit.<br />

When sending money in advance of shipping, please include payment for shipping<br />

charges and your state sales tax, applicable in AL, AZ, CA, CO, FL, GA, IA, IL, IN, KS,<br />

KY, LA, MD, MI, MN, MS, NC, ND, NE, NJ, NM, NV, NY, OH, OK, PA, SC, SD, TN, TX,<br />

VA, WA, WI.<br />

All Prices are F.O.B. our dock unless otherwise specified.<br />

Wire Transfer Information:<br />

Return Policy:<br />

All returns must be authorized by the Suzo-Happ Customer Service Department -<br />

call, e-mail, write, or fax for an authorization to return product (RMA).<br />

All claims for shortage, damage, etc. must be made within ten business days from<br />

receipt.<br />

Returns without a visible RMA number on the label will not be accepted, or subject<br />

to a $10.00 handling / processing fee.<br />

All returns are subject to a 25% restocking fee.<br />

Return authorizations expire 30 days from the date issued.<br />

Any product can be returned for inspection, however, credits are typically issued for<br />

goods purchased within 30 Days and returned in “like new” condition or<br />

manufacturer warranty repairs within 90 Days from date of sale.<br />

Product received that does not meet the proper criteria for credit will be returned<br />

back to the customer. A Customer Service Representative will call the customer to<br />

discuss product return options. All shipping costs are the responsibility of the<br />

customer.<br />

IMPORTANT: Certain product purchased from Suzo-Happ is identifiable with a Serial<br />

Number. This number is used for product warranty and specific identification<br />

purposes. If the product being returned has a serial number it must be provided to<br />

the Customer Service Representative when requesting the RMA.<br />

Damaged Shipments And Shortages:<br />

All claims for shortage, damage, etc. must be made within ten business days.<br />

Prices:<br />

Prices are not listed in our catalog. Current prices can be found on our web site at<br />

www.<strong>suzo</strong><strong>happ</strong>.com or consult your Suzo-Happ sales representative.<br />

Typographical Errors:<br />

Suzo-Happ Group reserves the right to correct typographical errors, including errors<br />

on our website, and in our catalogs or other materials. If a product is listed with an<br />

incorrect information due to typographical error, Suzo-Happ Group has the right to<br />

refuse or cancel any orders placed based upon the incorrect information.<br />

Suzo-Happ reserves the right to improve our products without prior notice.<br />

All logos and trade names within our catalogs and on our web site are respective<br />

trademarks of their corporations.<br />

Patents, Trademarks And Copyrights<br />

Suzo-Happ products are protected by United States and Foreign Patents (granted<br />

and pending). Suzo-Happ maintains an aggressive policy against infringement of<br />

patents, copyrights or trademarks.<br />

Unavoidable Delays and Acts of God:<br />

We make every effort to ensure your order is shipped complete and on-time.<br />

Delivery time can be affected by circumstances beyond our control, such as a raw<br />

material shortage or a dock strike. Some of our suppliers close down for 2 or 4<br />

weeks in the summer. We make every effort to maintain adequate inventories in our<br />

distribution centers to allow for the unexpected. However, shortages of raw<br />

materials or surges in demand may deplete our stock. In such cases, we will<br />

continue to give you the best possible service. We cannot be liable for delays<br />

resulting from Acts of God or any other circumstances beyond our control.<br />

Privacy Policy:<br />

Your privacy as a Suzo-Happ customer is important to us. You can view our on-line<br />

Custom Pushbutton Legends:<br />

Minimum Order Policy:<br />

There is a minimum order of 100 pieces per legend.<br />

Artwork Charges:<br />

$35.00 Artwork Fee for 1st Legend – Single Color<br />

$30.00 Artwork Fee for 2nd Legend – Single Color<br />

$65.00 Artwork Fee for Each Multi-color Legend<br />

Limited Warranty<br />

Suzo-Happ warrants that the product will be free from defects in material and workmanship for a<br />

period of ninety (90) days from the date of delivery of the product subject to the following conditions:<br />

(i) the limited warranty does not cover any defect in the product arising from any drawing, design or<br />

specification supplied by the customer, (ii) the limited warranty does not cover any defect arising from<br />

normal wear and tear, willful damage, negligence, abnormal working conditions, failure to follow<br />

Suzo-Happ’s instructions (whether oral or in writing), misuse, alteration or maintenance, service or<br />

repair of the product without Suzo-Happ’s approval, (iii) the limited warranty does not cover parts,<br />

materials or equipment not manufactured by Suzo-Happ, in which case, the customer shall only be<br />

entitled to the benefit of any warranty or guarantee given by the manufacturer of such part, material<br />

or equipment to Suzo-Happ, (iv) the limited warranty is only available to the first purchaser of the<br />

product and (v) the customer must have paid the price for the product by the due date set forth in the<br />

order. Suzo-Happ shall determine, in its sole and absolute discretion, whether any defect, damage or<br />

other problem is subject to the limited warranty set forth in the first sentence of this paragraph.<br />

In the event any defect, damage or other problem is subject to the limited warranty set forth in the<br />

first sentence of this paragraph, Suzo-Happ shall (a) determine, in its sole and absolute discretion,<br />

whether Suzo-Happ shall repair or replace the product or refund the customer for the price of the<br />

product and (b) fully reimburse the customer for all reasonable and documented shipping charges and<br />

expenses incurred by the customer to ship the product for warranty services.<br />

EXCEPT AS SET FORTH HEREIN, SUZO-HAPP HAS NOT MADE AND DOES NOT MAKE ANY<br />

REPRESENTATION OR WARRANTY OF ANY NATURE WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING,<br />

BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR<br />

PURPOSE AND ANY STATEMENTS OR REPRESENTATIONS MADE BY ANY OTHER PERSON TO THE<br />

CONTRARY ARE NULL AND VOID.<br />

UNLESS OTHERWISE PROVIDED BY APPLICABLE LAW, SUZO-HAPP’S LIABILITY AND OBLIGATION, IF<br />

ANY, FOR ANY DEFECTIVE PRODUCT SHALL BE LIMITED TO REPAIR AND REPLACEMENT OF THE<br />

PRODUCT OR A REFUND FOR THE PRICE OF THE PRODUCT, AT SUZO-HAPP’S OPTION, AND<br />

SUZO-HAPP SHALL NOT BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL,<br />

CONSEQUENTIAL, SPECIAL OR OTHERWISE (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR<br />

INCONVENIENCE OR LOSS OF USE, REVENUE, PROFITS OR SALES) BECAUSE OF PRODUCT DEFECTS,<br />

OR ANY DUTY TO DEFEND, BY REASON OF ANY DEFECTS IN THE PRODUCTS.<br />

Handling Fee:<br />

All orders will be charged a $5.75 handling fee plus appropriate shipping charges<br />

and necessary taxes.<br />
