PASSED ON THE 28TH DAY OF SEPTEMBER, 1993
At an Extraordinary General Meeting of the Company held at Rose Room, 3rd Floor, Hotel
Victoria,200 Connaught Road Central, Hong Kong on 28th September, 1993 at 10:10 a.m., the
following resolutions were passed as Special Resolutions:-
As Special Resolutions
l. THAT the third Clause of the Memorandum of Association of the Company be amended
by adding the clauses set out below as new sub-clauses (a) and (b) respectively and the
existing sub-clauses (m) and (t) be deleted in their entirety and that the existing sub-clauses
(a) to (l) and (n) to (s) be renumbered as (c) to (n) and (o) to (t) respectively:-
"(a) (i)
To purchase for investment or resale, and to traffic in land and house and other
propefy of any tenure and any interest therein, and to create, sell and deal in
freehold and leasehold ground rents, and to make advances upon the security of
land or house or other property or any interest therein, and generally to deal in
traffic by way of sale, lease, exchange, or otherwise with land and house property
and any other property whether real or personal, in Hong Kong or any other parts
of the world.
