In line with the new business organisation, in order to make business management as efficient as possible,the Strategic Management Council was established at the beginning of 2012. It is a multifunctional body thatdiscusses vital strategic and operational corporate issues and whose members are responsible for businessand distribution units, central functions and corporate support functions.Furthermore, in relation to its former composition, the Management Board of Atlantic Grupa was reduced tofour members and since the beginning of 2012 operates in the following composition:President of the Management BoardEmil TedeschiSenior Group Vice President forBusiness OperationsMladen VeberGroup Vice President forCorporate AffairsNeven VrankovićGroup Vice President for FinanceZoran StankovićTHE GENERAL ASSEMBLY OF ATLANTIC GRUPAThe General Assembly is a body in which shareholders accomplish their rights in Company matters.In 2012, two sessions of the General Assembly of Atlantic Grupa were held: the first on 16 February 2012 todecide on the selection of a new member of the Supervisory Board, and the second on 20 June 2012 as aregular General Assembly convened once a year in order to decide on issues prescribed by law and theCompany’s Articles of Association. The decisions of the General Assembly are available on web pages ofAtlantic Grupa and the Zagreb Stock Exchange.THE SUPERVISORY BOARD OF ATLANTIC GRUPAThe joint stock company Atlantic Grupa has a Supervisory Board consisting of seven members. In 2012, theSupervisory Board held four meetings in accordance with the previously announced Schedule posted on theCompany’s and the Zagreb Stock Exchange’s web pages.8
