5.1.7 Parliamentary Procedure. Upon request, the parliamentary procedure of the <strong>Conference</strong> shall be governed byRobert’s Rules of Order, Newly Revised.5.1.8 Order of Business. The usual order of business at regular annual meetings of the <strong>Conference</strong> shall be determined bythe President in consultation with the Commissioner.5.1.9 Nature of all Meetings. All meetings of the <strong>Conference</strong> shall be transacted in executive session.[Article 5.1 -- Revised/Clarified/Conformed 6/1/11]5.2 MEETINGS OF THE EXECUTIVE COMMITTEE5.2.1 Meetings of the Executive Committee. The President or the Commissioner may call a meeting of the ExecutiveCommittee. Any member of the Committee employed by a member directly interested in any matter submitted to theCommittee or under consideration by it shall be disqualified to participate in consideration of or vote with respect to thematter, <strong>and</strong> it shall be the duty of the presiding officer to appoint a disinterested representative to act in place of the partydisqualified.5.2.2 Nature of Meetings of the Executive Committee. Open meetings of the Executive Committee may be held with theapproval of a majority of the members of the Executive Committee, but all business of the Executive Committee shall betransacted in executive session.5.2.3 Quorum. A quorum of the Executive Committee shall consist of not less than four members, provided that one of themembers must be a Chief Executive Officer. Each member of the Committee shall be entitled to one vote. The ExecutiveCommittee shall act in accordance with votes of a majority of its members unless a greater vote is otherwise required by the<strong>Constitution</strong> or <strong>Bylaws</strong>.5.2.4 Notice of Meetings of the Executive Committee. The President or Commissioner, as the case may be, shall providenotice of each Executive Committee meeting that is reasonable under the circumstances giving rise to the meeting. Thenotice shall, to the extent practicable, specify the nature of the matters to be considered at the meeting.[Clarified/Conformed/Renumbered 6/1/11]5.3 AMENDMENT AND SUSPENSION5.3.1 Amendment Process.*5.3.1.1 Amendment. The provisions of the <strong>Constitution</strong> <strong>and</strong> <strong>Bylaws</strong> may be amended only at a meeting of the<strong>Conference</strong>. All proposed amendments to the <strong>Constitution</strong> or <strong>Bylaws</strong> must be submitted to all members in writingby the Commissioner not less than 21 calendar days prior to the meeting.*5.3.1.2 Amendment to Amendment. A proposed amendment to a provision of the <strong>Constitution</strong> or <strong>Bylaws</strong> maybe amended at any meeting.*5.3.1.3 Voting Requirements. An amendment (or amendment to amendment) of a dominant provision (denotedby an asterisk in the margin of the provision) requires a two-thirds vote of all of the members of the <strong>Conference</strong> ingood st<strong>and</strong>ing, whether all of the members of the <strong>Conference</strong> are present at or participating in the meeting or not.All other amendments require a vote of a majority of all of the members of the <strong>Conference</strong> in good st<strong>and</strong>ing,whether all of the members of the <strong>Conference</strong> are present at or participating in the meeting or not.*5.3.1.4 Effective Date. All amendments shall become effective immediately unless a different date is specified.[Clarified/Conformed/Renumbered/Revised 6/1/11]9
