EAS 2012 Rules and Regulations<br />

“EAS <strong>International</strong> not for pr<strong>of</strong>it association/EAS IVZW”<br />

1. Management: Euro Attractions Show (EAS), here<strong>in</strong>after “the Organizer,” or “EAS,”or the<br />

“<strong>Association</strong>,” conducts <strong>The</strong> Euro Attractions Show 2012 Trade Show and appo<strong>in</strong>ts <strong>of</strong>ficial service<br />

contractors to provide all show services to exhibitors. EAS’ (KBO 875.837.0510) is the organizer is<br />

based and <strong>in</strong>corporated <strong>in</strong> Belgium. <strong>The</strong> <strong>of</strong>ficial EAS address is Steenvoordestraat 184, 9070 Destelbergen,<br />

Belgium, Tel.: +32 09/272.75.75, Fax: +32 09/252.16.01. This Agreement is governed<br />

by the law <strong>of</strong> the country <strong>of</strong> the seat <strong>of</strong> the Organizer EAS. Any dispute or conflict relat<strong>in</strong>g to this<br />

Agreement or its execution shall belong to the exclusive jurisdiction <strong>of</strong> the courts <strong>of</strong> the city <strong>of</strong><br />

the seat <strong>of</strong> the Organizer EAS.<br />

2. Exceptions to the forego<strong>in</strong>g may be granted at EAS’s sole discretion where requested <strong>in</strong><br />

writ<strong>in</strong>g are received by EAS no later than June 20, 2012.<br />

a. <strong>The</strong> request must <strong>in</strong>clude certificates <strong>of</strong> <strong>in</strong>surance from all agent representatives <strong>in</strong>demnify<strong>in</strong>g<br />

the <strong>Association</strong> <strong>in</strong> limits satisfactory to the Organizer, a description <strong>of</strong> the work to be done and<br />

personnel to be used.<br />

b. EAS reserves the right to deny exceptions at its sole discretion.<br />

3. EAS shall have no responsibility <strong>of</strong> any k<strong>in</strong>d for the follow<strong>in</strong>g:<br />

a. performance or failure to perform by any contractor <strong>in</strong>clud<strong>in</strong>g the <strong>of</strong>ficial Service Contractors;<br />

Berl<strong>in</strong> Messe her<strong>in</strong>after referred to as “the Build<strong>in</strong>g” or the “Exhibit Hall;”<br />

c. Cancellation or delay <strong>of</strong> the show due to acts <strong>of</strong> God, war, government regulation, disaster, acts<br />

or threats <strong>of</strong> terrorism, fire, strikes, civil disorder, or other similar cause beyond the control <strong>of</strong> EAS;<br />

d. EAS’s judgment that cont<strong>in</strong>u<strong>in</strong>g the show would be <strong>in</strong>advisable, illegal or impossible.<br />

e. EAS’s liability for cancellation for any reason shall be limited to any amounts paid by exhibitor<br />

pursuant to this contract.<br />

4. Application for and Assignment <strong>of</strong> Space: Anyone desir<strong>in</strong>g to exhibit must file<br />

a written application with the <strong>International</strong> <strong>Association</strong> <strong>of</strong> <strong>Amusement</strong> Parks and Attractions<br />

(IAAPA) Square de Meeus 38/40, B-1000 Brussels, Belgium.<br />

5. Space will be assigned to conform as nearly as possible <strong>in</strong> size, price and location subject to<br />

approval <strong>of</strong> the exhibitor.<br />

a. EAS must receive exhibitor’s disapproval <strong>of</strong> any space assignment <strong>in</strong> writ<strong>in</strong>g with<strong>in</strong> 15 days<br />

after the date <strong>of</strong> postmark <strong>of</strong> EAS’s booth confirmation notice.<br />

b. Such rejection may be sent by fax or e-mail to EAS, but will only be valid upon confirmation <strong>of</strong><br />

receipt by EAS.<br />

d. EAS has the absolute right to allocate and assign space and exhibitors and to relocate exhibits<br />

after <strong>in</strong>itial assignment.<br />

6. EAS reserves the right to cancel any reservation not paid <strong>in</strong> full, to lease such space to another<br />

exhibitor, and to reta<strong>in</strong> as liquidated damages any amounts already paid. Exhibitor agrees that<br />

payments or deposits made by Exhibitor may be used toward satisfy<strong>in</strong>g any cancellation fees due<br />

to EAS under this contract. In the event that an exhibitor cancels it’s contract for, or is unable to<br />

use the space after April 15, 2012, EAS shall reta<strong>in</strong> as liquidated damages all amounts paid by<br />

such exhibitor. This <strong>in</strong>cludes company “no-shows” that do not occupy contracted on-site booth<br />

space.Upon receipt <strong>of</strong> cancellation notice from exhibitor, EAS shall have no further obligations to<br />

Exhibitor under this contract.<br />

7. Cancellation Deadl<strong>in</strong>es and Liquidated Damages<br />

a. 50% <strong>of</strong> the total space cost for any cancellation/reduction received after April 15, 2012.<br />

b. 100% <strong>of</strong> the total space cost for any cancellation/reduction received on or after July 15, 2012.<br />

8. Adm<strong>in</strong>istrative Fees for Booth Changes and Moves<br />

Upon receipt and approval <strong>of</strong> a booth change or move request, the <strong>Association</strong> may charge<br />

adm<strong>in</strong>istrative fees as follows:<br />

a. EURO 200 for requests submitted for booth move or changes.<br />

9. Exhibitor Rules & Regulations<br />

a. All exhibitors must adhere to all rules and regulations perta<strong>in</strong><strong>in</strong>g to displays and product as<br />

outl<strong>in</strong>ed <strong>in</strong> EAS Booth Specifications and diagrams.<br />

b. Exhibit activity or solicit<strong>in</strong>g by any non-exhibit<strong>in</strong>g firm or person on the tradeshow floor and/or<br />

on any property under the supervision or under the contract <strong>of</strong> the <strong>Association</strong> dur<strong>in</strong>g the trade<br />

show is strictly prohibited.<br />

c. Exhibitor agrees to keep exhibit properly staffed and <strong>in</strong>tact dur<strong>in</strong>g show hours.<br />

d. Early dismantle <strong>of</strong> booth space is strictly prohibited.<br />

e. No cash and carry sale <strong>of</strong> goods as <strong>in</strong> a retail sett<strong>in</strong>g is permitted from an exhibit booth or <strong>in</strong><br />

the Exhibit Hall.<br />

f. No food or beverages may be sold on the premises, although samples may be given away <strong>in</strong><br />

limited portions. See the Exhibitor Services Guide published <strong>in</strong> hard copy or on l<strong>in</strong>e on the World<br />

Wide Web for further details.<br />

g. EAS reserves the right <strong>in</strong> its sole judgment to prohibit or close any display or activity because<br />

<strong>of</strong> noise, odors, or other disturb<strong>in</strong>g features, or which may be <strong>of</strong>fensive to other exhibitors or<br />

attendees. Furthermore, this discretionary right <strong>of</strong> EAS applies to any demonstration or activity<br />

by any exhibitor that results <strong>in</strong> obstruction <strong>of</strong> booth l<strong>in</strong>e-<strong>of</strong>-sight and/or access to a nearby<br />

exhibitor’s booth by either attendee/buyers or exhibitors.<br />

h. Exhibitors demonstrat<strong>in</strong>g amusement rides and/or <strong>of</strong>fer<strong>in</strong>g rides to show attendees or guests<br />

are solely responsible for compliance with all local laws and regulations govern<strong>in</strong>g the operation<br />

<strong>of</strong> rides, and for secur<strong>in</strong>g <strong>in</strong> advance all approval necessary to demonstrate and <strong>of</strong>fer rides dur<strong>in</strong>g<br />

the show dates.<br />

i. All personnel work<strong>in</strong>g <strong>in</strong> an exhibit booth must be employees <strong>of</strong> the exhibit<strong>in</strong>g company.<br />

j. Each exhibit<strong>in</strong>g company receives five (5) exhibitor staff badges for the first booth <strong>of</strong> 9 square<br />

meters and two (2) additional badges for each <strong>in</strong>crement <strong>of</strong> 9 square meters up to a maximum<br />

<strong>of</strong> 60 badges.<br />

• Additional badges cost EURO 40 per badge. Booth personnel must show company bus<strong>in</strong>ess card<br />

for admission.<br />

• <strong>The</strong> replacement fee for a lost badge is EURO 40.<br />

• Proper identification is required to replace a lost badge. No refunds will be made if a lost badge<br />

is found/returned.<br />

k. Booth personnel must display their badges at all times.<br />

l. No exhibitor is allowed to assign, sublet or apportion the whole or any part <strong>of</strong> space neither<br />

allotted them nor exhibits there<strong>in</strong> any goods other than those manufactured or sold <strong>in</strong> the regular<br />

course <strong>of</strong> bus<strong>in</strong>ess by the exhibitor.<br />

n. Exhibitors are responsible for knowledge <strong>of</strong> and compliance with all laws, regulations, and ord<strong>in</strong>ances<br />

that may apply to any exhibit. <strong>The</strong>se <strong>in</strong>clude, but are not limited to any Berl<strong>in</strong> Exhibition<br />

Center and German laws, regulations and ord<strong>in</strong>ances. EAS will not <strong>in</strong>terpret laws, regulations and<br />

ord<strong>in</strong>ances for any exhibitor.<br />

o. Exhibitors with products, the sale <strong>of</strong> which may be illegal <strong>in</strong> certa<strong>in</strong> jurisdictions, must display a<br />

sign <strong>in</strong> their booth space to that effect.<br />

p. Exhibitors are responsible for any damage done by them or their employees.<br />

• No nails, bolts, tack or screws shall be driven <strong>in</strong>to the wall, woodwork or floor <strong>of</strong> the Build<strong>in</strong>g.<br />

• <strong>The</strong> use <strong>of</strong> flammable substances as decorative materials is prohibited.<br />

• All decorative fabrics must be flame pro<strong>of</strong>ed <strong>in</strong> accordance with Berl<strong>in</strong> Messe Exhibition Center<br />

and Exhibit fire regulations.<br />

• No gasol<strong>in</strong>e, kerosene, acetylene or other flammable or explosive substances are permitted <strong>in</strong><br />

the build<strong>in</strong>g.<br />

• Exhibitors us<strong>in</strong>g grease or oil <strong>in</strong> the preparation <strong>of</strong> food must utilize cook<strong>in</strong>g hoods to prevent<br />

splatter.<br />

• Booth must be set-up and complete for <strong>in</strong>spection and the surround<strong>in</strong>g aisles clear <strong>of</strong> exhibitor’s<br />

equipment and debris no later than 20:00 Berl<strong>in</strong>, Germany time on Monday, 1 October 2012.<br />

10. Liability, Hold Harmless and Indemnification: Exhibitor agrees that neither the Exhibit<br />

Hall nor the Euro Attractions Show Organizer shall be liable for any claims, losses, damages,<br />

death, <strong>in</strong>juries or liability which may be susta<strong>in</strong>ed by any person who may be on the premises<br />

leased by or assigned to the exhibitor, (<strong>in</strong>clud<strong>in</strong>g but not limited to) any agent, employee, representative<br />

or guest <strong>of</strong> the exhibitor, or any other person or entity.<br />

a. <strong>The</strong> exhibitor agrees that it will hold harmless and <strong>in</strong>demnify the Exhibit Hall and Euro Attractions<br />

Show from any and all claims, <strong>in</strong>clud<strong>in</strong>g third party <strong>in</strong>fr<strong>in</strong>gement claims, losses, damages,<br />

death, <strong>in</strong>juries or liability whatever (<strong>in</strong>clud<strong>in</strong>g without limitation, reasonable attorney’s fees and<br />

costs) whether to property, person or otherwise, that arise <strong>in</strong> whole or <strong>in</strong> part from the omissions<br />

or willful misconduct or breach <strong>of</strong> this contract by Exhibitor, or its agents, employees, representatives,<br />

guests or <strong>in</strong>vitees related to or aris<strong>in</strong>g <strong>in</strong> connection<br />

with Exhibitor’s performance under this contract.<br />

b. <strong>The</strong> parties agree that the total liability <strong>of</strong> Euro Attractions Show to Exhibitor under this contract,<br />

whether <strong>in</strong> contract or tort, shall be the amount <strong>of</strong> the Exhibitor’s fees paid to EAS.<br />

c. In no event shall <strong>The</strong> Euro Attractions Show be liable, whether <strong>in</strong> contract or tort, for any<br />

<strong>in</strong>direct, consequential, exemplary, punitive or special damages or awards.<br />

At the time <strong>of</strong> mak<strong>in</strong>g f<strong>in</strong>al payment for space under this contract, every exhibitor shall provide<br />

the EAS with an orig<strong>in</strong>al, signed <strong>in</strong>surance certificate and endorsement, nam<strong>in</strong>g “EAS and its<br />

affiliates, employees, <strong>of</strong>ficers, and directors, or its entities, subsidiaries, agents, representatives,<br />

<strong>of</strong>ficers, staff, volunteers and employees,” as additional <strong>in</strong>sured under the exhibitor’s general<br />

liability <strong>in</strong>surance policy. <strong>The</strong> exact show dates <strong>in</strong>clud<strong>in</strong>g move-<strong>in</strong> and move-out must be <strong>in</strong>cluded<br />

on this certificate. M<strong>in</strong>imum limits required to be carried by exhibitors display<strong>in</strong>g amusement<br />

rides and/or mechanical, electrical or other devices or displays <strong>in</strong>volv<strong>in</strong>g audience participation,<br />

and any exhibitors us<strong>in</strong>g flammable materials or cook<strong>in</strong>g must have a total comb<strong>in</strong>ed aggregate<br />

policy <strong>of</strong> EURO 4,000,000.<br />

All other exhibitors are required to carry a m<strong>in</strong>imum EURO 1,000,000 per occurrence, EURO<br />

300,000 fire damage, EURO 10,000 medical expenses, EURO 1,000,000 personal & advertised<br />

<strong>in</strong>jury, EURO 2,000,000 general aggregate, and EURO 2,000,000 products & completed operations<br />

policy. Notwithstand<strong>in</strong>g the above m<strong>in</strong>imums, EAS reserves the right to require an <strong>in</strong>surance<br />

policy <strong>in</strong> excess <strong>of</strong> the amounts stated.<br />

11. Obligations at the end <strong>of</strong> License: Before the term<strong>in</strong>ation <strong>of</strong> the license period, license<br />

period be<strong>in</strong>g from 8:00 a.m., Saturday 29 September to 22:00, 4 October 2012, exhibitor shall<br />

vacate the exhibit hall and the facilities and return the equipment <strong>in</strong> the same condition and<br />

repair as orig<strong>in</strong>ally furnished to the exhibitor, normal wear and tear excepted. In the event the<br />

Exhibit Hall or the facilities are not so vacated, then EAS and/or the Berl<strong>in</strong> Messe Exhibition<br />

Center is authorized, at the expense <strong>of</strong> the exhibitor, to remove and store or return to exhibitor, or<br />

unless the Exhibitor’s failure is due to an event beyond the control <strong>of</strong> the Exhibitor such as strikes<br />

or Acts <strong>of</strong> God, to treat as abandoned and discarded property and dispose <strong>of</strong> all goods, wares,<br />

merchandise and property <strong>of</strong> the exhibitor. EAS and/or Berl<strong>in</strong> Messe Exhibition Center shall not<br />

be liable for any damages or loss to such goods, wares, merchandise or other property which may<br />

be susta<strong>in</strong>ed either <strong>in</strong> the course <strong>of</strong> such removal, or <strong>in</strong> the course <strong>of</strong> transit, or by virtue <strong>of</strong> EAS’s<br />

and/or Berl<strong>in</strong> Messe Exhibition Center’s disposal <strong>of</strong> the property. <strong>The</strong> Exhibitor hereby expressly<br />

releases EAS and/or the Berl<strong>in</strong> Messe Exhibition Center from any such claims for damages <strong>of</strong><br />

whatsoever k<strong>in</strong>d or nature.<br />

12. Security: Neither EAS nor Berl<strong>in</strong> Messe Exhibition Center shall be <strong>in</strong> any way liable or responsible<br />

for any loss or disappearances, <strong>of</strong> any object, item, good or materials <strong>of</strong> any k<strong>in</strong>d, from<br />

Exhibitor’s booth space or from the exhibit hall, except for such loss or disappearance as is due<br />

to <strong>in</strong>tentional and tortuous theft committed by the employees <strong>of</strong> EAS or Berl<strong>in</strong> Messe Exhibition<br />

Center. EAS and Berl<strong>in</strong> Messe Exhibition Center provide certa<strong>in</strong> security services and <strong>in</strong>clud<strong>in</strong>g<br />

provid<strong>in</strong>g advice on security measures, as a convenience to Exhibitor’s but the responsibility for<br />

the security and safety <strong>of</strong> an Exhibitor’s area, product and property rests solely with the exhibitor.<br />

13. <strong>The</strong> above rules and regulations are all deemed to be <strong>of</strong> the essence <strong>of</strong> this contract. A<br />

material breach <strong>of</strong> any <strong>of</strong> them shall be deemed a breach <strong>of</strong> contract entitl<strong>in</strong>g EAS to immediately<br />

cancel the exhibitor’s contract. Upon cancellation, EAS may take possession <strong>of</strong> the exhibitor’s<br />

space, remove all person and properties <strong>of</strong> the exhibitor and hold the exhibitor accountable for<br />

all risk expense <strong>in</strong>curred <strong>in</strong> such removal. EAS reserves the right to make any changes necessary<br />

<strong>of</strong> any k<strong>in</strong>d to the exhibit space for the best <strong>in</strong>terest <strong>of</strong> the trade show. If a court here<strong>of</strong> holds any<br />

provisions <strong>in</strong>valid, all other provisions shall rema<strong>in</strong> <strong>in</strong> full force and effect.<br />

c. Any exhibitor contract<strong>in</strong>g space on or after July 15, 2012 is responsible for payment <strong>of</strong> 100% <strong>of</strong><br />

the total booth fee listed on the contract.<br />

q. Exhibitor warrants and represents that the Exhibit and all related materials, <strong>in</strong>clud<strong>in</strong>g but<br />

not limited to photographs, written materials, and display models (collectively, the “Exhibit”),<br />

does not violate any proprietary or personal rights <strong>of</strong> others (<strong>in</strong>clud<strong>in</strong>g, without limitation, any<br />

copyrights, patents or privacy rights); that the Exhibit constitutes the Exhibitor’s own orig<strong>in</strong>al<br />

work or property, or that the Exhibitor has permission from the rightful owner to use such work<br />

or property. <strong>The</strong> Exhibitor agrees to <strong>in</strong>demnify and hold harmless IAAPA, its <strong>of</strong>ficers, directors,<br />

members, assignees, and agents, from and aga<strong>in</strong>st any and all claims, actions, losses, demands,<br />

costs, attorneys’ fees and all other expenses relat<strong>in</strong>g or <strong>in</strong>cidental to, or aris<strong>in</strong>g directly or<br />

<strong>in</strong>directly from, the <strong>in</strong>accuracy or breach <strong>of</strong> any <strong>of</strong> the warranties and representations conta<strong>in</strong>ed<br />

<strong>in</strong> this Section.<br />

m. Exhibitors are prohibited from engag<strong>in</strong>g <strong>in</strong> an exhibit activity <strong>in</strong> any space other than that<br />

which has been contracted.<br />

14. IAAPA requires its exhibitors at EAS to observe the IAAPA Member Code <strong>of</strong> Conduct<br />

outl<strong>in</strong><strong>in</strong>g responsibilities as a participant at the Euro Attractions Show. By sign<strong>in</strong>g this contract,<br />

the signee agrees to adhere to IAAPA’s Code <strong>of</strong> Conduct listed below: 1. To ma<strong>in</strong>ta<strong>in</strong> safety as<br />

the highest priority <strong>in</strong> their bus<strong>in</strong>esses and to comply with all applicable standards, laws, and<br />

regulations. 2. To provide clean, wholesome, and safe enterta<strong>in</strong>ment for their guests, ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g<br />

the highest standards <strong>in</strong> quality and service. 3. To conduct their bus<strong>in</strong>esses on the highest plane<br />

<strong>of</strong> <strong>in</strong>tegrity, honesty, and social responsibility. 4. To foster and ma<strong>in</strong>ta<strong>in</strong> a spirit <strong>of</strong> cooperation and<br />

fair deal<strong>in</strong>g for buyers and sellers, ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g the pr<strong>in</strong>ciples <strong>of</strong> confidentiality, <strong>in</strong>tel-lectual property<br />

protection, and agreed contractual terms. 5. To establish and ma<strong>in</strong>ta<strong>in</strong> cordial and respectful<br />

relations with their fellow members worldwide. We believe that these pr<strong>in</strong>ciples must be carried<br />

out by each member <strong>in</strong>dividually <strong>in</strong> order to foster and promote our <strong>in</strong>dustry and to protect its<br />

excellent reputation <strong>of</strong> deliver<strong>in</strong>g safe family fun.<br />
