The remuneration of Managing Directors and Whole-timeDirector is being approved by the Board of Directors and shareholders.(3) SHAREHOLDERS’ RIGHTSAs the Company’s quarterly results are published in leading English newspapers having circulation all over India and ina Hindi newspaper widely circulated in the region, the same are not sent to each household of shareholders.(4) AUDIT QUALIFICATIONSThere are no Audit Qualifications in the Auditors’ Report.(5) TRAINING OF BOARD MEMBERSAt present, the Company does not have such a training programme for the Board Members.(6) MECHANISM FOR EVALUATING NON-EXECUTIVE BOARD MEMBERSAt present, the Company does not have such a mechanism as contemplated for evaluating the performance of Non-Executive Board Members.(7) WHISTLE BLOWER POLICY:The Company does not have any Whistle Blower Policy as of now but no personnel is being denied any access to the AuditCommittee.24
