TANGIPAHOA PARISH SCHOOL SYSTEM _____ JANUARY <strong>10</strong>, <strong>2013</strong>SECTION 5. Election Commissioners; Voting Machines. That the officersdesignated to serve as Commissioners-in-Charge and Commissioners pursuant toSection 4 hereof, or such substitutes therefor as may be selected and designated incompliance with Section 1287 of Title 18 of the Louisiana Revised Statutes of 1950(R.S. 18:1287) shall hold the said special election as herein provided, shall make duereturns of said election for the meeting of the <strong>Parish</strong> School Board on May 21, <strong>2013</strong>,and that the compensation of said officers be and the same is hereby fixed at the sumprescribed by law. All registered voters in the District are entitled to vote at said specialelection and voting machines shall be used thereat.SECTION 6. Authorization of Officers. That the Secretary-Treasurer of the<strong>Parish</strong> School Board is hereby empowered, authorized and directed to arrange for andto furnish to said election officers in ample time for the holding of said election thenecessary equipment, forms and other paraphernalia essential to the proper holding ofsaid election and the President and/or Secretary-Treasurer are further authorized,empowered and directed to take any and all further action required by State and/orFederal law to arrange for the election.SECTION 7. Furnishing Election Call to Election Officials. That certified copiesof this resolution shall be forwarded to the Secretary of State, the Clerk of Court and Ex-Officio <strong>Parish</strong> Custodian of Voting Machines in and for the <strong>Parish</strong> of <strong>Tangipahoa</strong>, Stateof Louisiana, and the Registrar of Voters in and for said <strong>Parish</strong>, as notification of thespecial election herein called in order that each may prepare for said election andperform their respective functions as required by law.SECTION 8. Application to State Bond Commission. That application be andthe same is hereby formally made to the State Bond Commission for consent andauthority to hold the aforesaid special election as herein provided, and in the event theaforesaid Proposition is carried, for its further consent and authority to levy and collectthe special tax provided for in said Proposition in the amount, for the purpose and forthe number of years therein specified. That a certified copy of this resolution shall beforwarded to the State Bond Commission on behalf of this <strong>Parish</strong> School Board,together with a letter requesting the prompt consideration and approval of thisapplication.By virtue of the <strong>Parish</strong> School Board’s application for, acting as the governingauthority of the District, acceptance and utilization of the benefits of the Louisiana StateBond Commission’s approval(s) resolved and set forth herein, the <strong>Parish</strong> School Boardresolves that it understands and agrees that such approval(s) are expressly conditionedupon, and the <strong>Parish</strong> School Board further resolves that it understands, agrees andbinds itself, its successors and assigns to, full and continuing compliance with the “StateBond Commission Policy on Approval of Proposed Use of Swaps, or other forms ofDerivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as tothe borrowing(s) and other matter(s) subject to the approval(s), including subsequentapplication and approval under said Policy of the implementation or use of any swap(s)or other product(s) or enhancement(s) covered thereby.SECTION 9. Employment of Special Counsel. It has been recognized, foundand determined that a real necessity exists for the employment of the law firm of Foley& Judell, L.L.P., Baton Rouge, Louisiana, as special counsel, in connection with theholding, calling and canvassing of the aforesaid special election. The fee to be paid tospecial counsel with respect to the holding, calling and canvassing of the aforesaidspecial tax election shall be computed at an hourly rate not exceeding the amountprovided by the guidelines for such services as approved by the Attorney General of theState of Louisiana, plus out-of-pocket expenses incurred and advanced in connectionwith the holding, calling and canvassing of said special election.SECTION <strong>10</strong>. Approval of Attorney General. A certified copy of this resolutionshall be submitted to the Attorney General of the State of Louisiana for his writtenapproval of said employment and of the fee herein designated, and the Secretary-
