Selected Practice Groups:
Corporate and Commercial Litigation
Morris James’ Corporate and Commercial Litigation Group represents
business clients in corporate governance and fiduciary litigation in the
Delaware Court of Chancery and in other business disputes in the Delaware
Superior Court and United States Federal District Court where jury trials are
conducted. Our firm has tried more cases before a jury than any other
Delaware firm in the last two years. As the State whose court system has been
consistently acknowledged in independent surveys as the best in the United
States, Delaware attracts not only high-profile corporate cases, but also major
commercial disputes.
Intellectual Property
Morris James offers both IP litigation and counseling services. Our attorneys
have served in a lead role in several trade secret, domain name and IP
licensing cases and regularly serve as Delaware counsel in other intellectual
property litigation, including patent, copyright, trademark and trade dress
cases, and associated antitrust disputes.
Corporations and Other Business Organizations
The firm provides strategic advice to clients who are establishing, managing,
investing in or financing business ventures that take advantage of
Delaware’s unique corporate, business and tax laws. A substantial portion of
the firm’s alternative entity practice involves structuring Delaware special purpose
entities for use in asset securitizations and other structured finance transactions.
Morris James’ transactions attorneys frequently render legal opinions
on matters of Delaware and United States federal law, and regularly participate
in the drafting of Delaware’s corporate and alternative entity legislation.
Bankruptcy
Morris James’ Bankruptcy and Reorganization Group represents creditors,
creditors’ committees, purchasers, investors and other parties-in-interest
before the United States Bankruptcy Court for the District of Delaware, the
United States District Court for the District of Delaware and the United States
Court of Appeals for the Third Circuit as well as other federal courts outside of
Delaware. Our bankruptcy attorneys have counseled clients in both reorganization
and liquidation cases as well as in out-of-court workouts and debt
restructurings. They are well-equipped to handle the sophisticated and complicated
bankruptcy and insolvency issues of our wide array of national and
local clients while still being able to render personalized service.
