Corporate and Commercial Litigation<br />

Morris James’ Corporate and Commercial Litigation Group represents<br />

business clients in corporate governance and fiduciary litigation in the<br />

Delaware Court <strong>of</strong> Chancery and in other business disputes in the Delaware<br />

Superior Court and United States Federal District Court where jury trials are<br />

conducted. Our firm has tried more cases before a jury than any other<br />

Delaware firm in the last two years. As the State whose court system has been<br />

consistently acknowledged in independent surveys as the best in the United<br />

States, Delaware attracts not only high-pr<strong>of</strong>ile corporate cases, but also major<br />

commercial disputes.<br />

<strong>In</strong>tellectual Property<br />

Morris James <strong>of</strong>fers both IP litigation and counseling services. Our attorneys<br />

have served in a lead role in several trade secret, domain name and IP<br />

licensing cases and regularly serve as Delaware counsel in other intellectual<br />

property litigation, including patent, copyright, trademark and trade dress<br />

cases, and associated antitrust disputes.<br />

Corporations and Other Business Organizations<br />

The firm provides strategic advice to clients who are establishing, managing,<br />

investing in or financing business ventures that take advantage <strong>of</strong><br />

Delaware’s unique corporate, business and tax laws. A substantial portion <strong>of</strong><br />

the firm’s alternative entity practice involves structuring Delaware special purpose<br />

entities for use in asset securitizations and other structured finance transactions.<br />

Morris James’ transactions attorneys frequently render legal opinions<br />

on matters <strong>of</strong> Delaware and United States federal law, and regularly participate<br />

in the drafting <strong>of</strong> Delaware’s corporate and alternative entity legislation.<br />

Bankruptcy<br />

Morris James’ Bankruptcy and Reorganization Group represents creditors,<br />

creditors’ committees, purchasers, investors and other parties-in-interest<br />

before the United States Bankruptcy Court for the District <strong>of</strong> Delaware, the<br />

United States District Court for the District <strong>of</strong> Delaware and the United States<br />

Court <strong>of</strong> Appeals for the Third Circuit as well as other federal courts outside <strong>of</strong><br />

Delaware. Our bankruptcy attorneys have counseled clients in both reorganization<br />

and liquidation cases as well as in out-<strong>of</strong>-court workouts and debt<br />

restructurings. They are well-equipped to handle the sophisticated and complicated<br />

bankruptcy and insolvency issues <strong>of</strong> our wide array <strong>of</strong> national and<br />

local clients while still being able to render personalized service.
