Incorporation. BYLAWS OF <strong>THE</strong> TURF AND ORNAMENTAL COMMUNICATORS ASSOCIATION (the “Corporation”) As amended May 24, 2005 ARTICLE I PURPOSE The objects and purposes of the Corporation are as stated in its Articles of ARTICLE II OFFICES The principal office of the Corporation in the State of Minnesota shall be located in the City of New Prague, County of LeSueur. The Corporation may have such other offices within the State of Minnesota as the Board of Directors may determine or as the affairs of the Corporation may require from time to time. The Corporation shall have, and continuously maintain, in the State of Minnesota a registered office. The registered office may be, but need not be� identical with the principal office in the State of Minnesota, and the address of the registered office may be changed from time to time by the Board of Directors. ARTICLE III MEMBERSHIP Section 1. Membership. The members of the Corporation shall be the persons, corporations, entities, or organizations so designated from time to time by the Board of Directors.
