Dear TOCA members,<br />
Welcome to the 2012 edition of the TOCA membership<br />
directory. This guide will help you create and renew<br />
relationships with fellow TOCA members, and make the<br />
most out of your TOCA membership.<br />
The TOCA directory is a great resource to not only contact<br />
current TOCA members, but to also find opportunities<br />
within our industry for new members. We hope you’ll take a look and help<br />
identify new communicators within the Green Industry. Together we can then<br />
share – in our own organizations and across our industry – the value of TOCA<br />
membership and continue to strengthen our association.<br />
We hope you’ll share this with your co-workers and supervisors as well – they<br />
need to know the breath and depth of our organization.<br />
Within the directory, you will find a wide selection of people who work for<br />
publishers, associations, manufacturers and marketing communications agencies.<br />
However, building a relationship is about more than calling people out of the<br />
blue, so make sure to meet these fellow professionals face-to-face at the TOCA<br />
annual meeting or our breakfast events at industry trade shows.<br />

TOCA News Release Guidelines for Marketers<br />
I will inform my company/clients that I follow the News Release Guidelines for<br />
Marketers as put forth by TOCA. These guidelines were developed by the editor and<br />
publisher members of TOCA. By following the guidelines, I can be better assured that<br />
coverage of the company and products I represent will be successful.<br />
1. The news releases I distribute will be newsworthy.<br />
Under TOCA’s News Release Guidelines for Editors, editors are committed to selecting<br />
and publishing news releases which contain news “value.” This is the most important<br />
element needed for a news release to be published. Avoid sending releases that lack news<br />
value because editors may conclude that future releases will also lack news.<br />
2. I will distribute news releases to the appropriate publications.<br />
Understanding the publications and the audiences they write for is critical. Sources, such<br />
as Bacon’s Media Directories or the magazine’s sales departments, can provide<br />
information about editorial direction. When possible, tailoring news releases specifically<br />
for certain magazines may increase publishing success.<br />
3. My media list will be updated frequently to determine current contact<br />
information and editor preferences.<br />
Incorrect addresses, e-mails or fax numbers may delay the review of your release or cause<br />
its loss altogether. Today, editors prefer to receive news releases in a variety of ways, either<br />
by mail, fax or Email. Learn those preferences and follow them for each specific editor to<br />
be successful.<br />
4. I will not call editors to confirm that a release has been received.<br />
I will also not call editors to ask when or if a news release will be published. Contacting<br />
editors about news releases is the biggest complaint editors have against PR practitioners.<br />
It is considered acceptable to call editors to pitch story ideas. However, virtually all<br />
editors state that they do not have the time to track news releases. In general, editors<br />
respond negatively to calls related to news releases.<br />
5. I will not call editors to ask for clips of my published news release.<br />
If a copy of the published news release is needed, contact the magazine’s sales or<br />
circulation department. Virtually all editors say they do not have time to send clips.<br />
6. I will never use advertising as a leverage for placement.<br />
To use advertising to “strong arm” editors to publish news releases or other editorials is a<br />
serious breech of professional ethics.<br />
TOCA encourages companies to place the following statement on news releases<br />
distributed to TOCA editor members: “We follow the TOCA Guidelines for News<br />
Releases.”

3. I will treat public relations and marketing personnel with respect.<br />
4. I will not use placement of editorials as a leverage for advertising.<br />
To use placement to “strong arm” marketers for advertising is a serious breech of<br />
professional ethics.<br />

The Professional Communication Standards (Standards) outlined in this document<br />
apply to members of the Turf & Ornamental Communicators Association (TOCA).<br />
These Standards are designed to serve as a guide for TOCA members as they carry out<br />
their daily jobs in communications – in all media formats – with and to the greater<br />
Green Industry and all of its stakeholders.<br />
As the primary communication professionals within the Green Industry, TOCA<br />
members require a level of trust with their various audiences – clients, customers,<br />
readers, etc. – and, as such, take on an obligation to operate ethically. Each member, as<br />
a representative of the communication profession and as a TOCA member, is a<br />
contributor to the reputation of this field. We each set examples for one another, and<br />
our various audiences, by a pursuit for the common good, for excellence, and for ethical<br />
responsibility.<br />
By design the Standards are not enforceable, rather should serve as a guide – and a<br />
benchmark – for good and ethical behavior.<br />
These Standards have been organized to include guidelines for our members in the<br />
editorial side of the business, as well as those in marketing communications.<br />
GENERAL STANDARDS:<br />
We actively protect the free flow of accurate and truthful information to serve the<br />
public interest and contribute to informed decision making in a democratic society.<br />
• We will preserve the integrity of the communication process.<br />
• We will be honest and accurate in all communications.<br />
• We will act promptly to correct inaccurate information for which we are responsible.<br />
• We will strive to depict only safe industry practices, unless the intent is for<br />
educational purposes.<br />
• We will use proper judgment when giving or receiving gifts by ensuring those gifts –<br />
including travel and accommodations – are appropriate, nominal, legal and<br />
infrequent.<br />
We promote fair competition among all communicators in order to protect an ethical<br />
climate and foster a robust business environment.<br />
• We will respect fair competition among professionals, organizations, and media<br />
outlets.<br />
• We will preserve intellectual property rights in the marketplace.<br />
• We will follow ethical hiring practices.

TURF AND ORNAMENTAL COMMUNICATORS ASSOCIATION<br />
(the “Corporation”)<br />
As amended May 24, 2005<br />
ARTICLE I<br />
PURPOSE<br />
The objects and purposes of the Corporation are as stated in its Articles of<br />
ARTICLE II<br />
OFFICES<br />
The principal office of the Corporation in the State of Minnesota shall be located<br />
in the City of New Prague, County of LeSueur. The Corporation may have such other<br />
offices within the State of Minnesota as the Board of Directors may determine or as the<br />
affairs of the Corporation may require from time to time.<br />
The Corporation shall have, and continuously maintain, in the State of Minnesota<br />
a registered office. The registered office may be, but need not be� identical with the<br />
principal office in the State of Minnesota, and the address of the registered office may be<br />
changed from time to time by the Board of Directors.<br />
ARTICLE III<br />
MEMBERSHIP<br />
Section 1. Membership. The members of the Corporation shall be the persons,<br />
corporations, entities, or organizations so designated from time to time by the Board of<br />
Directors. There are two types of memberships available: individual and corporate.<br />
Section 2. Membership Classes.<br />

Membership in the Corporation shall consist of three (3) classes:<br />
(a) Active. Active members shall include persons in editorial staff positions<br />
with general or specialized commercial turf and ornamental publications,<br />
freelance writers, and technical writers. Specifically excluded from<br />
eligibility for active membership are those whose primary responsibilities<br />
are in advertising, circulation, production or other non-editorial functions<br />
for commercial magazines.<br />
(b) Affiliate.<br />
1. Persons engaged in editorial, photographic, public relations,<br />
advertising, or non-commercial publications/newsletters whose work<br />
is directly related to the turf and ornamental industry; and<br />
2. Those involved in federal and state governmental agencies,<br />
educational institutions or non-profit institutions and foundations<br />
doing business in the turf and ornamental industry.<br />
(c) Honorary Life. Honorary Life membership may be granted to those who<br />
have rendered distinguished service to the Corporation and/or to the turf<br />
and ornamental industry. Such membership must be approved by a<br />
majority vote of the membership, following investigation and<br />
recommendation by the Membership Committee. Honorary members<br />
shall have all rights and privileges of Active and Affiliate members.<br />
Nominations for this class of membership must be submitted in writing at<br />
least sixty (60) days prior to the Corporation’s annual business meeting.<br />
Section 3. Membership Applications.<br />
All applications for membership must be in writing on forms obtained from the Executive<br />
Director. Membership approval, classification and reclassification shall be the<br />
responsibility of the Membership Committee. A membership challenge can be appealed<br />
to the Board of Directors for final decision. Members who assume new duties or<br />
different positions are required to notify the Executive Director and to submit their<br />
resignations or request reclassification.<br />
Section 4. Membership Dues. Membership dues shall consist of annual dues and<br />
shall be assessed on an annual, calendar-year basis. There will be no dues for Honorary<br />
Life members. Any changes in membership dues must be approved by majority vote of<br />

the Board of Directors of the Corporation. Failure to timely remit such dues shall<br />
terminate membership rights and privileges, if any, and such members shall be removed<br />
from the membership roll maintained by the Corporation.<br />
Section 5. Annual Meeting. The annual business meeting of the Corporation will<br />
be held in April or May of each year at a time and location determined by the Board of<br />
Directors. Notification will be by newsletter, e-mail, or other mail at least five (5) days<br />
and not more than sixty (60) days prior to the meeting date. Such notice shall contain the<br />
date, time, place and purpose of the meeting.<br />
Section 6. Special Meeting. A special business meeting may be called at any<br />
time by a majority vote of the Board of Directors. Notification will be by newsletter, e-<br />
mail, or other mail no fewer than fourteen (14) days prior to date of meeting. Such notice<br />
shall contain the date, time, place and purpose of the meeting. Only subjects listed on a<br />
pre-approved agenda will be acted upon at the meeting.<br />
Section 7. Other Meetings. Meetings, workshops and other events for purposes<br />
other than the business of the Corporation may be scheduled by the Board of Directors.<br />
Section 8. Quorum. For any annual or special meeting, twenty percent (20%) of<br />
the membership or fifteen (15) members, whichever is less, shall constitute a quorum.<br />
Section 9. Voting. At each meeting of the membership, every member having<br />
the right to vote shall have one (1) vote. The affirmative vote of a majority of a quorum<br />
of all voting members shall constitute a duly authorized action of the membership.<br />
ARTICLE IV<br />
BOARD OF DIRECTORS<br />

Section 1. General Powers. The affairs of the Corporation shall be managed by<br />
its Board of Directors. Except as limited by the Articles of Incorporation and the Bylaws,<br />
the Board of Directors shall have the power and authority to do all acts and perform all<br />
functions that the Corporation may do or perform.<br />
Section 2. Number, Tenure and Qualifications. The Board of Directors shall be<br />
composed of not less than three (3) or more than twenty (20) members, consisting of a<br />
President, Vice President, Secretary/Treasurer and Directors. The President shall be<br />
elected to a two-year term, then assume the position of Immediate Past President for two<br />
years before being removed from the Board. Each director shall hold office until a<br />
successor has been elected, or until the director dies, resigns, or is removed. All Board of<br />
Directors members will be voted on by membership attending the annual meeting. The<br />
Immediate Past President shall serve as a voting member.<br />
Section 3. Regular Meetings. The Board of Directors shall meet at least twice<br />
each year, once at the annual business meeting, and a second time at the call of the<br />
President. Regular meetings of the Board of Directors shall be held at the call of the<br />
President or by written notice received by mail, in person or alternatively by telephone at<br />
least three (3) days prior to the meeting. The notice shall designate the time, place and<br />
date of such meeting; however, the notice need not specify the business to be transacted.<br />
Section 4. Special Meetings. Special meetings of the Board of Directors shall be<br />
held at the call of the President for the transaction of business as may come before the<br />
meeting. The President shall call a special meeting of the Board of Directors upon the<br />
written request of one-third (1/3) of the members of the Board of Directors, or by vote of<br />
the Board of Directors, or at the option of the President, by giving no less than three (3)<br />

days notice of the date, time and place of such meeting. Notice of any special meeting of<br />
the Board of Directors shall be given by written notice delivered personally, sent by mail,<br />
or by telephone to each director. Any director may waive notice of any special meeting<br />
whether in writing or orally. Attendance of a director at a special meeting shall also<br />
constitute waiver of notice of the meeting, unless the director attends for the purpose of<br />
objecting to the meeting. The notice shall specify the business to be transacted.<br />
Section 5. Quorum and Adjourned Meeting. A meeting at which thirty-five<br />
percent (35%) of the members of the Board of Directors are present shall constitute a<br />
quorum for the transaction of business at any meeting of the Board. If, however, such<br />
quorum shall not be present at any such meeting, the director or directors present thereat<br />
shall have the power to adjourn the meeting from time to time without notice other than<br />
announcement at the meeting, until a quorum shall be present.<br />
Section 6. Voting. Each voting member of the Board of Directors shall have the<br />
power to exercise one (1) vote on all matters to be decided by resolution of the Board.<br />
The affirmative vote of a majority of a quorum of all voting Board members shall<br />
constitute a duly authorized action of the Board.<br />
Section 7. Resignation and Removal. Any director may resign at any time,<br />
effective immediately, or at a specified later date, by written resignation delivered to the<br />
Secretary of the Corporation. A director may be removed for, among other things,<br />
missing three (3) consecutive, regularly scheduled meetings �������������������<br />

of the Board without notifying the President ���<br />

intent to be absent prior to the meeting; provided, however,<br />
such removal shall be accomplished only by the affirmative vote of a majority of all<br />
directors of the Corporation.<br />

The Secretary shall, if directed by the Board, provide notice of this Section and<br />
the Board’s intent to remove the absent director within ten (10) days after such director<br />
has not attended three (3) consecutive meetings of the Board. Such notice shall be a<br />
prerequisite for removal for absence and shall be provided in the manner set forth in<br />
Article X of these Bylaws.<br />
Section 8. Filling Vacancies. Vacancies on the Board caused by death,<br />
resignation, disability, removal or such other cause shall be filled by appointment of a<br />
new director by the affirmative majority vote of quorum of the remaining directors. A<br />
director filling a Board vacancy shall serve for the balance of the unexpired term left by<br />
the vacancy.<br />
Section 9. Compensation. Directors, as such, shall not receive stated salaries for<br />
their services, but nothing in these Bylaws shall be construed to preclude any director<br />
from serving the Corporation in any other capacity and receiving compensation therefor.<br />
In addition, the directors of this Corporation may be reimbursed for reasonable out-of-<br />
pocket expenses incurred by them in rendering services to this Corporation, as the Board<br />
of Directors from time to time determines to be directly in furtherance of the purpose of,<br />
and in the best interest of, the Corporation.<br />
Section 10. Meeting Without Notice. Any director may in writing or orally,<br />
either before or after any meeting of the Board, waive notice thereof and without notice,<br />
any director by his attendance at, and participation in, shall be deemed to have waived<br />
notice of the action or actions taken at any meeting of the Board of Directors. Whenever<br />
all of the directors of this Corporation shall be present and consent to, or participate in, a<br />
meeting thereof, such meeting shall be deemed to be a legal meeting and the business<br />

transacted thereat shall be legal and valid in all respects, the same a though such meeting<br />
had been regularly called and notice thereof had been regularly given.<br />
Section 11. Additional Directors. The Board may create an additional class or<br />
classes of nonvoting directors as it may from time to time determine.<br />
Section 12. Proxies. A director shall not appoint a proxy or vote by proxy,<br />
except as provide by Statute, the Corporation’s Articles of Incorporation, or these<br />
Bylaws.<br />
Section 13. Presence at Meetings. Members of the Board of Directors or any<br />
committee may participate in a meeting of the Board of Directors or any committee by<br />
means of conference telephone or similar communications equipment by which all<br />
persons participating in the meeting can hear each other, and such participation at a<br />
meeting shall constitute presence in person at the meeting.<br />
Section 14. Committees of the Board. The Board of Directors may, by resolution<br />
passed by a majority of the Board of Directors, designate, define the authority of, set the<br />
number and determine the identity of, members of one or more committees, each<br />
committee to consist of at least one or more directors of the Corporation. However, not<br />
all committee members need to be members of the Board of Directors. The Board may,<br />
by similar vote, designate one or more directors as alternate members of any committee,<br />
who may replace any absent or disqualified member at any meeting of the committee.<br />
Any committee, to the extent provided in these Bylaws or in the resolution, shall have<br />
and may exercise all of the powers and authority granted by these Bylaws to the Board of<br />
Directors in the management and business affairs of the Corporation; provided, however,<br />
that no committee shall be granted any powers or authority exceeding that granted to the<br />

Board of Directors. Unless otherwise stated in the resolution creating it, or in these<br />
Bylaws, committee actions shall be taken only upon affirmative vote of three-fourths<br />
(3/4) of the members of the committee. Failure of a committee to reach an agreement<br />
upon any issue before it, shall require referral of such issue to the entire Board of<br />
Directors.<br />
The activity of all committees of this Corporation shall be conducted in such<br />
manner as will advance the best interests of the Corporation. The rules of procedure and<br />
all other regulations of each committee shall be consistent with the Articles of<br />
Incorporation, Bylaws, and policies of the Corporation. There shall be no limit to the<br />
number of years a committee member may serve on a committee or committees. The<br />
meetings of all committees shall be open to attendance by all directors, which directors<br />
may participate in any such meeting but may not vote unless he is a member of the<br />
committee.<br />
All actions of each committee shall be reported to the Board of Directors and shall<br />
be subject to revision and alteration. Each committee shall fix its own rules of procedure,<br />
except as specifically limited by the Board of Directors or these Bylaws. Each committee<br />
shall meet as provided by such rules, or by resolution of the Board of Directors, or a call<br />
by any member of the committee.<br />
Section 15. Nominating Committee. The Executive Director and/or a Nominating<br />
Committee appointed by the President shall present a slate of candidates for the Board of<br />
Directors. Nominations may also be made from the floor at the annual business meeting.<br />
ARTICLE V<br />
OFFICERS AND EMPLOYEES<br />

Section 1. Election. The officers of the Corporation shall be elected by the<br />
membership at the annual business meeting of the membership, and shall consist of a<br />
President, Vice President, a Secretary/Treasurer and such other officers as the Board shall<br />
determine from time to time. The President, Vice President, and Secretary/Treasurer<br />
shall be selected from the Board of Directors of the Corporation. A vacancy in any office<br />
of this Corporation occurring by reason of death, disqualification, resignation or removal<br />
shall be filled for the unexpired portion of the term by the election or appointment of a<br />
successor by the affirmative vote of a majority of a quorum of the remaining directors<br />
present at any meeting of the Board.<br />
Section 2. President. The President shall be the Chief Executive Officer of the<br />
Corporation and shall preside at all meetings of the members, and of the Board of<br />
Directors as Chairperson of the Board. The President shall appoint all committees<br />
required to carry out the activities of the Corporation. The President shall execute all<br />
contracts or instruments requiring an officer’s signature, unless otherwise directed by the<br />
Board, and shall have the general powers and duties usually vested in the office of the<br />
President, and shall have such other powers and perform such other duties as the Board of<br />
Directors may from time to time prescribe.<br />
Section 3. Vice President. The Vice President shall attend all meetings of the<br />
members and all meetings of the Board of Directors and shall exercise and perform the<br />
authorities and duties of the President in the event of the latter’s death, disqualification,<br />
or incapacity, unless otherwise provided by the Board of Directors. The Vice President<br />
shall have such powers, and shall exercise and perform such other authorities and duties<br />
as the Board of Directors shall from time to time prescribe. The Vice President shall be<br />

Vice Chairperson of the Board of Directors. The Vice Chairperson shall act in the<br />
absence of the Chairperson of the Board and shall assume the duties of the Chairperson in<br />
such event.<br />
Section 4. Secretary/Treasurer. The Secretary/Treasurer shall be secretary of,<br />
and shall attend all meetings of, the Board of Directors and the membership and shall<br />
perform such duties as may, from time to time, be prescribed by the Board of Directors.<br />
Section 5. Executive Director. The Executive Director shall serve at the pleasure<br />
of the Board of Directors and shall handle the administrative duties of the Corporation.<br />
The Executive Director shall be appointed at the annual meeting by a majority vote of the<br />
Board of Directors for a term of one (1) year and shall be a non-voting member of the<br />
Board. The Executive Director shall maintain the office of the Corporation, and shall<br />
attend all meetings of the Board of Directors and the membership and record all the<br />
proceedings of the minutes of the Corporation in a book to be kept for that purpose, and<br />
shall perform like duties for the standing committees when required. The Executive<br />
Director shall preserve all documents and records belonging to the Corporation and shall<br />
maintain a list of all members of the Corporation in good standing and give, or cause to<br />
be given, notice of all meetings of the members and all meetings of the Board of<br />
Directors. The Executive Director shall have the care and custody of the corporate funds<br />
and securities and shall receive, disburse and account for all funds and other items of<br />
value belonging to the Corporation as may be ordered from time to time by the Board of<br />
Directors. The Executive Director shall keep full and accurate accounts of receipts and<br />
disbursements in books belonging to the Corporation and shall present a financial<br />
statement at each annual meeting of the Corporation. As requested by the Board of<br />

Directors, the Executive Director will, from time to time, provide an audited financial<br />
statement to the Board of Directors. The Executive Director shall deposit all monies,<br />
securities, and other valuable effects of the Corporation in the name, and to the credit of<br />
the Corporation in such depositories as may be designated from time to time by the Board<br />
of Directors. Except to the extent that some other person or persons may be specifically<br />
authorized by the Board of Directors, the Executive Director shall make, execute, and<br />
endorse all checks and other commercial paper on behalf of the Corporation when<br />
requested by the Board of Directors. The Executive Director shall publish and distribute<br />
a newsletter, and shall perform such other duties as determined by the Board of Directors.<br />
Section 6. Management and Administrative Employees. This Corporation may<br />
have such management and administrative employees from time to time determined<br />
necessary by the Board of Directors. Those employees shall be appointed in a manner,<br />
have the duties and responsibilities, and hold their positions for the time prescribed by the<br />
Board of Directors.<br />
Section 7. Compensation. The officers and employees of this Corporation may<br />
be paid such reasonable compensation, if any, for their services rendered to this<br />
Corporation in those capacities and be reimbursed for reasonable out-of-pocket expenses,<br />
as the Board of Directors from time to time determines to be directly in furtherance of the<br />
purposes of, and in the best interests of, this Corporation.<br />
Section 8. Bond. The Board of Directors of this Corporation shall from time to<br />
time determine which, if any, of the officers, agents, or employees of this Corporation<br />
shall be bonded and the amount of each bond.<br />

Section 9. Removal of Officer. Any officer may be removed at any time, with or<br />
without cause, by the vote of a majority of the membership at any regular meeting or at a<br />
special meeting called for that purpose.<br />
Section 10. Resignation. Any officer may resign at any time. Such resignation<br />
shall be made in writing to the President or the Secretary of the Corporation and shall<br />
take effect at the time specified therein or, if no time be specified, at the time of its<br />
receipt by the President or Secretary. The acceptance of a resignation shall not be<br />
necessary to make it effective.<br />
ARTICLE VI<br />
AWARDS<br />
Member awards for service to the turf and ornamental industry and/or excellence in<br />
communications skills may be established by the Corporation upon recommendation of<br />
the Board of Directors and approval by the membership. Without such approval, no<br />
awards program shall carry endorsement by the Corporation, either specific or implied.<br />
ARTICLE VII<br />
CESSATION OF OPERATIONS AND DISTRIBUTION OF ASSETS<br />
Section 1. Right to Cease Operations and Distribute Assets. By a majority vote<br />
of all directors, the Board may resolve that the Corporation cease operations and<br />
voluntarily dissolve. Such resolution shall set forth the proposed dissolution and direct<br />
designated officers of the Corporation to perform all acts necessary to effect a<br />
dissolution. If notice as required by these Bylaws has been given, the resolution may be<br />
adopted at any meeting of the Board. The resolution to dissolve shall be approved only<br />
upon affirmative vote by three-fourths (3/4) of the members of the Board constituting a<br />

quorum at the meeting during which the resolution is proposed. If there are members<br />
with voting rights, the resolution and plan of dissolution shall be submitted for approval<br />
by the members. Written notice shall be given to each member with voting rights and<br />
such notice shall state that the purpose of the meeting is to consider dissolving the<br />
Corporation. If such cessation and distribution is called for, the Board shall set a date for<br />
commencement of the distribution.<br />
Section 2. Cessation and Distribution. When cessation of operations and<br />
distribution of assets has been called for, the Board of Directors and the designated<br />
officers shall cause the Corporation to discontinue its regular business activities and<br />
operations as soon as practicable, and shall liquidate and distribute all the Corporation's<br />
assets to other entities in accordance with Minnesota Statutes, Section 317A.735. Notice<br />
of intent to dissolve shall be filed with the Secretary of State pursuant to Minnesota<br />
Statutes, Section 317A.723 and 317A.733.<br />
ARTICLE VIII<br />
INDEMNITY<br />
Section 1. Indemnity. Each director, officer, and employee, past or present, of<br />
the Corporation shall be indemnified by the Corporation in accordance with, and to the<br />
fullest extent permitted by, Minnesota Statutes, Section 317A.521. The Corporation shall<br />
not be obligated to indemnify any other person or entity, except to the extent such<br />
obligation shall be specifically approved by resolution of the Board of Directors. This<br />
Section is for the sole and exclusive benefit of the persons designated herein and no<br />
person, firm, or entity shall have any rights under this Section by way of assignment,<br />
subrogation or otherwise, and whether voluntarily, involuntarily, or by operation of law.<br />

Section 2. Insurance. The Corporation may purchase and maintain insurance on<br />
behalf of any person who is or was a director, officer, employee, or agent of the<br />
Corporation, against any liability asserted against and incurred by such person in his<br />
official capacity, or arising out of his status as such, whether or not the Corporation<br />
would have the power to indemnify such person against liability under Minnesota<br />
Statutes, Section 317A.521, the Articles of Incorporation, or these Bylaws. The<br />
Corporation shall have the power to advance to such persons expenses incurred in<br />
defending any such proceeding to the maximum extent permitted by law. This section is<br />
for the sole and exclusive benefit of the directors, officers and employees, past or present,<br />
of the Corporation and no other person, firm, or entity shall have any rights hereunder by<br />
way of assignment, subrogation, or otherwise, whether voluntarily, involuntarily, or by<br />
operation of law.<br />
ARTICLE IX<br />
AMENDMENTS<br />
The Bylaws of the Corporation may be altered, amended or repealed by a three fourths<br />
(3/4) vote of the Board of Directors at any regular or special meeting of the Board,<br />
provided that notice of the proposed changes is included in the notice of such meeting.<br />
Amendments shall be effective immediately upon approval by the Board.<br />
ARTICLE X<br />
GENERAL PROVISIONS<br />
Section 1. Contracts. The Board of Directors may authorize any officer or<br />
officers, agent or agents of the Corporation to enter into any contract or execute and<br />
deliver any instrument in the name and on behalf of the Corporation, and any such<br />

authority may be general or confined to specific instances. Unless so authorized by the<br />
Board of Directors, no officer, agent, or employee shall have any power or authority to<br />
bind the Corporation by any contract or engagement, or to pledge its credit or to render it<br />
liable pecuniarily for any purpose or to any amount.<br />
Section 2. Loans and Pledges. No loans shall be contracted nor pledges or<br />
guarantees given on behalf of the Corporation unless specifically authorized by the Board<br />
of Directors.<br />
Section 3. Authorized Signatures. All checks, drafts, or other orders for the<br />
payment of money, notes, or other evidence of indebtedness issued in the name of the<br />
Corporation shall be signed by such person or persons and in such manner as shall be<br />
from time to time determined by the Board of Directors or these Bylaws.<br />
Section 4. Deposits. All funds of the Corporation shall be deposited to the credit<br />
of the Corporation in such banks, trust companies, or other depositories as the Board of<br />
Directors may designate and shall be disbursed under such general rules and regulations<br />
as the Board of Directors may from time to time determine.<br />
Section 5. Corporate Seal. The Corporation shall not have a corporate seal.<br />
Section 6. Books and Records. The Board of Directors of this Corporation shall<br />
cause to be kept:<br />
(a) Records of all proceedings of the Board of Directors and all committees;<br />
(b) Records of all votes and actions of the members; and<br />
(c) All of the records and books of account as shall be necessary and<br />
appropriate to the conduct of the corporate business.<br />
Section 7. Documents Kept at Registered Office. The Board of Directors shall<br />
cause to be kept at the registered office of this Corporation originals or copies of:<br />

(a) Records of all proceedings of the Board of Directors and all committees;<br />
(b) Records of all votes and actions of the members;<br />
(c) All financial statements of this Corporation; and<br />
(d) Articles of Incorporation and Bylaws of this Corporation and all<br />
amendments and restatements thereof.<br />
Section 8. Accounting System and Audit. The Board of Directors shall cause to be<br />
established and maintained, in accordance with generally accepted accounting principles<br />
applied on a consistent basis, an appropriate accounting and financial reporting system<br />
for this Corporation.<br />
ARTICLE XI<br />
NOTICES AND WAIVER<br />
Section 1. Notices. Whenever, under provisions of Statute, the Articles of<br />
Incorporation, or these Bylaws, notice is required to be given to any member, director, or<br />
committee member, it shall not be construed to mean personal notice, but such notice as<br />
may be given in writing, by mail, addressed to such member, director or committee<br />
member at his address as it appears on the records of the Corporation, with postage<br />
prepaid thereon, and such notice shall be deemed to be given at the time when the same<br />
shall be deposited in the United States mails. Notice may also be given by telegram,<br />
telex, or telephone, followed by written confirmation within five (5) days.<br />
Section 2. Waiver. Whenever any notice is required to be given under the<br />
provisions of Statute, the Articles of Incorporation, or these Bylaws, the person or<br />
persons entitled to notice may waive such notice, whether before or after the time stated<br />
therein, by a signed writing to that effect, which shall be deemed the equivalent of proper<br />
notice.<br />

ARTICLE XII<br />
MISCELLANEOUS<br />
Section 1. Gender References. All references in these Bylaws to a party in the<br />
masculine shall include the feminine and neuter.<br />
Section 2. Plurals. All references in the plural shall, where appropriate, include<br />
the singular and all references in the singular shall, where appropriate, be deemed to<br />
include the plural.<br />

The Undersigned, being the Secretary of the Corporation, does hereby certify that<br />
the foregoing Bylaws of the Corporation were adopted by resolution of the Board of<br />
Directors of the Turf and Ornamental Communicators Association at a duly authorized<br />
