• Purchase of Shares
(a) Subject of paragraph 4 hereof, if at any time:
(i) Love’s employment is terminated by Acuity without cause; or
(ii) Love should cease to be an employee of Acuity by reason of
death or disability,
then subject to paragraph 3(b), Love agrees that Acuity shall have
the option (but not the obligation) to purchase the Shares for a
purchase price, determined at the date that Love so ceases to be an
employee of Acuity, calculated as follows:
