Subsequently it was renamed several times. In 2001 a significant separation of the banking business (carried out by RLB NÖ-Wien) from the participation business (carried out by Raiffeisen-Holding NÖ-Wien) took place. The principle activities of RLB NÖ-Wien comprise all kind of banking business and ancillary business with the exception of the issuance of mortgage bonds and municipality mortgage bonds, the building savings business, the investment business, the real estate fund business, the pension fund business and the participation fund business. RLB NÖ-Wien is active as a regional bank in the East of Austria. The bank serves customers with cross-border business activities as a consultancy bank in the Centrope region (defined as Vienna, Lower Austria, Burgenland and the Czech Republic,
Raiffeisen-Bankengruppe Niederösterreich-Wien 19 Slovakia and Hungary). In Vienna, the Issuer specialises in customer business for small and medium sized companies, in private banking, private customer business as well as increasingly in corporate customer business. RLB NÖ-Wien has 66 locations in Vienna itself. The Issuer is the regional central institution of 72 independent Lower Austrian Raiffeisen Banks with 545 business locations in Lower Austria as of 31 December 2011. The structure and organisation of RLB NÖ-Wien is as follows: • Private and commercial customers • Corporate customers • Financial markets • Risk management/organisation • Raiffeisen Banks/Management Services Raiffeisen-Bankengruppe Niederösterreich-Wien ("RBG NÖ- WIEN") as of 31 December 2011 had 611 business locations in Vienna and Lower Austria, and employed 5,038 members of staff. RBG NÖ-WIEN managed about EUR 22.96 billion in customer deposits as of 31 December 2011; the customer credit volume amounted to about EUR 19.24 billion (consolidated, not audited). The consolidated balance sheet total of RBG NÖ-Wien as of 31 December 2011 amounted to EUR 40.53 billion (not audited). Participations RLB NÖ-Wien holds participations in banks and bank-related companies. RLB NÖ-Wien with a 31.92 % (direct and indirect) participation is the largest shareholder of Raiffeisen Zentralbank Österreich AG ("RZB") (31 December 2011). RZB with a participation of 78.5 % (31 December 2011) is the largest shareholder of Raiffeisen Bank International AG ("RBI"). RBI group is a fully integrated corporate and retail banking group in CEE (including Austria). RLB NÖ-Wien furthermore holds a participation in Raiffeisen Bank Zrt., Budapest (16.23 %) (31 December 2011). Material Contracts A profit and loss transfer agreement was concluded between Raiffeisen-Holding NÖ-Wien and RLB NÖ-Wien. On basis of this agreement the entire annual result of RLB NÖ-Wien (after the fixed payment on participation capital) is transferred to the Raiffeisen-Holding NÖ-Wien, respectively taken over by it. Raiffeisen-Holding NÖ-Wien and RLB NÖ-Wien concluded a group taxation contract in the year 2005, which enabled the group to make use of the tax regulations in the framework of the tax reform law of 2005. As the central institution of the RBG NÖ-Wien, the Issuer concluded bilateral liquidity management agreements in 2007 with all Lower Austrian Raiffeisen Banks and with Raiffeisen- Holding NÖ-Wien which have been amended as of March 2010. RLB NÖ-Wien is a member of the Raiffeisen- Kundengarantiegemeinschaft Österreich, the Raiffeisen- Einlagensicherung Niederösterreich-Wien reg. Gen.m.b.H and the Solidaritätsverein.
