f) SUPPLIER shall carry on its activities so as to not interfere with normal
operations of the Facility. SUPPLIER shall comply strictly with all
applicable rules and regulations from time to time established by USER
concerning use of the Facility and Facility site, including rules and
regulations relating to traffic and parking. The current rules and
regulations are attached hereto in the Appendix.
3. Term
This Agreement shall commence as of the date hereof and continue for a
period of twenty (20) years (the “Initial Term”), unless earlier terminated as
provided herein. The Parties shall have the right to extend this Agreement for
a period to be decided on by the parties (“Renewal Terms”). All renewals
shall have the same terms, conditions, and fees as set forth herein, unless
agreed to otherwise in writing by both Parties in an amendment to this
Agreement.
4. Invoicing and Payment
a) All vehicles of SUPPLIER shall be weighed in at scales operated by
USER at the time of each delivery. In addition, at time of first delivery and
on a periodic basis as determined from time to time, vehicles shall be
weighed empty to confirm the correct tare weights. Vehicles will bear
markings satisfactory to USER to allow for proper and expeditious
weighing and billing.
b) The USER shall pay to the SUPPLIER a fee of US$1 per ton for
acceptable Waste supplied to the facility.
c) The USER shall provide the SUPPLIER with a monthly statement setting
forth for such period the total number of Acceptable Waste delivered to
the Facility and accepted by the USER for the preceding month. The
SUPPLIER shall invoice the USER based on the said monthly statement.
5. Indemnity.
a) SUPPLIER shall defend, protect, and indemnify USER, its Directors,
officers, employees, other agents and contractors of any tier of any of
