157 GENERAL INFORMATION (1) This Base Prospectus has been approved by the CSSF, as competent authority in Luxembourg for the purposes of the Prospectus Directive. Application has been made for a certificate of approval attesting that this Base Prospectus has been drawn up in accordance with the Prospectus Directive by the CSSF to (i) the AMF, as competent authority in France for the purposes of the Prospectus Directive, (ii) the CONSOB, as competent authority in Italy for the purposes of the Prospectus Directive and (iii) the FSA, as competent authority in the United Kingdom for the purposes of the Prospectus Directive. This Base Prospectus has not been submitted to the clearance procedures of the AMF. In compliance with Article 18 of the Prospectus Directive, such notification may also be made from time to time at the Issuer's request to any other competent authority of any other Member State of the EEA. Notes issued under the Programme may be listed and admitted to trading on any other Regulated Market in such Member State of the EEA and/or offered to the public in any Member State of the EEA. (2) The Issuer has obtained all necessary consents, approvals and authorisations in France in connection with the establishment of the Programme. Any issuance of Notes under the Programme, to the extent that such Notes constitute obligations under French law, require the decision of the Board of Directors (Conseil d’Administration) of the Issuer or, as the case may be, the decision of any person acting by delegation of the Board of Directors (Conseil d’Administration) of the Issuer. For this purpose the Board of Directors (Conseil d’Administration) of the Issuer has delegated on 29 July 2008 to its Chief Executive Officer (Directeur Général) Peter Boyles, and pursuant to proposal of the latter, to its Executive Directors and Deputy Chief Executive Officers (Administrateurs et Directeurs Généraux Délégués) Christophe de Backer and Gilles Denoyel, and to Didier Descamps, Thibaut de Roux, and/or Franck Carminati, all powers to issue obligations and to determine their Final Terms and conditions, up to a maximum aggregate amount of € 10,000,000,000 for 1 year from 29 July 2008. Any drawdown of Notes, to the extent that such Notes do not constitute obligations under French law, fall within the general powers of the directeur général or a directeur général délégué of the Issuer. (3) Except as disclosed in this Base Prospectus, there has been no significant change in the financial position of the Issuer or the Group since 30 June 2008. (4) Except as disclosed in this Base Prospectus, there has been no material adverse change in the prospects of the Issuer or the Group since 31 December 2007. (5) Neither the Issuer nor any other member of the Group is or has been involved in any governmental, legal or arbitration proceedings (including any such proceeding which are pending or threatened of which the Issuer is aware), during a period covering at least the previous 12 months which may have, or have had in the recent past, significant effects on the financial position or profitability of the Issuer. (6) Except as disclosed in this Base Prospectus, there are no material contracts that are not entered into the ordinary course of the Issuer’s business which could result in any member of the Group being under an obligation or entitlement that is material to the Issuer’s ability to meet its obligation to Noteholders in respect of the Notes being issued. (7) In respect of derivatives securities as defined in Article 15.2 of Commission Regulation no.809/2004, the Issuer will not provide any post-issuance information concerning the underlying, except if required by
