SUPPLEMENT TO THE BASE PROSPECTUS
If at any time the Issuer shall be required to prepare a supplement to the Base Prospectus pursuant to the provisions
of Article 13 of the loi relative aux prospectus pour valeurs mobilières in Luxembourg implementing Article 16 of
the Prospectus Directive, following the occurrence of a new factor, a material mistake or inaccuracy or omission
relating to the information included in this Base Prospectus (including the "Terms and Conditions" of the Notes)
which is capable of affecting the assessment of any notes whose inclusion would reasonably be required by
investors and their professional advisers, the Issuer will prepare and make available an appropriate supplement to
this Base Prospectus or a restated Base Prospectus, which in respect of any subsequent issue of Notes to be
admitted to trading on the Luxembourg Stock Exchange and listed on the Official List of the Luxembourg Stock
Exchange or on a Regulated Market of a Member State of the EEA or to be offered to the public in Luxembourg
or in any Member State of the EEA, shall constitute a supplement to the Base Prospectus for the purpose of the
relevant provisions of the loi relative aux prospectus pour valeurs mobilières dated 10 July 2005.
