"Index Linked <strong>Note</strong>" means a Series of <strong>Note</strong>s in respect of which an amount which shall be calculated<br />
by reference to an index or a basket of indices and/or a formula is payable (as indicated in the relevant<br />
Final <strong>Term</strong>s).<br />
"Index Sponsor" means the corporation or other entity that (a) is responsible for setting and reviewing<br />
the rules and procedures and the methods of calculation and adjustments, if any, related to the relevant<br />
Index; and (b) announces (directly or through an agent) the level of the relevant Index on a regular basis<br />
during each Scheduled Trading Day. The entity which is the Index Sponsor on the Issue Date, may be<br />
specified as such in the applicable Final <strong>Term</strong>s.<br />
"Initial Index Level" means the level of the Index specified as such or otherwise determined in the<br />
relevant Final <strong>Term</strong>s or, if no such level is specified or otherwise determined in the relevant Final<br />
<strong>Term</strong>s, the level of the Index as determined by the Calculation Agent as of the Valuation Time on the<br />
relevant Exchange on the Strike Date, subject to adjustment from time to time in accordance with the<br />
provisions set forth in Condition 10(f) below.<br />
"Market Disruption Event" means the occurrence or existence of (i) a Trading Disruption, (ii) an<br />
Exchange Disruption, which in either case the Calculation Agent determines is material, at any time<br />
during the one hour period that (a) for the purposes of the occurrence of a Knock-in Event or a Knockout<br />
Event begins and/or ends at the time on which the level of the relevant Index triggers respectively<br />
the Knock-in Level or the Knock-out Level or (b) in all other circumstances, ends at the relevant<br />
Valuation Time or (iii) an Early Closure. For the purposes of determining whether a Market Disruption<br />
Event exists at any time, if a Market Disruption Event occurs in respect of a security included in the<br />
Index at any time, then the relevant percentage contribution of that security to the level of the Index<br />
shall be based on a comparison of (x) the portion of the level of the Index attributable to that security<br />
and (y) the overall level of the Index, in each case immediately before the occurrence of such Market<br />
Disruption Event.<br />
"Reference Level" means, in respect of any Averaging Date and an Index, the level of such Index as<br />
determined by the Calculation Agent as of the Valuation Time on the Exchange on such Averaging Date.<br />
"Related Exchange" means in respect of an Index the exchange or quotation system specified as such<br />
in the relevant Final <strong>Term</strong>s, any successor to such exchange or quotation system or any substitute<br />
exchange or quotation system to which trading in futures or options contracts relating to the Index has<br />
temporarily relocated (provided that the Calculation Agent has determined that there is comparable<br />
liquidity relative to the futures or options contracts relating to such Security on such temporary<br />
substitute exchange or quotation system as on the original Related Exchange), provided, however, that<br />
where "All Exchanges" is specified as the Related Exchange in the relevant Final <strong>Term</strong>s, "Related<br />
Exchange" shall mean each exchange or quotation system where trading has a material effect (as<br />
determined by the Calculation Agent) on the overall market for futures or options contracts relating to<br />
such Index.<br />
"Scheduled Closing Time" means, in respect of an Exchange or Related Exchange and a Scheduled<br />
Trading Day, the scheduled weekday closing time of such Exchange or Related Exchange on such<br />
Scheduled Trading Day, without regard to after hours or any other trading outside of the regular trading<br />
session hours.<br />
"Scheduled Trading Day" means any day on which the relevant Exchange and the relevant Related<br />
Exchange are scheduled to be open for trading for their respective regular trading sessions.
