Directors’ Report EMPLOYMENT AND OTHER POLICIES The Group is dependent on the skills and commitment of its employees and recognises the importance of creating a workplace in which all employees are inspired and enabled to give their best. A core set of common values means that employees at all levels of the business are encouraged to make the fullest possible contribution as their performance is central to the successful delivery of the Group’s objectives. To attract and retain these skills, the Group is committed to equal opportunities and the creation of an entirely nondiscriminatory working environment. The aim of the policy is to ensure that no job applicant or employee receives less favourable treatment because of, amongst other matters, gender, marital status, race, age, sexual preference, religion, belief or disability. All decisions are based on the merits of the individual concerned. The Group is dedicated to undertaking its business operations in a way which respects individual human rights, treats individuals with dignity and allows freedom of association. The Group gives full consideration to applications for employment from disabled persons where the requirements of the job can be adequately fulfilled by people with disabilities. We endeavour to retain the employment of, and arrange suitable retraining for, any employee who becomes disabled during their employment as well as providing training, career development and promotion to disabled employees wherever appropriate. The Group’s employment policies and procedures are described in detail in its Staff Handbook, which is available to all employees on its internal information portal. This Handbook takes account of relevant employment legislation and best practice. New policies, procedures and related training are developed as required. The Group’s anti-bribery and corruption code of conduct sets out how Group employees, Publicans and suppliers must act to ensure that our zero tolerance approach to bribery and corruption is upheld. The Group believes that effective training is essential to improvement of the Group’s success and to individual performance. The Group is committed to providing all employees with relevant training to meet the business needs of the Group. All employees are provided with initial training upon joining the Group and are set challenging personal objectives. Annual Report 2012 Our Governance Emphasis is placed on effective communication regarding matters that may affect employees and the overall performance of the Group. Employee engagement is met through a variety of means, including regular briefings and team meetings. The Group’s internal information portal is also widely used to ensure employees are regularly updated on developments and news; feedback is encouraged. In addition, the Group regularly publishes “empower” (also available on the Company’s website) which contains items of news, current affairs and information relevant to the Group’s employees and Publicans. Employees are entitled to participate in the Group’s discretionary bonus scheme and the Company encourages employee ownership of its shares through the provision of the following employee share plans administered by Computershare Plan Manager: • the Save As You Earn Scheme in which 162 employees have entered into savings contracts for either five or seven years at the end of which they are entitled to purchase shares at a discount of 20% of the market price of the shares at the time of the issue of the options; and • the Share Incentive Plan in which 256 employees have purchased shares out of pre-tax income up to statutory limits which are held in a trust. The Company currently offers a matching share award to employees purchasing shares in accordance with the Share Incentive Plan. In recognition of our employment policies, we have attained the status of an Investors In People Champion. 14
Directors’ Report CORPORATE SOCIAL RESPONSIBILITY The Group recognises its responsibility to operate its business in an ethical and responsible manner. The Group believes that the interests of entrepreneurial pub businesses need to be aligned with the interests of local communities and consumers. We therefore seek to ensure that our pubs provide a friendly, safe and controlled environment and promote a positive contribution to their local communities. The Group works to ensure that it provides the right resources, energy and focus to meet the expectations of our Publicans and other stakeholders in this area. This work is recognised by our continued inclusion in the FTSE4Good Index. Full details of our corporate social responsibility programme and strategy can be found on our website: enterpriseinns.com CHARITABLE AND POLITICAL DONATIONS At pub level, the Group supports local community initiatives and charitable causes through the appropriate use of marketing investment. The Group does not make any corporate charitable donations. The Group has not made any political donations during the year and intends to continue its policy of not doing so for the foreseeable future. In addition, this year we created our Community Hero Awards to honour those Publicans who make inspiring contributions to their community and charitable causes. From applications from across the nation, 18 Publicans were chosen as the Regional Winners of 2012, one of which was then crowned as the ultimate Community Hero winner. In total, £100,000 was donated to these Publicans as a contribution to further fund and support the great community and charitable work they already do in their local area. ANNUAL GENERAL MEETING The AGM will be held on 31 January 2013. The Notice convening the AGM and an explanation of the resolutions to be put to the meeting are set out on pages 109 to 114. The directors consider that all of the proposed resolutions are in the best interests of the Company and its shareholders as a whole. It is the directors’ recommendation that you support the proposed resolutions and vote in favour of them, as each of the directors intend to do. ADDITIONAL INFORMATION Set out below is a summary of certain provisions of the Company’s current Articles of Association (the Articles) and applicable provisions of the Companies Act 2006 (the Companies Act). More detailed information can be found in the Articles and the Companies Act. Articles of Association The Articles (adopted by special resolution on 17 January 2008 and amended by a special resolution passed on 21 January 2010) may only be amended by special resolution at a general meeting of the shareholders.
