A The Officials Committee Chairman, the Chairman of the NCAA Men’s and Women’s<br />
<strong>Swimming</strong> Committee, the Chairman of the High School <strong>Swimming</strong> (NFHS) <strong>Rule</strong>s Committee,<br />
the Technical Vice President, the Program Operations Vice President, the immediate<br />
past Chair of the <strong>Rule</strong>s & Regulations Committee, the <strong>USA</strong> <strong>Swimming</strong> representative<br />
to the FINA Open Water <strong>Swimming</strong> Technical Committee and the <strong>USA</strong> <strong>Swimming</strong> representative<br />
to the FINA Technical Committee, or their respective designees;<br />
B A sufficient number of active athletes appointed by the Athletes Committee so as to<br />
constitute twenty percent (20%) of the voting membership of the Committee;<br />
C A representative, or his/her designee, from each Allied member, on condition that within<br />
thirty (30) days following the annual meeting of <strong>USA</strong> <strong>Swimming</strong> in even-numbered years<br />
the member informs <strong>USA</strong> <strong>Swimming</strong> in writing of its desire to appoint a representative;<br />
D Eight (8) members appointed by the President, none of whom shall be members of the<br />
Board of Directors, and at least three of whom shall be coaches; and<br />
E The Executive Director, the Secretary/General Counsel of the Corporation, and others<br />
appointed by the <strong>Rule</strong>s & Regulations Committee Chairman, as ex-officio members<br />
with voice but no vote.<br />
.2 The President shall appoint a Chair, with approval of the House of Delegates, to serve two<br />
years. The Chair shall appoint one or more secretaries from among committee members.<br />
.3 The <strong>Rule</strong>s & Regulations Committee shall hold at least one meeting of its members each<br />
year, at a time and place approved by the Committee, for consideration of amendments and<br />
interpretations of the <strong>Rule</strong>s and Regulations.<br />
.4 The <strong>Rule</strong>s & Regulations Committee or its designee shall have the sole authority to officially<br />
interpret Part One, the authority to interpret the remainder of these <strong>Rule</strong>s and Regulations,<br />
and shall be responsible for all redistricting procedures for <strong>USA</strong> <strong>Swimming</strong>.<br />
506.5 Investment Committee — There shall be an Investment Committee of five (5) persons.<br />
Two (2) of the members shall be the President, or the President’s duly appointed representative,<br />
and the Treasurer. The remaining three (3) members shall be appointed jointly by the<br />
President and Treasurer with the approval of the Board of Directors. One (1) member shall be<br />
appointed each year to serve a three-year term. At least two (2) of the appointed members shall<br />
be non-members of the Board of Directors, one (1) of whom shall be appointed chairman by the<br />
President and Treasurer with the approval of the Board of Directors. At least one (1) of the<br />
appointed members shall be an athlete.<br />
506.6 Governance Committee<br />
.1 Membership: The Governance Committee shall consist of eight members appointed by the<br />
President, sufficient athlete appointments to constitute at least 20% of the voting membership<br />
of the committee, and the Secretary/General Counsel who shall have voice but no vote. There<br />
shall be no current voting members of the Board of Directors appointed to this committee.<br />
.2 Each non-athlete member shall serve a four-year term, staggered so that one-fourth of such<br />
members are appointed each year.<br />
.3 Responsibility: The Governance Committee shall:<br />
A Be responsible for the review of governance practices by the Board of Directors, the<br />
House of Delegates and the various committees;<br />
