DISCLOSure OF Recurrent related party transactions (CONTINUED)<br />

The HTSB Subsidiaries collectively hold 9.12% direct<br />

equity interest in ASTRO under discretionary trusts for<br />

Bumiputera objects. As such, THO, Dato’ Badri and MSM<br />

do not have any economic interest over these ASTRO<br />

Shares held by the HTSB Subsidiaries as such interest is<br />

held subject to the terms of the discretionary trusts for<br />

Bumiputera objects. Further, as THO, Dato’ Badri and<br />

MSM do not exercise or control the exercise of at least<br />

15% of the votes attached to the voting shares in ASTRO,<br />

they are not deemed to have an interest in the shares of<br />

DFSB, MBNS, AMP, AESB, Maestro and KASB.<br />

Dato’ Badri is also deemed to have an interest over<br />

500,000 ASTRO Shares representing 0.03% of the issued<br />

and paid-up share capital in ASTRO held by Ratna Pelangi<br />

Sdn Bhd (“RPSB”), by virtue of his 99% direct equity<br />

interest in RPSB. In addition, Dato’ Badri who is the<br />

Chairman and a director of ASTRO, is also a director of<br />

MBNS, KASB and several other subsidiaries of ASTRO.<br />

MSM has a direct equity interest over 11,000 Shares<br />

representing 0.0001% of the issued and paid-up share<br />

capital in <strong>Maxis</strong> and also a direct equity interest over<br />

166,600 ASTRO Shares representing 0.01% of the issued<br />

and paid-up share capital in ASTRO. Please refer to Note<br />

4 for MSM’s interests in the UTSB Group.<br />

Dato’ Mohamed Khadar bin Merican (“Dato’ Khadar”), a<br />

director of ASTRO is a person connected to MSM. Dato’<br />

Khadar has a direct equity interest over 250,000 ASTRO<br />

Shares representing 0.01% of the share capital in ASTRO<br />

held through a nominee.<br />

(2) TCCPM<br />

TCCPM is a wholly-owned subsidiary of Tanjong Public<br />

Limited Company (“Tanjong”).<br />

UTSB is also a major shareholder of Tanjong with equity<br />

interests over 124,688,000 shares of 7.5 pence each<br />

representing 30.92% of the issued and paid-up share<br />

capital in Tanjong.<br />

PSIL, Excorp and PanOcean are also major shareholders of<br />

Tanjong with each having an indirect interest of 30.92%<br />

in Tanjong.<br />

TAK is also a major shareholder of Tanjong with deemed<br />

equity interest of 30.92% in Tanjong. Although TAK and<br />

PanOcean have deemed interest in the Tanjong shares,<br />

they do not have any economic or beneficial interest over<br />

such shares, as such interest is held subject to the terms<br />

of a discretionary trust.<br />

UTSB, PSIL, Excorp, PanOcean and TAK each has a<br />

deemed equity interest of 100% in TCCPM by virtue of<br />

their deemed interest in Tanjong shares as set out above.<br />

Please refer to Note 1 above for interests in <strong>Maxis</strong> of<br />

UTSB, PSIL, Excorp, PanOcean and TAK.<br />

CCB who is a Director, is also an executive director of<br />

UTSB and a director of a subsidiary of Tanjong, MMSSB,<br />

MBSB, MMSB and certain subsidiaries of <strong>Maxis</strong>. ARM is<br />

an executive director of Tanjong and has a direct equity<br />

interest over 520,000 Tanjong shares representing 0.13%<br />

of the issued and paid-up share capital in Tanjong. ARM<br />

and CCB do not have any equity interest in UTSB and<br />

TCCPM. Please refer to Note 1 above for ARM’s interests<br />

in <strong>Maxis</strong>.<br />

CCB has a direct equity interest over 750,000 Shares<br />

representing 0.01% of the share capital in <strong>Maxis</strong>. CCB<br />

does not have any equity interest in Tanjong.<br />

Asgari who is a Director with a direct equity interest over<br />

750,000 Shares representing 0.01% of the issued and<br />

paid-up share capital in <strong>Maxis</strong>, has a deemed interest over<br />

6,406,000 Tanjong shares representing 1.59% of the<br />

issued and paid-up share capital in Tanjong.<br />

MSM also has a deemed interest over 8,596,000 Tanjong<br />

shares representing 2.13% of the issued and paid-up<br />

share capital in Tanjong. Please refer to Note 1 above for<br />

details of MSM’s interests in <strong>Maxis</strong>.<br />

(3) MSS<br />

TAK is also a major shareholder of MEASAT Global Berhad<br />

(“MGB”) with a deemed equity interest over 232,233,703<br />

ordinary shares of RM0.78 each representing 59.56% of<br />

the issued and paid-up share capital in MGB and hence<br />

of MSS. MSS is a wholly-owned subsidiary of MGB.<br />

Please refer to Note 1 above for details of TAK’s interests<br />

in <strong>Maxis</strong>.<br />

THO is also a director of MSS. Please refer to Note 1<br />

above for details of THO’s interests in <strong>Maxis</strong>. THO does<br />

not have any equity interest in the shares of MGB or in<br />

MSS.<br />

ARM and CCB are also directors of MGB and MSS. ARM<br />

and CCB do not have any equity interest in the shares of<br />

MGB or MSS. Please refer to Notes 1 and 2 above for<br />

ARM’s and CCB’s interests in <strong>Maxis</strong> respectively.
