Mr. Yin has about 40years of experience in accounting and finance and held key executive positions in various Chinese and multinationalcompanies in China including Dupont Textile, Dupont Agricultural Chemicals, Brilliance Holding and Shenyang JinbeiPassenger Vehicle Manufacturing Co. Ltd. Mr. Yin was accredited as one of “The 10 Most Outstanding Chief FinancialOfficers” in the PRC in year 2006.Mr. Wang Yang, aged 37, joined the Group as a Non-executive Director on 15 September 2010. Mr. Wang holds aBachelor of Engineering dual-degree in Management Engineering and Computer Science and a Master of Science Degreein Management Science and Engineering from the Shanghai Jiaotong University. Mr. Wang used to work in GoldmanSachs (“Goldman Sachs”) Principle Investment Area as a managing director. From 2006 to 2010, working in GoldmanSachs, he focused on private equity investments in China. During the period, he led the Goldman Sachs’ US$245 millionconvertible bond investment transaction in the Company. Prior to that, Mr. Wang worked in China International CapitalCorporation (“CICC”) investment banking division as a vice president from 2002 to 2006, focusing on China-basedcompanies’ initial public offerings and restructurings. Mr. Wang served major state-owned enterprises in various sectorsduring this period. Prior to CICC’s investment banking division, Mr. Wang worked in CICC’s Private Equity Group from2000 to 2001.INDEPENDENT NON-EXECUTIVE DIRECTORSMr. Song Lin, aged 49, joined the Group as an Independent Non-executive Director on 27 September 2004. Mr. Songholds a Bachelor’s Degree in Solid Mechanics from the University of Tong Ji in Shanghai, China. He is concurrentlychairman of China Resources (<strong>Holdings</strong>) Company <strong>Limited</strong> and China Resources National Corporation. Mr. Song isalso a non-executive director of The Bank of East Asia (China) <strong>Limited</strong>. Mr. Song was previously the chairman of ChinaResources Power <strong>Holdings</strong> Company <strong>Limited</strong> (HK Stock Code: 836) between the periods from 23 August 2003 to 8 July2010 and 29 April <strong>2011</strong> to 20 October <strong>2011</strong>. Mr. Song was also the chairman of China Resources Enterprise, <strong>Limited</strong>(HK Stock Code: 291), China Resources Land <strong>Limited</strong> (HK Stock Code: 1109) and China Resources Logic <strong>Limited</strong> (nowrenamed as China Resources Gas Group <strong>Limited</strong>) (HK Stock Code: 1193) and an independent non-executive directorof China Merchants Bank Co., Ltd. (HK Stock Code: 3968).Mr. Lee Cheuk Yin, Dannis, aged 41, joined the Group as an Independent Non-executive Director on 28 June 2002.He obtained the Bachelor of Business Administration from Texas A & M University, the USA. He is an associate memberof the Hong Kong Institute of Certified Public Accountants and a member of the American Institute of Certified PublicAccountants. He possesses over 19 years of experience in accounting and auditing field. Mr. Lee is an independentnon-executive director of Tiangong International Company <strong>Limited</strong> (HK Stock Code: 826). He was an executive directorof both Guojin Resources <strong>Holdings</strong> <strong>Limited</strong> (HK Stock Code: 630) and AMVIG <strong>Holdings</strong> <strong>Limited</strong> (HK Stock Code: 2300)and a non-executive director of Kam Hing International <strong>Holdings</strong> <strong>Limited</strong> (HK Stock Code: 2307).Mr. Yeung Sau Hung, Alex, aged 62, joined the Group as an Independent Non-executive Director on 6 June 2005.Mr. Yeung is presently a managing partner of Wyndham Advisors <strong>Limited</strong> after his retirement from the role of chiefexecutive officer of DBS Vickers Hong Kong. Mr. Yeung is also a consultant to Sun Fook Kong Group, one of the leadingconstruction companies in Hong Kong. Mr. Yeung is a MBA graduate from the University of Southern California andbrings with him more than 30 years of experience in the financial services industry. His experience includes investmentresearch, securities operations, equity sales, primary equities origination and syndication and general management.Prior to joining DBS Vickers Securities, Mr. Yeung was the deputy chairman of the management committee of a listedconsumer electronics company for four years. Before that, he was the country head of Greater China Equities and themanaging director of Deutsche Securities Hong Kong.19

Mr. Fu hasbeen the executive vice president and secretary-general of Society of Automotive Engineers of China since 1999. Mr. Fuhas extensive professional and management experience in the automotive industry, particularly in the field of automotiveengineering. He joined FAW Group immediately after his graduation from the Department of Machinery of the BeijingInstitute of Machinery (currently known as Beijing Information Science & Technology University) with a Bachelor’s Degreein Machinery in 1970. From 1970 to 1990, Mr. Fu served the Harbin Transmission Factory of FAW Group in variouskey engineering positions, including assistant director, executive vice director and chief engineer. From 1990 to 1999,Mr. Fu worked at the Harbin Automotive Industry Corporation as vice president and was later promoted to the positionof president.SENIOR MANAGEMENTMr. Zhang Yi, Ian, aged 49, joined the Group on 1 March 2010 and is responsible for risks assessment and internalcontrol in China operations of the Group. Mr. Zhang holds a Bachelor of Engineering Degree with a major in InternalCombustion Engine from Xi’an Jiaotong University and a Master’s Degree in Business Administration from Sino-CanadianJoint MBA Program. Prior to joining the Group, Mr. Zhang worked in various senior management positions with leadingmultinational automotive companies, with extensive experience in strategic planning, business development, operationsand compliance management. Mr. Zhang was appointed as the Vice President of the Company with effect from 5November 2010.Mr. Dai Yang, Daniel, aged 57, joined the Group as the Vice President (International Business) on 5 May 2005 and ismainly responsible for the investor relation and international business in Hong Kong. Mr. Dai holds a Master’s Degreeof Linguistics from Beijing Foreign Language Institute and a Bachelor’s Degree of Arts from Beijing Normal College. Mr.Dai started his career with China Resources (<strong>Holdings</strong>) Co. Ltd. in Hong Kong in 1986 and his last position at ChinaResources Group was an assistant general manager of China Resources Investment Co. Ltd. Then, Mr. Dai joined DaFang Investment Co. Ltd. in Hong Kong as a general manager. Prior to joining the Company, Mr. Dai has mainly focusedhis career on projects investment.Mr. Cheung Chung Yan, David, aged 36, joined the Group as the Financial Controller and Company Secretary on 17May 2005. He is also a director of DSI <strong>Holdings</strong> Pty <strong>Limited</strong>, a wholly-owned subsidiary of the Company. Mr. Cheungholds a Bachelor’s Degree in Business Administration in Accounting from the Hong Kong University of Science andTechnology in 1997. He is a fellow member of the Association of Chartered Certified Accountants. Mr. Cheung has over14 years of experience in auditing, accounting and financial management.20
