Annual Report 2011Geely Automobile Holdings LimitedDirectors’ReportThe Directors present their annual report together with the audited consolidated financial statements of the Companyfor the year ended 31 December 2011.PRINCIPAL ACTIVITIESThe Company is an investment holding company. The principal activities of the Company’s subsidiaries are set out innote 41 to the consolidated financial statements.RESULTSThe results of the Group for the year ended 31 December 2011 are set out in the consolidated income statement andconsolidated statement of comprehensive income on page 56 and page 57, respectively of the annual report. The directorsrecommend the payment of a final dividend of HK2.8 cents per share to the shareholders on the register of memberson 31 May 2012, amounting to approximately RMB183,833,000.CLOSING OF REGISTER OF MEMBERSThe register of members of the Company will be closed from 16 May 2012 to 18 May 2012, both dates inclusive,during which period no transfer of shares will be registered. In order to establish entitlements of attending and votingat the forthcoming annual general meeting of the Company to be held on 18 May 2012, all completed transfer formsaccompanied by the relevant share certificates must be lodged with the Company’s Share Registrar in Hong Kong, UnionRegistrars Limited, at 18/F., Fook Lee Commercial Centre Town Place, 33 Lockhart Road, Wan Chai, Hong Kong, forregistration not later than 4:00 p.m. on 15 May 2012 (Hong Kong Time).The register of members of the Company will be closed from 29 May 2012 to 31 May 2012, both dates inclusive, duringwhich period no transfer of shares will be registered. In order to qualify for the proposed final dividend, all completedtransfer forms accompanied by the relevant share certificates must be lodged with the Company’s Share Registrar inHong Kong, Union Registrars Limited, at 18/F., Fook Lee Commercial Centre Town Place, 33 Lockhart Road, Wan Chai,Hong Kong, for registration not later than 4:00 p.m. on 28 May 2012 (Hong Kong Time).FINANCIAL SUMMARYA summary of the results and assets and liabilities of the Group for the past five financial years is set out on page 3 ofthe annual report.PROPERTY, PLANT AND EQUIPMENT AND INTANGIBLE ASSETSDetails of movements during the year in the property, plant and equipment and intangible assets of the Group are setout in note 15 and note 16, respectively, to the consolidated financial statements. During the year, there was also asignificant increase in the property, plant and equipment and intangible assets. Such increase was a combination of (a)the completion of acquisition of another manufacturing plant in Cixi of Zhejiang province, the PRC; and (b) the additionsused for the research and development of new vehicle models, new engines and gearboxes; the expansion and upgradingof production facilities of the Group.SHARE CAPITALDetails of the share capital of the Company are set out in note 28 to the consolidated financial statements.36
