AB 2224 — 10 —12345678910111213141516171819202122232425262728293031323334353637383940Gate Bridge, Highway and Transportation District, the County ofMarin, or the Marin County Transit District, or any other publicagency, may be transferred to the district. The transfer of anyright-of-way from the Northwestern Pacific Railroad Authority,the Golden Gate Bridge, Highway and Transportation District, theCounty of Marin, or the Marin County Transit District to thedistrict shall be made subject to any existing easements for freightand passenger excursion service issued to the North Coast RailroadAuthority prior to the time of the transfer.(d) Upon the dissolution of the Sonoma-Marin Area RailTransit Commission, the district shall assume, without anycondition whatsoever, all responsibilities and obligationspreviously assumed by the commission with respect to its fundtransfer agreement with Caltrans for the funding of theSonoma-Marin Area Rail Transit Project.(e) On and after the date of dissolution of the Sonoma-MarinArea Rail Transit Commission and the Northwestern PacificRailroad Authority, any reference in any provision of law orregulation to the commission or the authority shall be deemed torefer to the district.CHAPTER 3.Article 1.GOVERNMENT OF DISTRICTBoard of Directors105020. The government of the district shall be vested in aboard of directors, which shall consist of 12 members, appointedas follows:(a) Two members of the Sonoma County Board of Supervisors,each of whom shall also serve on the Board of Directors of theSonoma County Transportation Authority, appointed by theSonoma County Board of Supervisors.(b) Two members of the Marin County Board of Supervisors,appointed by the Marin County Board of Supervisors.(c) Three members, each of whom shall be a mayor or councilmember of a city or town within the County of Sonoma, appointedby the Sonoma County Mayors and Council Members Associationor its successor, provided the following conditions are met:(1) At least two members are also city representatives for theSonoma County Transportation Authority.93
12345678910111213141516171819202122232425262728293031323334353637383940— 11 —AB 2224(2) All of the members are from cities on the rail line in SonomaCounty.(3) No city has more than one member.(d) The member of the City Council of the City of Novato whoalso serves on the Marin County Congestion Management Agency,appointed by the Marin County Congestion Management Agencyor its successor.(e) The member of the City Council of the City of San Rafaelwho also serves on the Marin County Congestion ManagementAgency, appointed by the Marin County Congestion ManagementAgency or its successor.(f) One member, who shall be a mayor or council member ofa city or town within the County of Marin and a member of theMarin County Congestion Management Agency, appointed by theMarin County Council of Mayors and Council Members or itssuccessor.(g) Two members of the Golden Gate Bridge, Highway andTransportation District, neither of whom shall be a member of theMarin or Sonoma County Boards of Supervisors, appointed by theGolden Gate Bridge, Highway and Transportation District or itssuccessor.105021. (a) The 12 members of the board shall servestaggered, four-year terms.(b) Within 60 days of its occurrence, any vacancy on the boardshall be filled by the body that originally made the appointment tothe office in which the vacancy exists.105022. The board may fix the amount of compensation to bepaid to each member of the board. The compensation shall notexceed five hundred dollars ($500) in any one calendar month.Each member shall be allowed necessary traveling and personalexpenses incurred in the performance of his or her duties as maybe authorized by the board.105023. In the event that new territory is annexed to thedistrict pursuant to Chapter 7 (commencing with Section 105280),and upon the affirmative vote of a majority of directors, whichshall include an affirmative vote of at least three directors fromeach county within the district appointed pursuant to subdivisions(a) to (f), inclusive, of Section 105020, the board may restructurethe membership of the board to provide representation of the newterritory on the board.93
