THE NAVY LEAGUE OF CANADABY-LAWS.04 PERSONS ENTITLED TO ATTENDThe Persons entitled to be present are:(a)At an Annual General Meeting:i. all Division Council Members;ii. members of the National Board of Directors;iii. Individual, Associate and Life Members from within the division;iv. the auditors; and,v. such other Persons as the Division may permit to attend; and,(b) At a Special Meeting: each member entitled to vote at Division meetings..05 REPRESENTATIVESOnly Branch Presidents may authorize another Individual Member of their Branch to represent themat a Division meeting. The authority of an individual to represent a Branch President shall beestablished by conveying a written authorization, signed by the Branch President (or, in case of hisor her incapacity, the First Vice-President and Secretary) and naming the representative, to thechairman of the meeting. Except as provided in Clause 5.19.14, no individual is permitted to carrymore than one vote..06 QUORUMThe quorum for the transaction of business at a meeting shall be thirty-four percent (34%) of thepersons entitled to vote at Annual and regular meetings and fifty percent plus one (50%+1) of thepersons entitled to vote at a Special Meeting..07 CHAIRMANThe Division President shall be the chairman of Division meetings in accordance with Clause 5.6.If neither the President nor a Vice-President is present, willing and able to act as chairman of themeeting within thirty (30) minutes from the time fixed for the start of the meeting, the personspresent and entitled to vote shall choose one of their number as chairman of the meeting..08 RECORDING SECRETARYThe Secretary of the Division shall be the recording secretary at Division meetings. If the secretaryis absent from the meeting or is unable or unwilling to act as recording secretary, the chairman mayappoint any other individual to act as recording secretary for that meeting..09 CONDUCT OF MEETINGDivision meetings shall be conducted in accordance with Sub-Clause 4.23.09..10 MEETINGS BY TELEPHONEPersons may participate in Division meetings in accordance with Sub-Clause 4.23.16.NL(18)E – 7 Feb 2012 28
