THE NAVY LEAGUE OF CANADABY-LAWSARTICLE SIX - BRANCHES6.1 FORMATION OF BRANCHESWith the recommendation <strong>of</strong> the appropriate Division, the <strong>National</strong> Board <strong>of</strong> Directors mayauthorize the formation <strong>of</strong> a Branch in any case where there are at least ten (10) IndividualMembers exhibiting financial responsibility within a definable area. <strong>The</strong> Division shall establish anddefine the area in which a new Branch will be formed. A service club or other similar publicorganization may be authorized as a Branch if it agrees to conform to the spirit and intent <strong>of</strong> thisArticle 6. When a Branch is operated as a committee <strong>of</strong> a service club or Royal Canadian Legion,and that service club or Legion has restrictions on membership, the club or Legion must beprepared to admit any persons to membership in the Branch who meet the membershipqualifications <strong>of</strong> <strong>The</strong> <strong>League</strong>.6.2 AUTHORITY OF BRANCHESSubject to the general control and supervision <strong>of</strong> its Division Council, each Branch has autonomy incarrying on the work <strong>of</strong> <strong>The</strong> <strong>League</strong> in its designated area so long as the Branch pursues thePurposes and Objects and maintains the policy <strong>of</strong> the <strong>National</strong> Board <strong>of</strong> Directors, and conforms tothe <strong>By</strong>-<strong>Laws</strong> and regulations <strong>of</strong> <strong>The</strong> <strong>League</strong> and its Division. In the event that the <strong>By</strong>-<strong>Laws</strong> <strong>of</strong> aBranch are contradictory to or at variance with these <strong>By</strong>-<strong>Laws</strong>, these <strong>By</strong>-<strong>Laws</strong> shall prevail.6.3 RESTRICTIONS ON BRANCHES.01 Branches may:(a) Raise and expend funds for the Purposes and Objects <strong>of</strong> <strong>The</strong> <strong>League</strong> within theBranch area in accordance with the annual budget approved by the Branch Council; and,(b) Correspond with the <strong>National</strong> Board <strong>of</strong> Directors through the Division Council, or asfirst otherwise approved by Division Council..02 Branches may not:(a) Borrow money on the credit <strong>of</strong> <strong>The</strong> <strong>League</strong>, or mortgage, pledge, or charge anyproperty <strong>of</strong> <strong>The</strong> <strong>League</strong> without specific approval in a resolution <strong>of</strong> the <strong>National</strong> Board <strong>of</strong>Directors; or,(b) Make any unbudgeted expenditure, or incur any unbudgeted liability in excess <strong>of</strong> fivethousand dollars ($5,000) without the prior written approval <strong>of</strong> the Division.6.4 BRANCH COUNCIL<strong>The</strong> affairs <strong>of</strong> each Branch shall be directed, controlled and governed by a Branch Councilconsisting <strong>of</strong> not less than three Individual Members <strong>of</strong> the Branch, subject to these <strong>By</strong>-<strong>Laws</strong>, and toany applicable Division and Branch <strong>By</strong>-<strong>Laws</strong> approved by the <strong>National</strong> Board <strong>of</strong> Directors. <strong>The</strong>Branch Council shall consist <strong>of</strong> the Branch President and other Individual Members <strong>of</strong> the Branchwho may be elected to the Council from time to time.
