THE NAVY LEAGUE OF CANADABY-LAWS.06 CHAIRMAN<strong>The</strong> Branch President shall be the chairman <strong>of</strong> a meeting in accordance with Clause 6.6. Ifneither the President nor a Vice-President is present, willing and able to act as chairman <strong>of</strong>a meeting within thirty (30) minutes from the time fixed for the start <strong>of</strong> the meeting, thepersons present and entitled to vote shall choose one <strong>of</strong> their number to act as chairman <strong>of</strong>the meeting..07 RECORDING SECRETARY<strong>The</strong> Branch Secretary shall be the recording secretary at Branch meetings. If the Secretaryis absent from the meeting or is unable or unwilling to act as recording secretary, thechairman may appoint any other person to act as recording secretary for that meeting..08 CONDUCT OF MEETINGBranch Meetings shall be conducted in accordance with Sub-Clause 4.23.09..09 MEETINGS BY TELEPHONEPersons may participate in Branch Meetings in accordance with Sub-Clause 4.23.16.. 10 PERSONS ENTITLED TO VOTEOnly Individual Members <strong>of</strong> the Branch are entitled to vote at Branch meetings. IndividualMembers shall not authorize other Individual Members to vote on their behalf at <strong>Navy</strong> <strong>League</strong>Branch meetings..11 VOTES ON GENERAL QUESTIONS AND RESOLUTIONSEach question for which the law does not require a Special Resolution shall be decided by amajority <strong>of</strong> votes by a show <strong>of</strong> hands, or by the casting <strong>of</strong> ballots if so directed by thechairman. Each person entitled to vote has one vote..12 VOTES ON SPECIAL QUESTIONS AND RESOLUTIONSQuestions which require a Special Resolution shall be passed only if fifty percent plus one(50%+1) <strong>of</strong> the votes by a show <strong>of</strong> hands, or by the casting <strong>of</strong> ballots if so directed by theChair, are in favour <strong>of</strong> the Special Resolution. Each person entitled to vote has one vote..13 EQUALITY OF VOTESIn case <strong>of</strong> an equality <strong>of</strong> votes on any question before a meeting, the chairman <strong>of</strong> themeeting shall be entitled to an additional, or deciding, vote..14 RESOLUTIONS IN WRITINGIf approved by the Branch President or by a majority <strong>of</strong> Vice-Presidents, the powers <strong>of</strong> aBranch may be exercised by a Resolution In Writing signed by all the Branch members whowould be entitled to vote on that resolution at a meeting. A Resolution In Writing may besigned in counterpart, but all counterparts together shall form only one Resolution In Writing.Within thirty (30) days <strong>of</strong> the completion <strong>of</strong> a Resolution In Writing, a copy shall be forwardedto each Branch member..15 ADJOURNED MEETINGSBranch meetings may be adjourned in accordance with Sub-Clause 4.23.17.NL(18)E – 7 Feb 2012 38
