THE NAVY LEAGUE OF CANADABY-LAWS6.18 MEETINGS OF THE BRANCHMeetings of The Branch are guided under the authority of Call to Order which shall prevail in theevent of a conflict. Whether Annual General Meetings or other meetings, all meetings shall beconvened and conducted as follows:.01 ANNUAL GENERAL MEETINGSOnce in each year an Annual General Meeting of a Branch shall be held at such place, dateand time as the Branch Council may determine, for the purposes of:(a)(b)(c)Receiving and considering the reports of the Officers and auditors;Electing the Branch Council for the ensuing year;Appointing the auditors for the ensuing year; and,(d) Considering such other matters as may appropriately be considered at theAnnual General Meeting of a Branch..02 SPECIAL MEETINGSFrom time to time, for any purpose not contrary to law or to these By-Laws, a BranchPresident or a majority of Vice-Presidents may call a Special Meeting of the Branch bygiving notice in compliance with these By-Laws and setting out the place, date, time andpurpose of the meeting..03 NOTICEWritten notice of a meeting including the tentative agenda shall be sent to each Personentitled to attend:(a) For an Annual General Meeting, by prepaid regular mail, electronic mail orfacsimile not less than thirty (30) days prior to the date selected for the meeting.Notices sent by regular mail shall be deemed to have been received on the seventhday following the postmarked date; or,(b) For a Special Meeting, by electronic mail, facsimile, courier or priority post toarrive not less than fourteen (14) days prior to the date selected for the meeting.04 PERSONS ENTITLED TO BE PRESENTThe persons entitled to be present are:(a) At an Annual General Meeting: all Individual, Associate and Life Members of aBranch, the auditors and such other persons as the Branch Council may permit toattend; and,(b)At a Special Meeting: all members of the Branch who are entitled to vote..05 QUORUMThe quorum for the transaction of business at a meeting shall be thirty-four percent (34%) ofthe persons entitled to vote at Annual and regular meetings and fifty percent plus oneNL(18)E – 7 Feb 2012 36
