5.060. Voting by Communication.<br />

5.060.1. Informal Meetings.<br />

The directors may participate in and act at any meeting <strong>of</strong> the board through<br />

the use <strong>of</strong> a conference telephone, internet, or other communications equipment<br />

by means <strong>of</strong> which all persons participating in the meeting can communicate<br />

with each other. Participation in such a meeting shall constitute attendance and<br />

presence in person at the meeting <strong>of</strong> the person or persons so participating.<br />

5.060.2. Informal Action.<br />

The board may transact business without meeting together by unanimous written<br />

consent <strong>of</strong> all directors.<br />

5.070. Executive Committee.<br />

The board may appoint an executive committee to be composed <strong>of</strong> at least five<br />

but no more than seven <strong>of</strong> its members, including any ex <strong>of</strong>ficio members. The<br />

executive committee shall evaluate the performance <strong>of</strong> the general secretary at<br />

least annually and report its findings to the board. The board may delegate to such<br />

executive committee authority to make decisions on behalf <strong>of</strong> the board between<br />

meetings <strong>of</strong> the board. Such authority is limited to matters where the policy <strong>of</strong> RI<br />

has been established. The executive committee shall function under such terms <strong>of</strong><br />

reference not in conflict with the provisions <strong>of</strong> this section, as may be prescribed<br />

by the board.<br />

5.080. Vacancies in Board Membership.<br />

5.080.1. Alternates.<br />

At any time if the <strong>of</strong>fice <strong>of</strong> a director becomes vacant, due to whatever reason, the<br />

board shall elect the alternate selected at the time the director was elected from<br />

the same zone (or section in the zone) to serve as director for the rest <strong>of</strong> the term.<br />

5.080.2. Alternate Unable to Serve.<br />

If the alternate is unable to serve for any reason, the remaining members <strong>of</strong> the<br />

board shall elect a director from the same zone (or section <strong>of</strong> the zone) in which the<br />

vacancy occurs. Such vote shall take place at its next meeting or through voting by<br />

communication, as determined by the president.<br />

6.110. Disability <strong>of</strong> Board Member.<br />
