Comprobado el quórum, se dio por abierta la sesión. Seguidamente, el Secretario solicitó aprobación de<br />

Aprobada la agenda, se procedió con la siguiente discusión:<br />
Punto 1. Necesidad de monitoreo de los indicadores <strong>del</strong> Banco Mundial utilizados por MCC<br />
El Secretario Ejecutivo informo la comunicación sostenida entre la Embajada de <strong>Honduras</strong> en Washington<br />
y el MCC. Informó sobre la necesidad de monitorear los diferentes indicadores de desempeño que utiliza<br />
el MCC, la necesidad de presentar a MCC antes de diciembre las actividades que el Gobierno de<br />
<strong>Honduras</strong> está realizando y planea realizar para mejorar el indicador de combate a la corrupción.<br />
SDP indico la necesidad de profundizar información sobre los indicadores, e informó que se hace<br />
necesaria la creación de un comité coordinado por el Viceministro Arias y conformado por representantes<br />
de SDP, UNAT Yla UAP de MCA-<strong>Honduras</strong>. Asimismo, informó <strong>del</strong> plan de trabajo que está realizando<br />
la Comisión de Transparencia, el cual será presentado al MCC.<br />
Resolución <strong>del</strong> Consejo Directivo de MCA <strong>Honduras</strong>:<br />
El Consejo Directivo aprueba la propuesta de la SDP.<br />
Punto 2: Responsabilidad de SOPTRA VI en la implementación <strong>del</strong> Proyecto de Transporte de<br />
MCA-<strong>Honduras</strong><br />
El Secretario Ejecutivo informó sobre las reuniones de coordinación entre el Gerente Externo <strong>del</strong> Proyecto<br />
de Transporte, la UAP de MCA-<strong>Honduras</strong> y la Dirección General de Carreteras de SOPTRAVI,<br />
relacionadas con las modificaciones de los diseños de la carretera <strong>del</strong> Norte.<br />
SDP indicó la necesidad y conveniencia de que el Consejo Directivo de MCA-<strong>Honduras</strong> faculte a<br />
SOPTRAVI para realizar, por medio de la Dirección General de Carreteras, la revisión, aprobación y/o<br />
propuesta de modificación de los diseños, planos, y demás documentos pertinentes, que la Dirección<br />
Ejecutiva de MCA-<strong>Honduras</strong> le presente para su respectivo análisis.<br />
Este esquema de coordinación interinstitucional entre MCA-<strong>Honduras</strong> y SOPTRAVI asegurará la<br />
implementación expedita de las actividades y de los requerimientos técnicos <strong>del</strong> Proyecto de Transporte, y<br />
garantizará además que las obras a construir por parte de MCA-<strong>Honduras</strong> en el marco <strong>del</strong> Proyecto de<br />
Transporte cuenten con el soporte técnico de esa Secretaría de Estado.<br />
El Secretario Ejecutivo mencionó que la coordinación interinstitucional entre SOPTRAVI y MCA-<br />
<strong>Honduras</strong> debe responder a la etapa en la que se encuentra el Programa, cuyo objetivo crítico es a<strong>del</strong>antar<br />
la implementación <strong>del</strong> Proyecto de Transporte, y debe tomar en cuenta que SOTPRAVI, de conformidad<br />
con la Ley General de la Administración Pública, es la Secretaría de Estado de línea competente en la<br />
formulación, coordinación, ejecución y evaluación de las políticas relacionadas con las obras de<br />
inuaestructura pública, el sistema vial y de transporte, así como el régimen concesionario de obras<br />
públicas.<br />
Las facultades asignadas a la Dirección de Carreteras de SOPTRA VI incluirán:<br />
. Revisión y aprobación de diseños y especificaciones para los tramos carreteros incluidos en el<br />
Proyecto de Transporte, Mejoramiento y Ampliación de la Carretera CA-5 Segmentos Norte y<br />
Sur, y Pavimentación de Caminos Secundarios.<br />

. Revisión y aprobación de modificaciones sustanciales que tengan que incorporarse en la etapa de<br />
implementación de los componentes de Mejoramiento y Ampliación de la CA-S, Caminos<br />
Secundarios y Sistema de Control de Pesos <strong>del</strong> Proyecto de Transporte así como de la actividad de<br />
Caminos rurales, esta a través <strong>del</strong> Consejo de Caminos de MCA <strong>Honduras</strong>, <strong>del</strong> cual, SOPTRAVI<br />
es miembro.<br />
. Para lograr una efectiva coordinación, el Consejo Directivo sugiere a SOPTRAVI nombrar un<br />
Enlace a tiempo completo, especialista que desarrollará en forma eficiente y efectiva las tareas de<br />
gestión de las autorizaciones que MCA-<strong>Honduras</strong> requiere de parte de esa Secretaría de Estado,<br />
apoyará las actividades de reasentamiento de los diferentes tramos carreteros, apoyará las<br />
gestiones de licenciamiento ambiental necesarias para estos proyectos, y a la vez, mantendrá<br />
informadas a las autoridades y al Secretario de Estado de SOPTRAVI, en cuanto a los detalles<br />
técnicos, sobre los avances <strong>del</strong> Proyecto de Transporte de MCA-<strong>Honduras</strong>.<br />
. El salario <strong>del</strong> especialista deberá ser financiado por SOPTRAVI, pero se autoriza a la Dirección<br />
Ejecutiva de MCA-<strong>Honduras</strong> proveer la logística necesaria a dicho especialista, incluyendo el<br />
espacio físico desde donde desempeñará sus funciones, y transporte y viáticos, cuando se<br />
reqUIera.<br />
Resolución <strong>del</strong> Consejo Directivo de MCA <strong>Honduras</strong>:<br />
El Consejo Directivo aprueba la moción <strong>del</strong> Presidente, y resuelve instruir al Secretario Ejecutivo<br />
enviar una carta al Ministro de SOPTRAVI, copiado al director de la DOC, estableciendo el<br />
mecanismo a utilizar para concretar la coordinación interinstitucional, incluyendo la necesidad de<br />
designar el personal de enlace que se requiera, y solicitando además la cooperación oportuna en<br />
la revisión ágil de diseños, planos y documentos que se le presenten a manera que avance la<br />
implementación <strong>del</strong> Proyecto de Transporte.<br />
En dicha carta se certificará la decisión <strong>del</strong> Consejo Directivo de aprobar esta moción así como<br />
las facultades discutidas, y pedirá a SOPTRAVI que, en caso de facultades adicionales no<br />
identificadas, haga llegar cualquier recomendación adicional al respecto a la Dirección Ejecutiva<br />
de MCA-<strong>Honduras</strong>.<br />
Punto 3. Necesidad de Decreto Legislativo para declarar reserva minera los bancos de materiales<br />
requeridos para los proyectos de carreteras de MCA-<strong>Honduras</strong><br />
El Secretario Ejecutivo informó la necesidad de contar con un Decreto Legislativo que declare zonas de<br />
reserva minera y de cantera nacional y ponga a disposición los bancos de materiales requeridos para la<br />
ampliación mejoramiento y construcción de los segmentos I y 11de la CA-S Norte a ser financiados por el<br />
MCC.<br />
El Secretario Ejecutivo indicó que los bancos de materiales fueron identificados desde el 2004 y que<br />
aunque se han obtenido Decretos Ejecutivos en la administración anterior y en la actual, estos decretos son<br />
desestimados por los propietarios de los bancos, quienes consideran que no son Ley. Un borrador de<br />
Decreto fue elaborado por SOPTRAVI y se encuentra disponible en la DGC de SOPTRAVI.<br />
El Secretario Ejecutivo solicitó el apoyo de la SERNA para remitir el borrador de Decreto preparado por<br />
SOPTRAVI, al Congreso Nacional, lo más pronto posible.<br />
El representante de SERNA indicó la necesidad de incluir a DEFOMIN en la revisión <strong>del</strong> decreto<br />
solicitado. COHEP indicó la necesidad de analizar las implicaciones de la nueva Ley de Minería en las<br />
necesidades expresadas por el Secretario Ejecutivo.<br />

Resolución <strong>del</strong> Consejo Directivo de MCA <strong>Honduras</strong>:<br />
El Consejo Directivo resuelve <strong>del</strong>egar en el Viceministro Palm2 de SERNA la coordinación de la<br />
actividad, acompañado de la DAP de MCA-<strong>Honduras</strong> y de la repres( ltante de FONAC.<br />
Punto 4. Presentación mo<strong>del</strong>o de análisis para priorización de caminos de Fincas a Mercados<br />
El Secretario Ejecutivo informó sobre los avances de la actividad de selección y priorización de caminos<br />
de fincas a mercados. A la fecha, los facilitadores han evaluado 1,<strong>23</strong>6 kilómetros. En este momento están<br />
terminando los departamentos de Copan, Santa Bárbara, Ocotepeque, Gracias a Dios y Olancho. La<br />
información recopilada a la fecha ha sido incorporada en el mo<strong>del</strong>o de análisis diseñado por el CJES,<br />
brazo técnico <strong>del</strong> COHEP, contratado por MCA <strong>Honduras</strong> para el desarrollo de una herramienta GIS de<br />
análisis de información.<br />
Se espera que para la segunda semana de septiembre, el Consejo de Caminos seleccione los tramos a ser<br />
financiados con recursos de la donación.<br />
Resolución <strong>del</strong> Consejo Directivo de MCA <strong>Honduras</strong>:<br />
El Consejo Directivo sugiere a la DAP considerar el impacto de las inversiones para su masificacion y<br />
minimizar la posible dispersión de las obras que se ejecuten. Asimismo, solicita a la DAP enviar el detalle<br />
de información de los procesos a FONAC para consensuar con las diferentes instancias que conforman<br />
esta institución.<br />
Punto 5. Aprobación de inclusión de cláusula de penalidad por entrega tardía y de bonificación por<br />
entrega temprana de productos en el contrato de servicios suscritos por MCA-<strong>Honduras</strong> con el<br />
Gerente Externo <strong>del</strong> Proyecto de Transporte.<br />
El Secretario Ejecutivo informó sobre los resultados de la negociación de la modificación <strong>del</strong> contrato de<br />
servicios <strong>del</strong> Gerente Externo <strong>del</strong> Proyecto de Transporte, aprobada en la sesión anterior. La negociación<br />
incluyó el establecimiento de una cláusula de penalización por entrega tardía de productos. Sin embargo,<br />
la firma consultora ha solicitado la inclusión de una cláusula de bonificación por entrega temprana de los<br />
productos. Dado que esta modificación va mas allá de la autorización dada por el Consejo Directivo, el<br />
Secretario Ejecutivo solicitó autorización para la inclusión de la cláusula de bonificación.<br />
El Consejo Directivo autoriza al Director Ejecutivo la modificación <strong>del</strong> contrato de Servicios con el<br />
Gerente Externo <strong>del</strong> Proyecto de Transporte, incorporando las cláusulas negociadas; sin embargo, sugiere<br />
se considere por lo menos una relación 2: 1en relación penalización/bonificación y reitera que las<br />
modificaciones adicionales de plazo por motivos de fuerza mayor pierden cualquier opción a bonificación.<br />
Para futuros contratos, se autoriza a la DAP a incluir la cláusula de penalización al contrato estándar.<br />
Cualquier necesidad de modificación posterior meramente formal, que no afecte el contenido sustancial de<br />
los documentos aprobados, queda autorizada para ser realizada por el Director Ejecutivo.<br />
FONAC pidió se incorpore en esta resolución que el FONAC prefiere condicionar su voto a la consulta<br />
que haga con el Secretario Ejecutivo <strong>del</strong> FONAC. A solicitud <strong>del</strong> representante <strong>del</strong> COHEP, se aclara que<br />
la resolución <strong>del</strong> FONAC no tiene por intención indicar algún acto que pueda malinterpretarse como<br />
posible corrupción. Asimismo, COHEP solicitó se incorpore en esta resolución que la decisión que llevó<br />
a ampliar el contrato con el Gerente Externo <strong>del</strong> Proyecto de Transporte surgió de la necesidad de tener<br />
cuatro carriles en el tramo Tegucigalpa-Comayagua, originalmente no contemplado en el Proyecto, y por<br />
lo tanto es una decisión para beneficio <strong>del</strong> País.<br />

Punto 6. Aprobación Selección <strong>del</strong> National Law Center for Inter-American Free Trade para<br />
proveer asistencia técnica en la implementación de la Ley de Garantías Reales Mobiliarias y el<br />
desarrollo <strong>del</strong> respectivo registro.<br />
El Secretario Ejecutivo detalló las actividades contempladas en el Programa de Acceso a Crédito Agrícola,<br />
el cual incluye asistencia técnica para implementar la Ley de Garantías Reales Mobiliarias. La primera<br />
fase de preparación <strong>del</strong> anteproyecto de ley fue auspiciada por el Banco Interamericano de Desarrollo<br />
quien contrató al National Law Center, un centrojurídico nacional con sede en los Estados Unidos,<br />
adscrito a la Escuela de Derecho de la Universidad de Arizona, con reconocida capacidad internacional en<br />
estas iniciativas a nivel latinoamericano.<br />
El Secretario Ejecutivo solicitó la autorización <strong>del</strong> Consejo para contratar directamente los servicios <strong>del</strong><br />
Centro. Los servicios incluyen formulación de los reglamentos necesarios para operativizar la Ley, la<br />
generación de leyes complementarias incluyendo una Ley de Quiebras y una Ley de Comercio<br />
Electrónico, la capacitación al Instituto de la Propiedad y a las Cámaras de Comercio <strong>del</strong> País para que<br />
administren el nuevo registro de garantías mobiliarias, incluyendo la generación de los planes de negocios<br />
necesarios para que la administración <strong>del</strong> sistema sea financieramente sostenible.<br />
El asesor legal de la UAP expuso los impactos esperados con la implementación de ley, la necesidad de<br />
contar con servicios de consultoria de alta calidad, la modalidad de contratación propuesta, el monto<br />
propuesto <strong>del</strong> contrato, la funcionalidad de los productos definidos en los términos de referencia (ver<br />
anexo), y los beneficios <strong>del</strong> registro de garantías mobiliarias a nivel nacional, reiterando que el MCC ha<br />
emitido su no-objeción a la contratación <strong>del</strong> Centro, basado en las regulaciones de contratación aplicables<br />
a MCA-<strong>Honduras</strong>.<br />
Resolución <strong>del</strong> Consejo Directivo de MCA <strong>Honduras</strong>:<br />
El Consejo Directivo solicitó posponer discusión de este tema para el día lunes 3 de septiembre a las 7:30<br />
a.m. en las oficinas de MCA-<strong>Honduras</strong>. Asimismo, pidió acompañar información con la ley presentada al<br />
Congreso, y la información utilizada para determinar la idoneidad <strong>del</strong> consultor seleccionado.<br />

La representante de FONAC solicitó una respuesta oficial sobre las razones de incorporación<br />
de la Carretera <strong>del</strong> Norte en el Proyecto de MCA-<strong>Honduras</strong>. Se acordó que la UAP enviará<br />
contestación oficial para circulación a los miembros de FONAC.<br />
Juan Ferrera presentó a la Lic. Verónica López como representante de CNA en posteriores<br />
reumones.<br />
El Secretario Ejecutivo presentó el borrador de la Revista "Transformemos", publicación que<br />
saldrá semestralmente y que reflejará los avances de MCA <strong>Honduras</strong>. El SE solicitó cualquier<br />
comentario, observación, modificación antes <strong>del</strong> jueves proximo para su respectiva inclusión<br />
en el arte que se entregará a la imprenta.<br />

This CONTRACT (hereinafter called the “Contract”) is made this fifth day of the month of<br />
October 2007, between MCA-<strong>Honduras</strong>, an agency of the Government of the Republic of<br />
<strong>Honduras</strong> established for the oversight and management of the Program (“MCA-<br />
<strong>Honduras</strong>”) and the NATIONAL LAW CENTER FOR INTER-AMERICAN FREE TRADE (NLCIFT) (the<br />
“Consultant”).<br />
WHEREAS<br />
(a)<br />

(c)<br />
The Millennium Challenge Corporation (“MCC”) and the Government of the Republic<br />
of <strong>Honduras</strong> (the “Government”) entered into a Millennium Challenge Compact on<br />
June 13, 2005 (the “Compact”) for Millennium Challenge Account (“MCA”)<br />
assistance to facilitate poverty reduction through economic growth in <strong>Honduras</strong> in an<br />
amount up to US$ 215,000,000 (the “MCC Funding”). The Government, acting<br />
through MCA-<strong>Honduras</strong>, intends to apply a portion of the proceeds of MCC Funding to<br />
eligible payments under this Contract, provided that (i) such payments will only be<br />
made at the request of and on behalf of MCA-<strong>Honduras</strong> and as authorized by the Fiscal<br />
Agent, (ii) MCC shall have no obligations to the Consultant under the Compact or this<br />
Contract, (iii) such payments shall be subject, in all respects, to the terms and<br />
conditions of the Compact, and (iv) no party other than the Government and MCA-<br />
<strong>Honduras</strong> shall derive any rights from the Compact or have any claim to MCC Funding.<br />
MCA-<strong>Honduras</strong> has requested the Consultant to provide certain Services as defined in<br />
this Contract;<br />
The Consultant, having represented to MCA-<strong>Honduras</strong> that it has the required<br />
professional skills, and personnel and technical resources, has agreed to provide the<br />
Services on the terms and conditions set forth in this Contract and the Compact;<br />
NOW THEREFORE the parties hereto hereby agree as follows:<br />

2. The mutual rights and obligations of MCA-<strong>Honduras</strong> and the Consultant shall be as set<br />
forth in the Contract, in particular:<br />

The Consultant shall carry out the Services in accordance with the provisions of this<br />
Contract; and<br />
MCA-<strong>Honduras</strong> shall make payments to the Consultant in accordance with the<br />
provisions of this Contract.<br />

I. General Conditions of Contract<br />
1. General Provisions<br />
1.1 Definitions Unless the context otherwise requires, the following terms whenever<br />
used in this Contract have the following meanings:<br />
(a) “Applicable Law” means the laws, legislation and any other<br />
instruments having the force of law in <strong>Honduras</strong>, as they may be<br />
issued and in force from time to time.<br />
(b) “Base Period Expiration Date” has the meaning given to it in the<br />
SCC (Expiration of the Contract, section GCC 2.3).<br />
(c) “Compact” has the meaning given to it in the recitals to this<br />
Contract.<br />
(d) “Consultant” has the meaning given to it in the preamble to this<br />
Contract.<br />
(e) “Contract” means this Contract as signed by the Parties, together<br />
with all the attachments, including the GENERAL CONDITIONS OF<br />
CONTRACT, the SPECIAL CONDITIONS OF CONTRACT, and the<br />
APPENDICES, as may be amended, modified, or supplemented from<br />
time to time as permitted pursuant to the terms of this Contract.<br />
(f)<br />
“Contract Price” means the price to be paid for the performance of<br />
the Services, in accordance with GCC 6.2.<br />
(g) “Day” means calendar day.<br />
(h) “Effective Date” means the date on which this Contract comes into<br />
force and effect pursuant to GCC 2.1.<br />

“Foreign Currency” means US dollars (US$).<br />
“GCC” means these GENERAL CONDITIONS OF CONTRACT.<br />
(k) “Government” has the meaning given to it in the recitals to this<br />
Contract.<br />
(l) “in writing” means communicated in written form with proof of<br />
receipt.<br />
(m) “Local Currency” means Honduran Lempira.<br />
(n) “MCA-<strong>Honduras</strong>” has the meaning given to it in the recitals to this<br />
Contract.<br />
(o) “MCC” has the meaning given to it in the recitals to this Contract.<br />
(p) “MCC Funding” has the meaning given to it in the recitals to this<br />
Contract.<br />
(q) “Member” means any of the entities that make up the joint<br />
venture/consortium/association; and “Members” means all these<br />
entities.<br />

1.2 Law Governing<br />

(u) “Personnel” means persons hired by the Consultant or by any Sub-<br />
Consultants and assigned to the performance of the Services or any<br />
part thereof.<br />
(v) “SCC” means the SPECIAL CONDITIONS OF CONTRACT by which<br />
the GCC may be amended or supplemented.<br />
(w) “Services” means the work to be performed and the services to be<br />
provided by the Consultant pursuant to this Contract, as described<br />
in Appendix A hereto.<br />
(x) “Sub-Consultant” means any entity or person to which or to whom<br />
the Consultant subcontracts any part of the Services.<br />
Capitalized terms that are used, but not defined in this Contract, have the<br />
meanings given to such terms in the Compact.<br />
This Contract, its meaning and interpretation, and the relation between<br />
the Parties shall be governed by the Applicable Law.<br />
1.3 Language This Contract has been executed in the language specified in the SCC,<br />
which shall be the binding and controlling language for all matters<br />
relating to the meaning or interpretation of this Contract.<br />
1.4 Notices 1.4.1 Any notice, request or consent required or permitted to be given<br />
or made pursuant to this Contract shall be in writing (including<br />
by fax or email). Any such notice, request or consent shall be<br />
deemed to have been given or made when <strong>del</strong>ivered to an<br />
authorized representative of the Party to whom the<br />
communication is addressed, or when sent to such Party at the<br />
address specified in the SCC.<br />
A Party may change its address for notice hereunder by giving the other<br />
Party notice in writing of such change to the address specified in the<br />
SCC.<br />
1.5 Location The Services shall be performed at such locations as are specified in<br />
Appendix A hereto and, where the location of a particular task is not so<br />
specified, at such locations, whether in <strong>Honduras</strong> or elsewhere, as MCA-<br />
<strong>Honduras</strong> may approve.<br />
1.6 Authority of<br />
Member in Charge<br />
In case the Consultant consists of a joint venture/consortium/ association<br />
of more than one entity, the Members hereby authorize the entity<br />
specified in the SCC to act on their behalf in exercising all the<br />
Consultant’s rights and obligations towards MCA-<strong>Honduras</strong> under this<br />
Contract, including without limitation the receiving of instructions and<br />
payments from MCA-<strong>Honduras</strong>.<br />

1.7 Authorized<br />
Representatives<br />
Any action required or permitted to be taken, and any document required<br />
or permitted to be executed under this Contract by MCA-<strong>Honduras</strong> or the<br />
Consultant may be taken or executed by the officials specified in the<br />
SCC.<br />
1.8 Taxes and Duties Except as may be exempted pursuant to the Section 2.3(e) of the<br />
Compact, Consultant, any Sub-Consultant, and their respective personnel<br />
may be subject to certain taxes on amounts payable by MCA-H pursuant<br />
to this Contract. Each Consultant, each Sub-Consultant and their<br />
respective personnel shall pay all such local taxes and such other taxes,<br />
duties, fees, and other impositions levied under the laws of <strong>Honduras</strong>. In<br />
the event that any taxes are imposed on the Consultant, each Sub-<br />
Consultant and their respective personnel, the Contract Price shall not be<br />
adjusted to account for such taxes.<br />
1.9 Fraud and<br />
Corruption<br />
1.9.1 Definitions MCC requires that consultants under MCC-funded contracts observe the<br />
highest standard of ethics during the selection and execution of such<br />
contracts. In accordance with this requirement, for the purpose of this<br />
provision, the terms set forth below are defined as follows:<br />

“corrupt practice” is the offering, receiving, or soliciting, directly<br />
or indirectly, of any thing of value to influence the action of a<br />
public official in the selection process or in contract execution; or<br />
the making of any payment to any third party, in connection with<br />
or in furtherance of this Contract, in violation of the United States<br />
Foreign Corrupt Practices Act of 1977, as amended (15 USC 78a<br />
et seq.);<br />
“fraudulent practice” is a misrepresentation or omission of facts in<br />
order to influence a selection process or the execution of a<br />
contract;<br />
“collusive practice” is a scheme or arrangement between two or<br />
more consultants, with or without the knowledge of MCA-<br />
<strong>Honduras</strong>, designed to establish prices at artificial, noncompetitive<br />
levels;<br />
(iv) “coercive practice” is harming or threatening to harm, directly or<br />
indirectly, persons or their property to influence their participation<br />
in a procurement process, or affect the execution of a contract;<br />
(v)<br />
“Obstructive practice” is:<br />
(aa) <strong>del</strong>iberately destroying, falsifying, altering or concealing of<br />
evidence material to the investigation or making false statements<br />
to investigators in order to impede materially an investigation by<br />
MCC or the MCA Entity into allegations of a corrupt , fraudulent,<br />
coercive, collusive, or intimidating any party to prevent it from<br />
disclosing its knowledge of matters relevant to the investigation or<br />
from pursuing the investigation, and<br />
(bb) acts intended to impede materially the exercise of the<br />
inspection and audit rights of MCC provided under the Compact;<br />

1.9.2 Measures to<br />
be Taken<br />
(vi) “Prohibited Practice” is any action that violates the provisions<br />
relating to Anti-Corruption Legislation, Anti-Money Laundering<br />
legislation and terrorist financing statues or other restrictions.<br />
MCC will cancel the portion of MCC Funding allocated to a contract if it<br />
determines at any time that representatives of MCA-<strong>Honduras</strong> were<br />
engaged in corrupt, fraudulent, collusive or coercive practices during the<br />
selection process or the execution of that contract, without MCA-<br />
<strong>Honduras</strong> having taken timely and appropriate action satisfactory to<br />
MCC to remedy the situation.<br />
MCC will sanction a consultant, including declaring the consultant<br />
ineligible, either indefinitely or for a stated period of time, to be awarded<br />
a MCC-funded contract if it at any time determines that the consultant<br />
has, directly or through an agent, engaged in corrupt, fraudulent,<br />
collusive or coercive practices in competing for, or in executing, a MCCfunded<br />
contract.<br />
1.9.3 Commissions<br />
and Fees<br />
MCC will require the successful consultant to disclose any commissions<br />
or fees that may have been paid or are to be paid to agents,<br />
representatives, or commission agents with respect to the selection<br />
process or execution of the Contract. The information disclosed must<br />
include at least the name and address of the agent, representative, or<br />
commission agent, the amount and currency, and the purpose of the<br />
commission or fee.<br />
1.10 Additional Provisions The additional provisions specified in the SCC shall apply to this<br />
Contract.<br />

This Contract shall come into effect on the date the Contract is signed by<br />
both Parties (the “Effective Date”).<br />
The Consultant shall begin carrying out the Services not later than the<br />
number of days specified in the SCC.<br />
Unless terminated earlier pursuant to GCC 2.6, this Contract shall expire<br />
on the Base Period Expiration Date; provided that, in the event that<br />
MCA-<strong>Honduras</strong> exercises its right to extend the Contract as specified in<br />
the SCC, the Contract shall expire on the Option Period Expiration Date.<br />
Any modification or variation of the terms and conditions of this<br />
Contract, including any modification or variation of the scope of<br />
Services, may only be made by written agreement between the Parties.<br />
However, each Party shall give due consideration to any proposals for<br />
modification or variation made by the other Party.<br />
2.5.1 Definition For the purposes of this Contract, “Force Majeure” means an act, event<br />

or condition that (i) is beyond the reasonable control of a Party and is not<br />
the result of any acts, omissions or <strong>del</strong>ays of the Party relying on such<br />
Force Majeure (or any third person over whom such Party has control,<br />
including any Sub-Consultant),(ii) is not an act, event or condition, the<br />
risks or consequences of which such Party has expressly agreed to<br />
assume hereunder, (iii) could not have been prevented, remedied or cured<br />
by such Party’s reasonable diligence, and (iv) makes such Party’s<br />
performance of its obligations under the Contract impossible or so<br />
impractical as to be considered impossible under the circumstances.<br />
2.5.2 No Breach of<br />
Contract<br />
2.5.3 Extension of<br />
Time<br />
The failure of a Party to fulfill any of its obligations under this Contract<br />
shall not be considered to be a breach of, or default under, this Contract<br />
insofar as such inability arises from an event of Force Majeure, provided<br />
that the Party affected by such an event (a) has taken all reasonable<br />
precautions, due care and reasonable alternative measures in order to<br />
carry out the terms and conditions of this Contract, and (b) has informed<br />
the other Party as soon as possible about the occurrence of such an event.<br />
Any period within which a Party shall, pursuant to this Contract,<br />
complete any action or task, shall be extended for a period equal to the<br />
time during which such Party was unable to perform such action as a<br />
result of Force Majeure.<br />
2.5.4 Payments During the period of inability to perform the Services as a result of an<br />
event of Force Majeure, the Consultant shall be entitled to continue to be<br />
paid under the terms of this Contract, as well as to be reimbursed for<br />
additional costs reasonably and necessarily incurred by them during such<br />
period for the purposes of the Services and in reactivating the Service<br />
after the end of such period.<br />
2.6 Termination<br />
2.6.1 By MCA-<br />
<strong>Honduras</strong><br />
MCA-<strong>Honduras</strong> may terminate this Contract upon notice in the event of<br />
the occurrence of any of the events specified in paragraphs (a) through<br />
(h) of this clause.<br />

fails to perform its obligations relating to use of funds set out in<br />
Appendix I. Termination under this provision will require that the<br />
Consultant repay any and all funds so misused pursuant to<br />

If the Consultant does not remedy a failure in the performance of<br />
its obligations under the Contract, within thirty (30) days after<br />
being notified or within any further period as MCA-<strong>Honduras</strong> may<br />
have subsequently approved in writing.<br />
If the Consultant becomes insolvent or bankrupt.<br />
(d)<br />
If the Consultant, in the judgment of MCA-<strong>Honduras</strong> or MCC, has<br />
engaged in corrupt or fraudulent practices in competing for or in<br />
executing this Contract.<br />

If, as the result of Force Majeure, the Consultant is unable to<br />
perform a material portion of the Services for a period of not less<br />
than sixty (60) days, such termination shall become effective thirty<br />
(30) days after notice of termination.<br />
If MCA-<strong>Honduras</strong>, in its sole discretion, decides to terminate this<br />
Contract due to termination of the Compact with MCC, such<br />
termination shall become effective immediately upon notice of<br />
termination.<br />
If the Consultant fails to comply with any final decision reached as<br />
a result of arbitration proceedings pursuant to GCC 8.2, such<br />
termination shall become effective thirty (30) days’ after notice of<br />
failure to comply.<br />
2.6.2 By the<br />
Consultant<br />
(h) If the National Congress of the Republic of <strong>Honduras</strong>, before<br />
December 31 st , 2008, fails to enact the Secured Transactions Law,<br />
as submitted by the Secretariat of the Office of the Presidency, or<br />
does so in a manner not consistent with the Services as stated in<br />
Appendix A hereto, MCA-<strong>Honduras</strong>, in its sole discretion, can<br />
decide to terminate this Contract. MCA-<strong>Honduras</strong>, still acting<br />
under its sole discretion, shall nevertheless discuss available<br />
options with the Consultant and consider the Consultant’s advice<br />
on efficacy of the enacted law, if the law were enacted as<br />
described above. Such advise will not be binding upon MCA-<br />
<strong>Honduras</strong>’ decision. However, MCA-<strong>Honduras</strong>’ decision after<br />
consultation with the Consultant must be based on reasonable<br />
grounds, take into consideration the Consultant’s advice and not be<br />
arbitrary. In the event of the occurrence of any of the events stated<br />
in this paragraph, the Consultant shall have right to the payments<br />
stated in GCC 2.6.3 paragraphs (a) and (b).<br />
The Consultant may terminate this Contract upon written notice to<br />
MCA-<strong>Honduras</strong> in the event of the occurrence of any of the events<br />
specified in paragraphs (a) through (c) of this clause.<br />

If MCA-<strong>Honduras</strong> fails to pay any money due to the Consultant<br />
pursuant to this Contract and not subject to dispute pursuant to<br />
GCC 8 within forty-five (45) days after receiving written notice<br />
from the Consultant that such payment is overdue, such<br />
termination shall become effective thirty (30) days after notice of<br />
termination.<br />

as a result of arbitration pursuant to GCC 8.2, such termination<br />

2.6.3 Payment upon<br />

Upon termination of this Contract pursuant to GCC 2.6.1 or GCC 2.6.2,<br />
MCA-<strong>Honduras</strong> shall make the following payments to the Consultant:<br />

Consultant shall provide MCA-<strong>Honduras</strong> with an invoice for such<br />

through (d), and (g) of GCC 2.6.1, reimbursement of any<br />
reasonable costs incident to the prompt and orderly termination of<br />
the Contract incurred within 90 days of the termination of the<br />
Compact.<br />
Without prejudice to any other rights of MCA-<strong>Honduras</strong> to claim<br />
damages under the Applicable Law or require that the Consultant<br />
repay any MCC Funding used in violation of the Contract, upon<br />
termination of this Contract pursuant to GCC 2.6.1 (a) through (d)<br />
and (g), the Consultant shall pay to MCA-<strong>Honduras</strong> the amount of<br />
US$ 95,750.00 minus any costs actually incurred by the<br />
Consultant to obtain equipment in connection with the provision<br />
of the Services. The Consultant shall transfer title to all such<br />
equipment to MCA-<strong>Honduras</strong> as soon as practicable and in no<br />
event later than ninety (90) days after termination of this Contract.<br />
3. Obligations of the Consultant<br />
3.1. General<br />

The Consultant shall perform the Services as stated in Appendix A<br />
hereto.<br />
The Consultant shall perform the Services and carry out its obligations<br />
hereunder with all due diligence, efficiency and economy, in accordance<br />
with generally accepted professional standards and practices, and shall<br />
observe sound management practices, and employ appropriate<br />
technology and safe and effective equipment, machinery, materials and<br />
methods. The Consultant shall always act, in respect of any matter<br />
relating to this Contract or to the Services, as a faithful adviser to MCA-<br />
<strong>Honduras</strong>, and shall at all times support and safeguard MCA-<strong>Honduras</strong>’s<br />
legitimate interests in any dealings with Sub-Consultants or third parties.<br />
3.2. Conflict of Interests Consultant shall hold MCA-<strong>Honduras</strong>’s interests paramount, without any<br />
consideration for future work, and strictly avoid conflict with other<br />
assignments or their own corporate interests.<br />
3.2.1. Consultant Not<br />

Consultant’s only payment in connection with this Contract or the<br />

activities pursuant to this Contract or to the Services or in the discharge<br />
of their obligations under the Contract, and the Consultant shall use their<br />
best efforts to ensure that the Personnel, any Sub-Consultants, and agents<br />

of either of them similarly shall not receive any such additional payment.<br />
3.2.2. Consultant and<br />

The Consultant agrees that, during the term of this Contract and after its<br />
termination, the Consultant and any entity affiliated with the Consultant,<br />
as well as any Sub-Consultants and any entity affiliated with such Sub-<br />
Consultants, shall be disqualified from providing goods, works or<br />
services (other than consulting services) resulting from or directly related<br />
to the Consultant’s Services for the preparation or implementation of the<br />
project.<br />
The Consultant shall not engage, and shall cause their Personnel as well<br />
as Sub-Consultants and their Personnel not to engage, either directly or<br />
indirectly, in any business or professional activities that would conflict<br />
with activities assigned to them under this Contract.<br />
3.3. Confidentiality Except with the prior written consent of MCA-<strong>Honduras</strong>, the Consultant<br />
and the Personnel shall not at any time communicate to any person or<br />
entity any confidential information acquired in the course of Services,<br />
nor shall the Consultant and the Personnel make public the<br />
recommendations formulated in the course of, or as a result of, Services.<br />
3.4. Insurance to be<br />

the case may be) own cost but on terms and conditions approved by<br />
MCA-<strong>Honduras</strong>, insurance against the risks, and for the coverage<br />
specified in the SCC, and in the manner and to be applied as provided in<br />
Appendix I, (ii) at MCA-<strong>Honduras</strong>’s request, shall provide evidence to<br />
MCA-<strong>Honduras</strong> showing that such insurance has been taken out and<br />
maintained and that the current premiums therefore have been paid.<br />
The Consultant shall obtain the prior written approval of MCA-<strong>Honduras</strong><br />
(who may need to obtain the prior approval of MCC) before taking any<br />
of the following actions:<br />

entering into a subcontract for the performance of any part of the<br />
Services beyond the subcontracting arrangements specifically<br />
named in the technical proposal, subject to the requirements of<br />

appointing such members of the Personnel not listed by name in<br />
Appendix C.<br />

3.6. Reporting<br />

copies specified in Appendices B and I.<br />
(c) MCA-<strong>Honduras</strong> may share the reports required under this clause<br />
with MCC.<br />
3.7.<br />

(a)<br />
All plans, drawings, specifications, designs, reports, other<br />
documents and software prepared by the Consultant for MCA-<br />
<strong>Honduras</strong> under this Contract shall become and remain the<br />
property of MCA-<strong>Honduras</strong>, and the Consultant shall, not later<br />
than upon termination or expiration of this Contract, <strong>del</strong>iver all<br />
such documents to MCA-<strong>Honduras</strong>, together with a detailed<br />
inventory thereof.<br />
(b)<br />
The Consultant may retain a copy of such documents and software.<br />
Restrictions about the future use of these documents and software,<br />
if any, shall be specified in the SCC.<br />
3.8.<br />
Accounting,<br />
Inspection and<br />
Auditing<br />
The provisions included in Appendix I with respect to accounting,<br />
inspection and auditing shall apply.<br />
3.9. Use of Funds The provisions included in Appendix I with respect to the use of funds<br />
shall apply.<br />
4. Consultant’s Personnel<br />
4.1 Description of<br />

The Consultant shall employ and provide such qualified and experienced<br />
Personnel and Sub-Consultants as are required to carry out the Services.<br />
The title, agreed job description, minimum qualification and estimated<br />
period of engagement in the carrying out of the Services of each of the<br />
Consultant’s Key Personnel are described in Appendix C. The Key<br />
Personnel and Sub-Consultants listed by title as well as by name in<br />
Appendix C are hereby approved by MCA-<strong>Honduras</strong>.<br />
(a) Except as MCA-<strong>Honduras</strong> and MCC may otherwise agree, no<br />
changes shall be made in the Key Personnel. If, for any reason<br />
beyond the reasonable control of the Consultant, such as<br />
retirement, death, medical incapacity, among others, it becomes<br />
necessary to replace any of the Key Personnel, the Consultant shall<br />
forthwith provide as a replacement a person of equivalent or better<br />
qualifications.<br />
(b)<br />

If MCA-<strong>Honduras</strong> (i) finds that any of the Personnel has<br />
committed serious misconduct or has been charged with having<br />
committed a criminal action, or (ii) has reasonable cause to be<br />
dissatisfied with the performance of any of the Personnel, then the<br />
Consultant shall, at MCA-<strong>Honduras</strong>’s written request specifying<br />
the grounds therefore, forthwith provide as a replacement a person<br />
with qualifications and experience acceptable to MCA-<strong>Honduras</strong><br />
and, in the case of Key Personnel, MCC.<br />
Consultant shall have no claim for additional costs arising out of<br />

or incidental to any removal and/or replacement of Personnel.<br />
5.<br />
Obligations of MCA-<strong>Honduras</strong><br />
5.1 Assistance and<br />

MCA-<strong>Honduras</strong> shall use its best efforts to ensure that the Government<br />
shall provide the Consultant such assistance and exemptions as specified<br />
in the SCC and consistent with the provisions of Appendix I.<br />
6. Payments to the Consultant<br />
The total payment due to the Consultant shall not exceed the Contract<br />
Price which is an all inclusive fixed lump sum covering all costs required<br />
to carry out the Services described in Appendix A. The Contract Price<br />
may only be increased above the amount stated in GCC 6.2 if the Parties<br />
have agreed to additional payments in accordance with GCC 2.4.<br />
6.2 Contract Price<br />
The price payable in US$ is set forth in the SCC.<br />
6.3 Payment for<br />
Additional Services<br />
For the purpose of determining the remuneration due for additional<br />
services as may be agreed under GCC 2.4, a breakdown of the Contract<br />
Price (lump sum) rates is provided in Appendices D and E.<br />

(a)<br />
Payments will be made to the account of the Consultant and<br />
according to the payment schedule stated in the SCC. Payments<br />
shall be made after the conditions listed in the SCC for such<br />
payment have been met, and the Consultant has submitted an<br />
invoice to MCA-<strong>Honduras</strong> specifying the amount due.<br />
(b) All payments under this Contract shall be made to the accounts of<br />
the Consultant specified in the SCC.<br />
If MCA-<strong>Honduras</strong> has <strong>del</strong>ayed payments beyond thirty (30) days after<br />
the due date stated in the SCC, interest shall be paid to the Consultant for<br />
each da y of <strong>del</strong>ay at the rate stated in the SCC.<br />
7. Good Faith<br />
7.1 Good Faith The Parties undertake to act in good faith with respect to each other’s<br />
rights under this Contract and to adopt all reasonable measures to ensure<br />
the realization of the objectives of this Contract.<br />
8. Settlement of Disputes<br />
8.1 Amicable Settlement<br />
The Parties agree that the avoidance or early resolution of disputes is<br />
crucial for a smooth execution of the Contract and the success of the<br />
assignment. The Parties shall use their best efforts to settle amicably all<br />
disputes arising out of or in connection with this Contract or its<br />
interpretation.<br />

8.2 Dispute Resolution<br />
Any dispute between the Parties as to matters arising pursuant to this<br />
Contract that cannot be settled amicably within thirty (30) days after<br />
receipt by one Party of the other Party’s request for such amicable<br />
settlement may be submitted by either Party for settlement in accordance<br />
with the provisions specified in the SCC.<br />

2. Commencement, Completion, Modification and Termination of Contract<br />

intent to extend the term of this contract until June 05, 2010 (the “Option Period<br />
Expiration Date”). MCA-<strong>Honduras</strong> shall notify the Consultant in writing of its<br />
decision to exercise its option and the Consultant shall countersign such notice<br />
acknowledging the exercise of the option (the “Option Agreement”). The Option<br />
Agreement shall become effective upon approval by the National Congress of the<br />
Republic of <strong>Honduras</strong> of such Option Agreement and, upon such approval; the<br />
term of this Contract shall automatically extend through the Option Period<br />
Expiration Date. Any Services and payments that are scheduled to occur after the<br />
Base Period Expiration Date shall only be performed in the event that MCA-<br />
<strong>Honduras</strong> has exercised its option to extend the Contract through the Option Period<br />
Expiration Date.<br />

If the Consultant, upon its sole responsibility, speeds up the presentation of<br />
<strong>del</strong>iverables, performing the services ahead of the timeline incorporated in the<br />
Schedule of Payments hereto attached under Appendix H, and MCA-<strong>Honduras</strong><br />
fully accepts such <strong>del</strong>iverables upon its sole discretion, the expiration of the<br />

APPENDIX A – DESCRIPTION OF SERVICES<br />
Servicios de Implementación de la Ley de Garantías Mobiliarias y su Registro<br />
1. Antecedentes<br />
La República de <strong>Honduras</strong>, a través de MCA-<strong>Honduras</strong>, está realizando la ejecución de un<br />
programa de desarrollo con financiamiento de la Corporación <strong>del</strong> Desafío <strong>del</strong> <strong>Milenio</strong> <strong>del</strong><br />
Gobierno de los Estados Unidos de América (www.mcc.gov) mediante un Convenio de<br />
Donación por un monto de $215 millones.<br />
De acuerdo con el Convenio de Donación, la legislación particular aplicable a MCA-<br />
<strong>Honduras</strong>, y sus regulaciones de gobernanza, MCA-<strong>Honduras</strong> es la entidad asignada con la<br />
responsabilidad para el manejo general de la implementación <strong>del</strong> Programa. El programa se<br />
encuentra regulado por el Convenio y sus Acuerdos Suplementarios (disponibles en<br />
www.mcc.gov y www.mcahonduras.hn).<br />
El financiamiento de MCC creará nuevas oportunidades para los agricultores y agronegocios.<br />
Hasta 8255 agricultores serán asistidos bajo el Programa de Desarrollo Rural<br />
para producir y comercializar cultivos de alto valor. Estos agricultores requerirán<br />
financiamiento para tomar ventaja de nuevas oportunidades de negocio. El objetivo <strong>del</strong><br />
Programa de Desarrollo Rural es incrementar la productividad y las destrezas de hacer negocios por<br />
parte de pequeños y medianos agricultores, mujeres y hombres, así como sus empleados, con el<br />
objetivo de aumentar su ingreso económico.<br />
El Programa de Desarrollo Rural incluye una línea de crédito de US $ 6 millones para ofrecer<br />
crédito de corto y mediano plazo a Agricultores <strong>del</strong> Programa, así como un programa de<br />
asistencia técnica para construir capacidades para financiamiento agrícola y rural entre<br />
bancos e instituciones financieras no bancarias interesadas. La línea de crédito de US $6<br />
millones será administrada bajo un Contrato de Fideicomiso con un banco comercial local<br />
regulado. Entre las sub-actividades <strong>del</strong> Componente de Acceso al Crédito Agrícola, también<br />
se encuentra la expansión y fortalecimiento <strong>del</strong> sistema registral de propiedad, para incluir un<br />
nuevo registro de garantías, que amplíe la gama de bienes garantizadores, genere seguridad<br />
jurídica para los prestamistas y prestatarios, y permita la pronta ejecución de las garantías en<br />
caso de no-pago por parte <strong>del</strong> prestatario.<br />
Con el propósito de transformar y fortalecer el sistema de derechos de propiedad, modernizar<br />
e integrar registros, reducir costos y tiempos transaccionales, otorgar seguridad jurídica a sus<br />
titulares y fomentar la inversión nacional y extranjera, el 29 de Junio <strong>del</strong> 2004 mediante<br />
Decreto legislativo no. 82-2004 se creó el Instituto de la Propiedad (IP) como ente<br />
desconcentrado de la Presidencia de la Republica. El Instituto de la Propiedad fusiona en<br />
forma innovadora en una sola institución La Dirección Ejecutiva de Catastro de la Secretaría<br />
de Estado en los Despachos de Gobernación y Justicia, La Dirección de Propiedad<br />
Intelectual de la Secretaría de Estado en los Despachos de Industria y Comercio, El Instituto<br />
Geográfico Nacional de la Secretaría de Estado en los Despachos de Obras Públicas,<br />

Transporte y Vivienda y Los Registros de la Propiedad Inmueble y Mercantil que se<br />
encontraban bajo la égida <strong>del</strong> Poder Judicial.<br />
Posteriormente y para facilitar el cumplimiento de las funciones <strong>del</strong> IP mediante Decreto<br />
legislativo 253-2005 publicado en el Diario Oficial La gaceta <strong>del</strong> 4 de Octubre <strong>del</strong> 2005, el<br />
Congreso Nacional de <strong>Honduras</strong> <strong>del</strong>egó el manejo de los Registros Mercantiles a las<br />
Cámaras de Comercio como Centros Asociados <strong>del</strong> Instituto de la Propiedad. El Instituto de<br />
la Propiedad por medio de los Acuerdos No. 141-2005 y 002-2006, designó a la Cámara de<br />
Comercio e Industria de Tegucigalpa, Centro Asociado para la administración <strong>del</strong> Registro<br />
Mercantil de Francisco Morazán y autorizó el traslado <strong>del</strong> mismo el <strong>23</strong> de Enero <strong>del</strong> 2006.<br />
2. Objetivo General<br />
El presente proyecto tiene dos aristas: 1) Las propiamente legales-normativas que<br />
tienen relación con la implementación de la Ley de Garantías Mobiliarias y sus regulaciones<br />
derivadas; y 2) Las vinculadas a la creación y funcionamiento <strong>del</strong> Registro de Garantías<br />
Mobiliarias. Como finalidad fundamental se espera contar con un sistema eficiente y<br />
ordenado de garantías mobiliarias en <strong>Honduras</strong> que impacte positivamente el mercado<br />
financiero nacional, particularmente en lo concerniente a la modernización <strong>del</strong> acceso al<br />
crédito en su connotación nacional e internacional y que contribuya a la creación de un<br />
mercado electrónico para el estímulo de negocios dedicados a la venta de bienes y servicios<br />
ofrecidos por la Micro, Pequeña y Mediana empresa. Este mercado electrónico, estaría<br />
vinculado a los mercados financieros internacionales y desde su inicio contaría con<br />
mecanismos que garanticen el financiamiento de los bienes o servicios ofrecidos en el<br />
mismo.<br />
3. Alcances <strong>del</strong> Proyecto<br />
Este proyecto incluye las siguientes actividades generales, cuyos detalles y alcances<br />
se establecen más a<strong>del</strong>ante en esta descripción de servicios:<br />
a) la creación de los instrumentos legales necesarios para facilitar el adecuado<br />
funcionamiento de un sistema de garantías reales mobiliarias;<br />
b) el diseño de los aspectos administrativos, operativos y de procedimiento;<br />
c) la determinación de la viabilidad económica y sostenibilidad financiera <strong>del</strong><br />
registro;<br />
d) la creación de los instrumentos tecnológicos para facilitar el funcionamiento de un<br />
sistema de garantías reales mobiliarias; y<br />
e) el desarrollo e implementación de un plan de capacitación de los diferentes actores<br />
(bancos, abogados, notarios, cámaras de comercio, etc.) que formarán parte <strong>del</strong><br />
sistema de garantías reales mobiliarias.<br />
4. Resumen de los Servicios<br />
El Consultor prestará servicios por un período de treinta y dos meses para implementar la Ley de<br />
Garantías Reales Mobiliarias y su Registro. Los servicios a prestar por el Consultor se definen por<br />
medio de la descripción <strong>del</strong> sistema registral que MCA-H espera obtener para dar aplicación práctica<br />
a la Ley de Garantías Reales Mobiliarias. Así, la descripción de los servicios inherentes para que<br />

funcione el sistema registral constituye el servicio que prestará el Consultor. Tanto el sistema<br />
registral, como los servicios se detallan a continuación:<br />
4.1. Ámbito Legal:<br />
4.1.1. Etapa Preparatoria<br />
El Consultor prestará los siguientes servicios:<br />
• Elaborará un Reporte de Inicio, que incluirá una descripción detallada de metodología para<br />
elaborar el Estudio de Viabilidad Económica y Sostenibilidad Financiera <strong>del</strong> Registro; un<br />
calendario de actividades para primeros seis meses de servicios; y una descripción detallada de<br />
mecanismo de coordinación e interrelación con actores clave: IP, AHIBA, micro-financieras,<br />
CCIT, MCA-<strong>Honduras</strong>, entre otros.<br />
• Identificará las etapas y documentación básica utilizada en las actividades comerciales — con un<br />
énfasis particular en las actividades agrícolas — que se espera fomentar a través de un mayor<br />
acceso al crédito y de la inscripción en el registro de la documentación relevante a efectos de<br />
dichas actividades (tanto en formato de papel como en formato electrónico) (“Roadmap”).<br />
• Elaborará un estudio comparativo de los sistemas registrales en otros países (incluyendo, a modo<br />
de ejemplo, Estados Unidos, Canadá, México, Europa Oriental) para la definición de un mo<strong>del</strong>o<br />
hondureño que sea consistente con la realidad y prácticas internacionales (“Estudio<br />
Comparativo de los Sistemas Registrales”). Dicho estudio podrá tomar en cuenta los resultados<br />
y hallazgos de otros estudios similares desarrollados por otras entidades, pero se enfocará<br />
específicamente en el mo<strong>del</strong>o a implementarse bajo esta contratación.<br />
• Diseñará, preparará y presentará de documentos mo<strong>del</strong>o diseñados como resultado <strong>del</strong> Roadmap<br />
(“Documentos de Roadmap”). Estos pueden incluir, entre otros, facturas, cartas de porte,<br />
certificados de calidad, certificados de entrega, certificados de origen y manuales de buenas<br />
prácticas para las operaciones de crédito y su vinculación con el registro.<br />
4.1.2 Elaboración de Instrumentos Legales<br />
El Consultor tomará en cuenta los objetivos esenciales que debe de cumplir el registro, así como los<br />
principios básicos que se aplican al mismo, incluyendo – a modo de ejemplo – el ejercicio de la fe<br />
pública registral, el mantenimiento de un sistema confiable y eficiente de operación y la preservación<br />
y conservación <strong>del</strong> acervo documental y electrónico. El Consultor elaborará los siguientes<br />
documentos:<br />
• Borrador y versión final <strong>del</strong> Reglamento General de la Ley de Garantías Reales Mobiliarias<br />
que facilite la comprensión y aplicación de la misma por parte de los involucrados (este<br />
documento analizará la operación de la ley desde la perspectiva <strong>del</strong> registro, y estará redactado<br />
con el formato de un manual o “reglamento didáctico”). Sin perjuicio de la redacción de este<br />
reglamento, el Consultor y MCA-H podrán acordar, durante la vigencia de este contrato, la<br />
necesidad de redacción de otros manuales operativos sobre aspectos específicos — a modo de<br />
ejemplo, estos pueden incluir manuales operativos para la transferencia de documentos en<br />
formato de papel a formato electrónico, recepción de documentos vía fax, recepción de<br />
documentos electrónicos, etc.<br />

• Borrador y versión final de los Reglamentos Especiales que resulten necesarios de acuerdo con<br />
el Estudio de Factibilidad Económica y operativa <strong>del</strong> registro, y que se determinen de común<br />
acuerdo entre MCA-H y el Consultor por resultar necesarios para la operación <strong>del</strong> registro.<br />
• Borrador y versión final <strong>del</strong> Reglamento para el Registro (el reglamento habrá de tener en<br />
cuenta los principios esenciales para un registro de garantías mobiliarias, incluyendo su carácter<br />
público, unitariedad (a efectos de evitar los gravámenes ocultos), centralización de la<br />
información, accesibilidad, simplificación de trámites (sin estrictos requisitos de calificación o<br />
verificación), procesamiento electrónico (automatizado) de los datos, inscripciones sumarias,<br />
personal mínimo requerido para la operación, efectos declarativos, clasificación o índice basado<br />
en la identificación <strong>del</strong> deudor (y excepcionalmente, en base al número de serie de los bienes, en<br />
el caso de bienes muebles de gran valor monetario que se puedan identificar por dicho número,<br />
marca u otros signos distintivos), y precios/tasas razonables que no excluyan a ningún sector<br />
económico.<br />
El Consultor socializará el Reglamento General, los Reglamentos Especiales y el Reglamento para el<br />
Registro.<br />
4.1.3. Análisis y Revisión Marco Legal Relacionado<br />
El Consultor será responsable de análisis, revisión y compilación <strong>del</strong>:<br />
a) políticas/circulares/regulaciones, etc. bancarias y/o de empresas aseguradoras así como otros<br />
prestamistas a efectos de adaptarlas a las necesidades de las nuevas prácticas crediticias;<br />
b) marco legal aplicable a la creación de mercados basados en las ventas spot o a futuro de<br />
productos agrícolas y sus derivados;<br />
c) marco legal aplicable a la ejecución extrajudicial de laudos arbitrales a través <strong>del</strong> Centro de<br />
Conciliación y Arbitraje de la CCIT.<br />
4.2. Ámbito Administrativo <strong>del</strong> Registro<br />
El Consultor elaborará los siguientes documentos:<br />
El Manual Administrativo <strong>del</strong> Registro que deberá incluir, al menos, los siguientes<br />
elementos:<br />
• organigrama <strong>del</strong> Registro de Garantías Reales Mobiliarias,<br />
• Reglamento <strong>del</strong> Sistema <strong>del</strong> Registro de Garantías reales Mobiliarias,<br />
• perfil <strong>del</strong> personal necesario a los efectos de la estructuración y operación <strong>del</strong><br />
Registro de Garantías Reales Mobiliarias,<br />
• una estrategia definida de selección de personal y no de forma arbitraria,<br />
• un Código de Ética para el personal registral,<br />
• Desempeño Profesional de los funcionarios y empleados <strong>del</strong> Registro basado en<br />
estándares de Responsabilidad Profesional, y<br />

• propuesta para remuneraciones para el personal basado en nivel de responsabilidad,<br />
volumen de trabajo, jerarquía en relación a las actividades asignadas.<br />
El Manual Interno <strong>del</strong> Registro que deberá, al menos: 1<br />
• establecer un escenario ideal para cada uno de los componentes, incluyendo<br />
directrices respecto a prioridades y secuencia de implementación,<br />
• proporcionar lineamientos que permitan la interconexión y funcionamiento armónico<br />
de los registros mobiliarios a nivel nacional (identificar procedimientos para<br />
proporcionar acceso a la información registral, incluyendo requisitos a cumplir por las<br />
entidades autorizadas, requisitos de seguridad, etc.),<br />
• identificar un servicio profesional de la carrera registral, que incluya,<br />
profesionalización, actualización permanente, plan de carrera y estabilidad laboral,<br />
• implementar procesos de certificación y capacitación con base a resultados, y<br />
• normar y certificar las competencias de todo el personal que laborará en el registro.<br />
El Manual Interno <strong>del</strong> Registro deberá reconocer la complejidad de la institución y la<br />
necesidad de que su instalación sea gradual (por ejemplo, permitiendo que inicialmente<br />
las operaciones registrales se realicen en formato de papel y/o electrónico), definir<br />
procesos ágiles que permitan mantener la seguridad jurídica con altos niveles de<br />
eficiencia e instar a la mejor relación con notarios y otros usuarios<br />
El Consultor diseñará y desarrollará un sistema registral que logre la integración de todos<br />
los componentes; que cumpla con las mejores prácticas internacionales; que establezca<br />
indicadores de desempeño que permitan la mejora continua en la calidad <strong>del</strong> servicio; y<br />
que proponga el uso de mecanismos de monitoreo y evaluación de todas las operaciones<br />
registrales desarrolladas en el registro de garantías mobiliarias, a través de medios<br />

4.3 Ámbito Operativo y de Procedimiento<br />
4.3.1 Elaboración y Procesamiento de Documentos Registrales<br />
El Consultor será responsable de la elaboración de los siguientes documentos y sistemas informáticos:<br />
• Borradores de formularios/formatos estandarizados para las inscripciones registrales (incluyendo,<br />
de modo no limitativo, formularios de registro de una nueva garantía, de corrección/modificación,<br />
de renovación, de ejecución y de cancelación) y las versiones finales de los mismos, tomando en<br />
cuenta las mejores prácticas existentes en otros países, así como los esfuerzos que se están<br />
realizando actualmente ante la Organización de Estados Americanos (OEA) en la redacción de<br />
formularios uniformes. Los formularios se redactarán para que contengan los datos más<br />
esenciales, en forma estandarizada, a fin de identificar a las partes, el monto <strong>del</strong> préstamo o línea<br />

de crédito y la descripción de los bienes garantizadores (a cuyos efectos resultarán suficientes las<br />
descripciones genéricas).<br />
• Reglas para la preservación de información, bases de datos o registros (incluyendo sub-registros<br />
para la cancelación de deudas y un archivo histórico).<br />
El Consultor deberá prever que para cada uno de los sistemas informáticos antes descritos deberá de<br />
elaborar un sistema manual que pueda ser llevado a la par, si fuera aplicable (EJ. Para casos en que el<br />
sistema informático no este operando).<br />
4.3.2 Aspectos de Procedimiento (Manuales)<br />
El Consultor será responsable de la elaboración de los siguientes documentos y sistemas informáticos:<br />
• Manual de Procedimientos Registrales y su Sistema Informático.<br />
• Manual de Requisitos de Inscripción y su Sistema Informático.<br />
• Manual <strong>del</strong> Archivo Registral (EJ.: tomos, fichas movibles, etc.) y su Sistema Informático.<br />
• Manual de Claves de Registro y su Sistema Informático.<br />
4.3.3 Diseño de Sistema<br />
El Consultor será totalmente responsable por el diseño <strong>del</strong> sistema, incluyendo una definición de las<br />
necesidades técnicas en materia de equipos hardware, software (COTS), software a ser desarrollado,<br />
servicios de red y cualesquiera otros requerimientos de informáticos y/o tecnológicos <strong>del</strong> diseño <strong>del</strong><br />
sistema, para lo cual deberá presentar un reporte (“Diseño de Sistema”) que incluirá (pero no se<br />
limitará a) los siguientes aspectos:<br />
• acceso electrónico (internet, autoservicio, ventanilla) que incluirá: i) la posibilidad de enviar<br />
formularios electrónicos estandarizados; y ii) la posibilidad de realizar búsquedas;<br />
• Acceso por medios de comunicación al público y sectores clave, incluyendo el desarrollo<br />
de portales para notarios, instituciones, servicios públicos, y acceso vía electrónica segura<br />
para vincular las siguientes áreas: Ventanilla, Call Center, Autoservicio y Áreas Internas.<br />
• seguridad <strong>del</strong> registro (tecnología aplicable, identificación de usuarios, claves, control de<br />
firmas.etc.), así como de los documentos y/o certificados emitidos por el registro — incluyendo<br />
las normas que correspondieren a efectos de regular errores sustanciales, fraude, responsabilidad<br />
de los funcionarios y <strong>del</strong> registro, y similares;<br />
• infraestructura (legal y tecnológica) para la interrelación <strong>del</strong> Registro de Garantías Reales<br />
Mobiliarias con<br />
- el Registro de la Propiedad Inmueble,<br />
- el Registro de la Propiedad Intelectual,<br />
- el Registro de Vehículos,<br />
- otros registros a nivel centroamericano, de los Estados Unidos, y Canadá<br />
(entre otros)<br />
- otros registros que se identifiquen como necesarios.<br />

• control y flujo de documentos (recepción, tiempos de flujo, control de trámites, emisión de<br />
certificaciones, archivo, etc.)<br />
• un sistema de atención de quejas y sugerencias.<br />
• un mecanismo de pagos desde puntos de acceso remoto.<br />
• Concentrar la información registral en un sola base de datos, homogénea, accesible y<br />
estandarizada (“Base de Datos Registral”)<br />
• reportes de estadísticas de operación (indicadores de eficiencia, consulta de estado <strong>del</strong><br />
trámite, indicadores financieros).<br />
• Un adecuado sistema de Auditoria Registral que incluirá establecer pistas de auditoria,<br />
requerimientos en la calidad de datos a utilizar, pruebas de cumplimiento de metas,<br />
definición de excepciones a la normativa <strong>del</strong> Sistema Registral, uso de bitácoras para las<br />
actividades realizadas, y definir los parámetros para evaluar y garantizar la funcionalidad<br />
<strong>del</strong> sistema.<br />
• Un mecanismo de inscripción que permita Elaborar el procedimiento de acervo y<br />
conservación documental, consulta, certificación en general, y la interfase con grandes<br />
usuarios y otras instituciones.<br />
4.4 Sostenibilidad Financiera.<br />
Elaborar un Estudio de Sostenibilidad Financiera <strong>del</strong> Registro que incluya entre otras cosas:<br />
• un estimado de los costos de estructuración (incluyendo costos fijos y posibles costos<br />
adicionales) <strong>del</strong> Registro,<br />
• un estimativo de los costos mensuales y/o anuales de operaciones, y<br />
• un cálculo estimado de las tarifas a cobrarse; y un plan para la administración de los montos<br />
que se perciban por el Registro.<br />
• metodologías de costo aplicables al Registro, teniendo en cuenta las siguientes<br />
normas contables internacionalmente aceptadas: el Costo Basado en Actividades<br />
(ABC) y la Administración Basada en Costos (ABM).<br />
4.5. Entrenamiento y Capacitación.<br />
4.5.1 Capacitación de Actores Externos<br />
El Consultor proveerá capacitación a los siguientes grupos de usuarios y operadores (de modo<br />
particular pero no limitativo), para lo cual será responsable por la preparación y provisión de los<br />
materiales didácticos y la provisión de capacitadores, pero no de la logística (costos de talleres y<br />
seminarios) de cada evento de capacitación, con las excepciones abajo descritas:<br />
a) Personal <strong>del</strong> sector financiero.<br />

La capacitación <strong>del</strong> personal <strong>del</strong> sistema financiero incluirá distintos componentes,<br />
incluyendo: a) la capacitación de funcionarios; b) la capacitación de personal<br />
gerencial/ejecutivo; c) la capacitación de personal especializado en la<br />
inspección/verificación de bienes muebles a ser utilizados como garantías de los<br />
préstamos. En este componente se contará con la colaboración de la Commercial Finance<br />
Association (CFA) y de IFSA, entre otras instituciones.<br />
b) Personal <strong>del</strong> Poder Judicial (jueces, secretarios, abogados).<br />
c) Árbitros hondureños.<br />
d) Usuarios <strong>del</strong> registro, incluyendo: i) notarios; ii) sector empresarial; iii) asociaciones; se<br />
incluirá la redacción de una guía de usuarios.<br />
El Consultor planificará y desarrollará, bajo su responsabilidad y costos totales, dos (2) viajes a<br />
conocer al detalle la operación de un registro de garantías mobiliarias en los Estados Unidos, para la<br />
socialización-y capacitación inicial de usuarios <strong>del</strong> sector financiero, personal <strong>del</strong> poder judicial,<br />
árbitros y demás usuarios <strong>del</strong> registro. Este viaje incluirá un grupo máximo de cinco (5) personas<br />
grupo que estará compuesto por un operador y un usuario mas un representante de los poderes<br />
judicial, ejecutivo y legislativo o sus sustitutos a discreción de MCA <strong>Honduras</strong>, seleccionados con la<br />
aprobación de MCA-<strong>Honduras</strong>, por un lapso total que no habrá de superar los cinco (5) días.<br />
El Consultor será responsable por la estructuración y desarrollo de un Plan de Promoción (en<br />
conjunción con la CCIT), con actividades en Tegucigalpa y San Pedro Sula.<br />
Como parte <strong>del</strong> Item No. 14 <strong>del</strong> Apéndice H (Schedule of Payments), el Consultor presentará un Plan<br />
de Capacitación Continua cuya primera fase se llevara a cabo durante el periodo de vigencia de este<br />
contrato y que contendrá las áreas de capacitación y las audiencias correspondientes para el futuro,<br />
una vez que el Registro sea completamente operativo.<br />
4.5.2 Entrenamiento y Capacitación <strong>del</strong> Personal Registral<br />
Los componentes que se enumeran en esta sección son a título ilustrativo; la determinación<br />
definitiva de estos componentes se realizará sobre la base de un estudio que se habrá de<br />
realizar por el Consultor previo al desarrollo e implementación <strong>del</strong> Sistema Registral<br />
propuesto para MCA <strong>Honduras</strong>, a efectos de adaptar al sistema propuesto las experiencias en<br />
otros países y definir así la propuesta de estructura institucional.<br />
Los resultados de las actividades <strong>del</strong> Consultor durante la vigencia <strong>del</strong> Contrato deberán<br />
garantizar que la función desempeñada por los servidores <strong>del</strong> registro sean eficientes y de<br />
calidad, como resultado <strong>del</strong> cumplimiento <strong>del</strong> perfil requerido y de las competencias<br />
necesarias por parte <strong>del</strong> personal. Para el cumplimiento de este servicio el Consultor<br />
desarrollará e implementará programas de capacitación que generen lo siguiente:<br />
• inducción enmarcada en una Carrera Profesional <strong>del</strong> Servicio Registral de no<br />
seleccionarse y diseñarse, a discreción <strong>del</strong> Consultor, un sistema totalmente<br />
automatizado,<br />
• comprensión de las responsabilidades y Código de Ética de los funcionarios y<br />
empleados <strong>del</strong> Registro, en conjunción y en armonía con un posible sistema<br />
automatizado de operaciones registrales,<br />

• ubicar a cada empleado en el nivel correspondiente y conceder reconocimientos<br />
acordes con su función, especialidad y esfuerzo, en conjunción y en armonía con<br />
un posible sistema automatizado de operaciones registrales,<br />
• contar, además de la formación profesional, con una especialización y<br />
reconocimiento de ascensos de conformidad con los principios de servicio<br />
profesional de la carrera registral, en conjunción y en armonía con un posible<br />
sistema automatizado de operaciones registrales,<br />
• promover programas que vinculen al Registro con instituciones académicas para<br />
respaldar la capacitación,<br />
• disponer de mecanismos de certificación de habilidades profesionales, que validen<br />
la eficiencia en la actuación registral, extendidos por asociaciones profesionales<br />
especializadas, y en conjunción y en armonía con un posible sistema<br />
automatizado de operaciones registrales,<br />
• disponer de un Código de Ética para el personal registral.<br />
5. Gestión de Calidad<br />
El Consultor formulará un Sistema de Gestión de Calidad (SGC), que estará concebido para<br />
garantizar la calidad de los servicios a los usuarios. Los esfuerzos de calidad, innovación,<br />
integridad y transparencia se deben reflejar en los servicios que se prestan. El SGC debe<br />
cubrir los requisitos siguientes:<br />
• Nivel de satisfacción de usuarios.<br />
• Grado de apoyo de la Dirección.<br />
• Gestión de información, conocimiento y tecnología.<br />
• Gestión y Mejora de Procesos.<br />
• Resultados basados en hechos.<br />
6. Políticas Institucionales<br />
El Consultor desarrollará un sistema de registro que garantice: autosuficiencia registral,<br />
derechos adecuados por los servicios, control de la corrupción que pudiera presentarse y<br />
fomento de la cultura registral.<br />
Dicho sistema deberá considerar los siguientes aspectos:<br />
• Organismos asociados.<br />
• Presupuesto Propio.<br />
• Derechos que reflejen el costo de los servicios.<br />
• Control de prácticas indebidas.<br />
• Transparencia en la información.<br />
• Ser un programa integral de cultura registral.<br />

7. Gestión Documental<br />
El Consultor deberá asegurar que este componente estará sujeto al estudio comparativo<br />
previo sobre registros foráneos, así como al estudio de factibilidad, y deberá tener como<br />
objetivo, entre otros, el evitar limitarse a tecnologías específicas que puedan sufrir<br />
obsolescencia en un futuro muy cercano.<br />
Para dicha gestión documental, el Consultor deberá considerar que:<br />
• Los instrumentos jurídicos aplicables contemplen el uso de imágenes o de<br />
cualquier otra tecnología avanzada que sea la más compatible con las prácticas<br />
internacionales<br />
• La captura de imágenes y su registro correspondan a los contenidos <strong>del</strong> acervo<br />
documental o de cualquier otra tecnología avanzada que sea la más compatible<br />
con las prácticas internacionales<br />
• La trascripción de datos y las referencias a imágenes, estén integradas a la base de<br />
datos. o de cualquier otra tecnología avanzada que sea la más compatible con las<br />
prácticas internacionales.<br />
• Exista en la base de datos, los antecedentes registrales a cada trámite en proceso.<br />
• Las imágenes deberán estar completas, actualizadas y disponibles para consulta,<br />
mediante accesos electrónicos, Internet u otro medio afín o de cualquier otra<br />
tecnología avanzada que sea la más compatible con las prácticas internacionales.<br />
• Los acervos físicos y digitales deberán estar protegidos adecuadamente contra<br />
riesgos físicos.<br />
• El acervo físico documental existente, deberá convertirse y trasladarse<br />
apropiadamente al Registro de Garantías Reales Mobiliarias.<br />
8. Indicadores de Desempeño<br />
El Consultor, en el sistema de registro propuesto, deberá considerar en el desarrollo <strong>del</strong><br />
mismo una gama de indicadores y cualidades necesarias de modernidad y desempeño, para<br />
garantizar el éxito <strong>del</strong> sistema registral, su sostenibilidad, y continuidad en el ofrecimiento de<br />
un servicio de calidad. Dichos indicadores y características requeridas aparecen enlistados en<br />
el Anexo J <strong>del</strong> presente Contrato.<br />

APPENDIX B – REPORTING REQUIREMENTS<br />
The Consultant will be required to provide the reports described in the table that follows. All reports<br />
will be submitted with two original copies in Spanish and English and with its corresponding<br />

APPENDIX I – ADDITIONAL PROVISIONS<br />
Capitalized terms that are used but not defined in this Appendix shall have the meaning given to them<br />
in the contract to which this Appendix is attached (the “Contract”) and that certain Millennium<br />
Challenge Compact by and between the United States of America, acting through MCC, and the<br />
Government, signed on June 13, 2005, as may be amended from time to time (the “Compact”).<br />
MCA-<strong>Honduras</strong> is responsible for the oversight and management of the implementation of the<br />
Compact on behalf of the Government (the “MCA Entity”) has received a grant from MCC pursuant<br />
to the Compact and intends to apply a portion of the proceeds of the Compact to eligible payments<br />
under this Contract, provided that (i) such payments will only be made at the request of and on behalf<br />
of the MCA Entity and as authorized by the Fiscal Agent, (ii) MCC shall have no obligations to the<br />
Consultant (for the purposes of this Appendix, the “Contract Party”) under the Compact or this<br />
Contract, (iii) such payments will be subject, in all respects, to the terms and conditions of the<br />
Compact, and (iv) no party other than the MCA Entity shall derive any rights from the Compact or<br />
have any claim to MCC Funding.<br />
A. MCC Status; Reserved Rights; Third-Party Beneficiary<br />
1. MCC Status. MCC is a United States Government corporation acting on behalf of the<br />
United States Government in the implementation of the Compact. As such, MCC has no liability<br />
under this Contract, and is immune from any action or proceeding arising under or relating to this<br />
Contract. In matters arising under or relating to this Contract, MCC is not subject to the jurisdiction of<br />
the courts or any other juridical or other body of any jurisdiction.<br />
2. MCC Reserved Rights.<br />
(a) Certain rights are expressly reserved to MCC under this Contract, the Compact and<br />
other related Compact documents, including the right to approve the terms and conditions of this<br />
Contract, as well as any amendments or modifications hereto, and the right to suspend or terminate<br />
this Contract.<br />
(b) MCC, in reserving such rights under this Contract, the Compact or other related<br />
Compact documents, has acted solely as a funding entity to assure the proper use of United States<br />
Government funds, and any decision by MCC to exercise or refrain from exercising these rights shall<br />
be made as a funding entity in the course of funding the activity and shall not be construed as making<br />
MCC a party to this Contract.<br />
(c) MCC may, from time to time, exercise its rights, or discuss matters related to this<br />
Contract with the parties to this Contract, the Government or the MCA Entity, as appropriate, jointly<br />
or separately, without thereby incurring any responsibility or liability to any party.<br />
(d) Any approval (or failure to approve) or exercise of (or failure to exercise) any rights<br />
by MCC shall not bar the Government, the MCA Entity, MCC or any other person or entity from<br />
asserting any right against the Contract Party, or relieve the Contract Party of any liability which such<br />
entity might otherwise have to the MCA Entity, MCC, or any other party. For the purposes of this<br />
clause (d), MCC shall be deemed to include any MCC officer, director, employee, Affiliate,<br />
contractor, agent or representative.<br />

3. Third-Party Beneficiary. MCC shall be deemed to be a third party beneficiary under<br />
this Contract.<br />
B. Limitations on the Use or Treatment of MCC Funding.<br />
The use and treatment of MCC Funding in connection with this Contract does not, and shall<br />
not, violate any limitations or requirements specified in the Compact, including Section 2.3 and 5.4(b)<br />
of the Compact or any other relevant Supplemental Agreement or Implementation Letter or applicable<br />
law or U.S. Government policy. A summary of the applicable Compact provisions referenced in this<br />
paragraph may be found on the MCC website at:<br />

C. Procurement.<br />
The Contract Party shall ensure that all procurements of goods, services or works under,<br />
related to or in furtherance of this Contract shall be consistent with the general principles set forth in<br />
Section 3.6 of the Compact and in the Procurement Gui<strong>del</strong>ines. The Contract Party shall comply with<br />
the eligibility requirements related to prohibited source or restricted party provisions in accordance<br />
with U.S. law, regulations and policy, applicable World Bank policies or gui<strong>del</strong>ines and in<br />
accordance with other eligibility requirements as may be specified by MCC or the MCA Entity. A<br />
summary of the applicable Compact provision referenced in this paragraph may be found on the MCC<br />

With respect to subcontracting the Procurement Gui<strong>del</strong>ines provide as follows:<br />
1. Every contract or subcontract for goods, services or works with any party that receives at<br />
least USD $50,000 in the aggregate of MCC Funding shall require the contracting party to follow the<br />
Procurement Principles set out in the Compact to the maximum extent consistent with the objectives<br />
and requirements of the contract when subcontracting for goods, services or works.<br />
2. In every contract or subcontract valued in excess of USD $1,000,000, the contracting party<br />
shall be required to have written procurement procedures that may be subject to review by MCA-<br />
<strong>Honduras</strong>, MCC, the Government and any of their respective agents or representatives.<br />
3. Any contractor or subcontractor planning to subcontract for a major item of supply,<br />
services, or works, (deemed major if valued in excess of USD $100,000) shall seek MCA-<strong>Honduras</strong><br />
prior written approval of the subcontractor.<br />
D. Reports and Information; Access; Audits; Reviews.<br />
1. Reports and Information. The Contract Party shall maintain such books and records<br />
and provide such reports, documents, data or other information to the MCA Entity in the manner and<br />
to the extent required by Sections 3.8 (a) and (b) of the Compact, and as may be reasonably requested<br />
by the MCA Entity from time to time in order to comply with its reporting requirements arising under<br />
the Compact. The provisions of Section 3.8(a) and (b) of the Compact that are applicable to the<br />
Government shall apply, mutatis mutandis, to the Contract Party as if such Contract Party were the<br />
Government under the Compact. A summary of the applicable Compact provisions referenced in this<br />

2. Access; Audits and Reviews. The Contract Party shall permit such access, audits,<br />
reviews and evaluations as provided in the Compact. The provisions of the Compact that are<br />
applicable to the Government with respect to access and audits shall apply, mutatis mutandis, to the<br />
Contract Party as if such Contract Party were the Government under the Compact. A summary of the<br />
applicable Compact provisions referenced in this paragraph may be found on the MCC website at<br />

3. Application to Providers. The Contract Party shall ensure the inclusion of the<br />
applicable audit, access and reporting requirements in its contracts or agreements with other Providers<br />
in connection with the Agreement. A summary of the applicable requirements may be found on the<br />

E. Compliance with Anti-Corruption Legislation.<br />
The Contract Party shall ensure that no payments have been or will be made by such Contract<br />
Party to any official of the Government, the MCA Entity, or any third party (including any other<br />
government official) in connection with this Contract in violation of the United States Foreign<br />
Corrupt Practices Act of 1977, as amended (15 U.S.C. 78a et seq.) (the “FCPA”) or that would<br />
otherwise be in violation of the FCPA if the party making such payment were deemed to be a United<br />
States person or entity subject to the FCPA, or similar statute applicable to this Contract, including<br />
any local laws. The Contract Party affirms that no payments have been or will be received by any<br />
official, employee, agent or representative of such Contract Party in connection with this Contract in<br />
violation of the FCPA or that would otherwise be in violation of the FCPA if the party making such<br />
payment were deemed to be a United States person or entity subject to the FCPA, or similar statute<br />
applicable to this Contract, including any local laws.<br />
F. Compliance with Anti-Money Laundering Legislation.<br />
The Contract Party shall ensure that MCC Funding pursuant to this Contract is not used for<br />
money-laundering activities and, to that end, shall comply with any policies and procedures for<br />
monitoring operations to ensure compliance, as may be established from time to time by the Contract<br />
Party, MCC, the MCA Entity, the Fiscal Agent, the Procurement Agent, or the Bank.<br />

G. Compliance with Terrorist Financing Statutes and Other Restrictions.<br />
1. The Contract Party shall not provide material support or resources directly or<br />
indirectly to, or knowingly permit MCC Funding to be transferred to, any individual, corporation or<br />
other entity that such Party knows, or has reason to know, commits, attempts to commit, advocates,<br />
facilitates, or participates in any terrorist activity, or has committed, attempted to commit, advocated,<br />
facilitated or participated in any terrorist activity, including, but not limited to, the individuals and<br />
entities (i) on the master list of Specially Designated Nationals and Blocked Persons maintained by<br />
the U.S. Department of Treasury’s Office of Foreign Assets Control, which list is available at<br />
www.treas.gov/offices/enforcement/ofac, (ii) on the consolidated list of individuals and entities<br />
maintained by the “1267 Committee” of the United Nations Security Council, or (iii) such other list as<br />
the MCA Entity may specify from time to time. For purposes of this provision, “material support and<br />
resources” includes currency, monetary instruments or other financial securities, financial services,<br />
lodging, training, expert advice or assistance, safe houses, false documentation or identification,<br />
communications equipment, facilities, weapons, lethal substances, explosives, personnel,<br />
transportation, and other physical assets, except medicine or religious materials.<br />
2. The Contract Party shall ensure that its activities under this Contract comply with all<br />
applicable U.S. laws, regulations and executive orders regarding money laundering, terrorist<br />
financing, U.S. sanctions laws, restrictive trade practices, boycotts, and all other economic sanctions<br />
promulgated from time to time by means of statute, executive order, regulation or as administered by<br />
the Office of Foreign Assets Control of the United States Treasury Department or any successor<br />
governmental authority, including, 18 U.S.C. Section 1956, 18 U.S.C. Section 1957, 18 U.S.C.<br />
Section <strong>23</strong>39A, 18 U.S.C. Section <strong>23</strong>39B, 18 U.S.C. Section <strong>23</strong>39C, 18 U.S.C. Section 981, 18<br />
U.S.C. Section 982, Executive Order 13224, 15 C.F.R. Part 760, and those economic sanctions<br />
programs enumerated at 31 C.F.R. Parts 500 through 598. The Contract Party shall verify, or cause to<br />
be verified, appropriately any individual, corporation or other entity with access to or recipient of<br />
funds, which verification may include verifying if such name appears on applicable watch lists such<br />
as the lists maintained on www.epls.gov and the other lists specified in the immediately preceding<br />
paragraph. The Contract Party shall (A) conduct the monitoring referred to in this paragraph on at<br />
least a quarterly basis, or such other reasonable period as the MCA Entity or MCC may request from<br />
time to time and (B) <strong>del</strong>iver a report of such periodic monitoring to the MCA Entity with a copy to<br />
MCC.<br />
3. Other restrictions on the Contract Party shall apply as set forth in Section 5.4(b) of the<br />
Compact with respect to drug trafficking, terrorism, sex trafficking, prostitution, fraud, felony, any<br />
misconduct injurious to MCC or the MCA Entity, any activity contrary to the national security<br />
interests of the United States or any other activity that materially and adversely affects the ability of<br />
the Government or any other party to effectively implement, or ensure the effective implementation<br />
of, the Program or any Project or to otherwise carry out its responsibilities or obligations under or in<br />
furtherance of the Compact or any Supplemental Agreement or that materially and adversely affects<br />
the Program Assets or any Permitted Account.<br />
H. Publicity, Information and Marking.<br />
The Contract Party shall cooperate with the MCA Entity and the Government to provide the<br />
appropriate publicity to the goods, works and services provided under this Contract, including<br />
identifying Program activity sites and marking Program Assets as goods, services, and works funded<br />
by the United States, acting through MCC, provided, any announcement, press release or statement<br />

egarding MCC or the fact that MCC is funding the Program or any other publicity materials<br />
referencing MCC, shall be subject to prior approval by MCC and shall be consistent with any<br />
instructions provided by MCC from time to time in relevant Implementation Letters. Upon the<br />
termination or expiration of the Compact, MCC may request the removal of, and the Contract Party<br />
shall, upon such request, remove, or cause the removal of, any such markings and any references to<br />
MCC in any publicity materials. MCC shall have the right to use any information or data provided in<br />
any report or document provided to MCC for the purpose of satisfying MCC’s reporting requirements<br />
or in any other manner.<br />
I. Insurance.<br />
The Contract Party shall obtain insurance, performance bonds, guarantees or other protections<br />
appropriate to cover against risks or liabilities associated with performance of the Agreement. The<br />
Contract Party shall be named as payee on any such insurance and the beneficiary of any such<br />
guarantee, including performance bonds. MCC and the MCA Entity shall be named as additional<br />
insureds on any such insurance or other guarantee, to the extent permissible under applicable laws.<br />
The Contract Party shall ensure that any proceeds from claims paid under such insurance or any other<br />
form of guarantee shall be used to replace or repair any loss or to pursue the procurement of the<br />
covered goods, services, works, provided, however, at MCC’s election, such proceeds shall be<br />
deposited in an account as designated by the MCA Entity and acceptable to MCC or as otherwise<br />
directed by MCC.<br />
J. Conflict of Interest.<br />
The Contract Party shall ensure that no person or entity shall participate in the selection,<br />
award, administration or oversight of a contract, grant or other benefit or transaction funded in whole<br />
or in part (directly or indirectly) by MCC Funding in connection with this Contract, in which (i) the<br />
entity, the person, members of the person’s immediate family or household or his or her business<br />
partners, or organizations controlled by or substantially involving such person or entity, has or have a<br />
financial or other interest or (ii) the person or entity is negotiating or has any arrangement concerning<br />
prospective employment, unless such person or entity has first disclosed in writing to the parties<br />
under this Contract and MCC the conflict of interest and, following such disclosure, the parties to this<br />
Contract agree in writing to proceed notwithstanding such conflict. The Contract Party shall ensure<br />
that no person or entity involved in the selection, award, administration, oversight or implementation<br />
of any contract, grant or other benefit or transaction funded in whole or in part (directly or indirectly)<br />
by MCC Funding in connection with this Contract shall solicit or accept from or offer to a third party<br />
or seek or be promised (directly or indirectly) for itself or for another person or entity any gift,<br />
gratuity, favor or benefit, other than items of de minimis value and otherwise consistent with such<br />
guidance as MCC may provide from time to time.<br />
K. Inconsistencies.<br />
In the event of any conflict between this Contract and the Compact, the Disbursement<br />
Agreement, or the Procurement Agreement, the term(s) of the Compact, the Disbursement Agreement<br />
or the Procurement Agreement shall prevail.<br />

L. Other Provisions<br />
The Contract Party shall abide by such other terms or conditions as may be specified by the<br />
MCA Entity or MCC in connection with the Agreement consistent with the Compact and the other<br />
Supplemental Agreements.<br />
M. Flow-Through Provisions.<br />
In any subcontract or sub-award entered into by the Contract Party, as permitted by the<br />
Agreement, the Contract Party shall ensure the inclusion of all the provisions contained in paragraphs<br />
(A) through (L) above.<br />
