G. Definition of “To Our Knowledge”<br />
(G) In the confirmation in <strong>Opinion</strong> Paragraph 10 [and specify<br />
any other paragraphs where the phrase is used], the phrase<br />
“to our knowledge” means the conscious awareness of facts,<br />
without investigation, by any of the lawyers currently with this<br />
firm who have given substantive attention to legal representation<br />
of the Company in connection with matters relating directly to the<br />
Transaction [, including the partner in this firm who is the current<br />
primary contact for the Company].<br />
Note: See the discussion under “Actual Knowledge” in note (b) to<br />
section B, p. 92, above. The “to our knowledge” limitation deals<br />
with facts, and should not be used with respect to matters of law.<br />
The phrases “to our knowledge” and “without investigation” both<br />
indicate a reduced level of inquiry by the <strong>Opinion</strong> Preparers in<br />
making the investigation that establishes the factual basis for an<br />
<strong>Opinion</strong>. The Legal <strong>Opinion</strong> Committee does not concur in the position<br />
espoused in Tri<strong>Bar</strong> Report section 2.6.1, that the phrase “to<br />
our knowledge” does not indicate a limitation on the <strong>Opinion</strong><br />
Giver’s investigation.<br />
H. Implications from <strong>Opinion</strong>; Assumptions and<br />
Qualifications; Updating<br />
(H) The opinions in this letter are limited to the matters set<br />
forth herein; no <strong>Opinion</strong> may be inferred or implied beyond the<br />
matters expressly stated in this letter; and the opinions must be<br />
read in conjunction with the assumptions, limitations, exceptions<br />
and qualifications set forth in this letter. We assume no obligation<br />
to update this opinion to advise you of any changes in facts or<br />
laws subsequent to the date hereof.<br />
I. Restrictions on Use of <strong>Opinion</strong> <strong>Letter</strong><br />
Note: It is important that the <strong>Opinion</strong> <strong>Letter</strong> should provide that<br />
only the <strong>Opinion</strong> Recipient is entitled to rely upon or to assert any<br />
legal rights based upon the <strong>Opinion</strong> <strong>Letter</strong>; however, such restriction<br />
may not prevent the assertion of rights by others than the addressee<br />
in some circumstances. See the note to (I)(3), below.<br />
