In the opinion of the Directors of Sydney Ports Corporation:
1. Pursuant to section 41C (1B) and (1C) of the Public Finance and Audit Act 1983, the accompanying financial statements
and notes:
(a) exhibit a true and fair view of the financial position of the Corporation at 30 June 2012 and of its performance, as
represented by the results of its operations and its cash flows for the year ended on that date.
(b) comply with applicable Australian Accounting Standards and Australian Accounting Interpretations, other
mandatory and statutory reporting requirements including the Public Finance and Audit Act 1983, the Public Finance
and Audit Regulation 2010 and the State Owned Corporations Act 1989.
2. There are reasonable grounds to believe that the Corporation will be able to pay its debts as and when they become
due and payable; and
3. Pursuant to Clause 7 of the Public Finance and Audit Regulation 2010, we are not aware of any circumstances at the date
of this declaration that would render any particulars included in the financial statements to be misleading or
inaccurate.
