Remuneration<br />
For the year ended December 31, 2004, the aggregate amount of the direct remuneration paid by us to<br />
members of our board of management was EUR 1.516 million, to members of our supervisory board EUR 0.155<br />
million and to members of the Advisory Board and its committees (including travel expenses) EUR 0.138<br />
million. In 2004, the aggregate amount of remuneration paid to retired members of our board of management and<br />
their surviving dependents was EUR 0.914 million. Provisions amounting to EUR 11.198 million were set-aside<br />
in 2004 to cover pension liabilities in respect of retired members of our board of management. See also the notes<br />
to our financial statements included in this prospectus.<br />
EMPLOYEES<br />
During 2004, the average number of employees employed by us was 1,107 persons (including part-time<br />
employees and excluding trainees, staff gaining work experience, cleaning and temporary staff). See also the<br />
notes to our financial statements included in this prospectus.<br />
Our employee-related expenses, including salaries and wages, pension contributions and other employee<br />
benefits, amounted to EUR 79.4 million in 2004. We provide various employee benefits, including a noncontributory<br />
pension (supplemental to the statutory pension). Most of our employees are covered by collective<br />
bargaining agreements negotiated with the union VER.DI.<br />
