2.1. / <strong>PKN</strong> ORLEN ON THE CAPITAL<br />
MARKET<br />
<strong>PKN</strong> ORLEN SA shares are listed on the Warsaw Stock<br />
Exchange and in the form of Global Depository Receipts<br />
(GDRs) on the London Stock Exchange. Trading in depository<br />
receipts also takes place in the USA on the OTC market.<br />
The shares of <strong>PKN</strong> ORLEN were first listed in November<br />
1999. The Bank of New York Mellon is the depository<br />
of the Company’s depository receipts. The transaction unit<br />
on the London Stock Exchange is 1 GDR, which equals<br />
to two shares of the Company.<br />
The Company share capital amounts to PLN 534,636,326.25<br />
and is divided into 427,709,061 ordinary bearer shares<br />
with a par value of PLN 1.25 per share.<br />
The Company shares are listed on the official market<br />
at the Warsaw Stock Exchange in the continuous trading<br />
system and are included among the largest company<br />
indexes: WIG20 and WIG, and WIG-fuel index. Since<br />
19 November 2009, <strong>PKN</strong> ORLEN shares have been<br />
included in the RESPECT Index, an index of companies<br />
involved in corporate social <strong>responsibility</strong>.<br />
Respect Rating is the initiative of the capital market targeted<br />
at promotion of highest standards of responsible<br />
management. <strong>PKN</strong> ORLEN received one of the highest<br />
marks in the rating of socially responsible companies and<br />
as a result was included in the stock exchange index<br />
established in November 2009 – the RESPECT Index.<br />
As a result of rating and audit carried out by Deloitte each<br />
audited company was assigned a rating note. Companies<br />
that received the highest rating notes in the research<br />
were qualified to join the index. From about 120 audited<br />
companies listed on the WSE only 16 received „A”<br />
rating note and were admitted to the index. <strong>PKN</strong> ORLEN<br />
is one of the five companies from the WIG20 index which<br />
received such a high note.<br />
RESPECT Index is the first Polish index of companies engaged<br />
in corporate social <strong>responsibility</strong>. The aim of the index<br />
publication is to promote the highest standards of responsible<br />
management. Composition of the group of companies<br />
listed on the index was decided on the basis of extensive<br />
research of many areas of their business. The companies<br />
were audited from the perspective of activities towards<br />
sustainable development, application of corporate governance<br />
principles, communication on the financial market,<br />
management, payment of liabilities, treatment of employees<br />
and customers, as well as social and environmental activities.<br />
Questions and criteria of assessment were based<br />
on the international standard – Global Reporting Initiative.<br />
The audit will be carried out annually as part of annual<br />
update of the RESPECT Index composition.<br />
Participation of <strong>PKN</strong> ORLEN in the index motivates<br />
the Company to take still greater efforts towards recognizing<br />
and satisfying the requirements of shareholders<br />
and other social groups related to the company. The Company<br />
will take all efforts to enable <strong>PKN</strong> ORLEN to remain<br />
on the index in the years to come.<br />
