Any time prior to the Funds First Day of Investment, either party fails to perform in accordance with this agreement or is in breach of its representations and warranties given herein, thus causing the Fund to be unable to use the Initial Investment Property pursuant to the objectives of this agreement 2. The parties have agreed in writing to terminate the agreement 3. The Fund is unable to register the transfer of ownership within 30 business days of the Funds registration of its asset pool as a mutual fund 4. The following agreements are terminated: 4.1 the sale and purchase agreement for the furniture, fixtures and equipment of Glow Trinity Silom Building and Glow Trinity Silom Arcade, between Trinity Property Fund and Trinity Assets Co., Ltd.; and/or Information Memorandum of Trinity Property Fund 14
4.2 the agreement to purchase and sell Plaza building and related fixtures and equipments, between Trinity Property Fund and Trinity Assets Co., Ltd. Taxes and expenses Penalty fee 1. Expenses related to the transfer of ownership The Purchaser agrees to be responsible for the fees for registering the rights and the transfer of the Initial Investment Property. The Seller agrees to be responsible for taxes and duties, fees, and expenses incurred, for instance corporate income tax, withholding corporate income tax on the Sellers income from sale of property, specific business tax, or stamp duty 2. Expenses incurred as from the Funds First Day of Investment The Fund is required to pay building and land taxes, local administration tax, specific business tax, signboard tax, other taxes, or any fee possibly charged by governmental authorities as a result of or in connection with the use of the Initial Investment Property as from the Funds First Day of Investment In case the Seller has paid on the Funds behalf building and land taxes, local administration tax, specific business tax, signboard tax, other taxes, or any fee possibly charged by governmental authorities as a result of or in connection with the Initial Investment Property incurred as from the Funds First Day of Investment, the Fund agrees to fully reimburse the Seller for such building and land taxes, local administration tax, signboard tax, other taxes, or any such fee in proportion to the remaining effective period of such tax or fee within 30 days of the Sellers written notification to the Fund In the event that either party defaults on any payment payable by it under the agreement to purchase and sell, the other party is entitled to demand a penalty fee at the annual rate of 7.5 percent of such outstanding amount until full payment is made Information Memorandum of Trinity Property Fund 15
