Corporate Governance<br />
The application in <strong>2004</strong> of the <strong>Solvay</strong>’s Group’s “Corporate<br />
Governance” rules is the subject of a separate document, enclosed<br />
with this Annual Report.<br />
These rules are those established by the Banking, Finance and<br />
Insurance Commission, Euronext and the Federation of Enterprises<br />
in Belgium, which <strong>Solvay</strong> has supplemented and at times reinforced<br />
in <strong>2004</strong> in line with the work of the Belgian Corporate Governance<br />
Commission, which led to the publication of the “Lippens Code”<br />
in December <strong>2004</strong>.<br />
The “Lippens Code” comes into full force on January 1, 2006,<br />
for the 2005 financial year. The current report therefore represents<br />
one stage in the application of the Code’s recommendations.<br />
In 2005 the <strong>Solvay</strong> SA Board of Directors will examine what<br />
measures it needs to take in order to comply in full with<br />
the requirements of the Code, in accordance with the “apply or<br />
explain” principle.
