Corporate Governance
The application in 2004 of the Solvay’s Group’s “Corporate
Governance” rules is the subject of a separate document, enclosed
with this Annual Report.
These rules are those established by the Banking, Finance and
Insurance Commission, Euronext and the Federation of Enterprises
in Belgium, which Solvay has supplemented and at times reinforced
in 2004 in line with the work of the Belgian Corporate Governance
Commission, which led to the publication of the “Lippens Code”
in December 2004.
The “Lippens Code” comes into full force on January 1, 2006,
for the 2005 financial year. The current report therefore represents
one stage in the application of the Code’s recommendations.
In 2005 the Solvay SA Board of Directors will examine what
measures it needs to take in order to comply in full with
the requirements of the Code, in accordance with the “apply or
explain” principle.
