1) Sealed Applications, addressed to The General Manager (HGE&ISE) ,Chairman<br />

KBE Vendor Evaluation Committee, are invited as per the terms and conditions<br />

for empanelment of organizations for work defined in the attached document<br />

no. KVE/CAD/0513/001. Authorized Signatory should authenticate all<br />

documents.<br />

2) Eligibility/Non-Eligibility of Vendors for empanelment and categorization of the<br />

empanelled vendors into Category “A” or Category “B” will be based on their<br />

scores arrived at by evaluation of their applications through Qualifying Criteria<br />

defined in the attached document no KVE/QC/0513/002. This document is<br />

furnished for information only, of vendor and not to be filled by vendor.<br />

Vendors must inform themselves fully. Bidders’ queries if any, may be sent to :<br />

SPECIFICATION FOR EMPANELMENT OF VENDORS FOR 3D-MODELING<br />

BHARAT HEAVY ELECTRICALS LTD is the largest engineering and manufacturing enterprise in<br />

India in energy related infrastructure sector today. <strong>BHEL</strong> was established 57 years ago when its first<br />

plant was set up in <strong>Bhopal</strong>. <strong>BHEL</strong> has 15 manufacturing divisions, 4 power sector regional centers, 8<br />

service centers, 18 regional offices and a large number of Project Sites spread over India and<br />

abroad. Its products span areas like Power Generation, Transmission & Distribution,<br />

Transportation, Oil & Gas and Renewable Energy sectors.<br />

The company has planned to undertake a major initiative in automating its Design & Engineering<br />

functions and also changeover from 2-D to 3-D platform and integrate its design & drawing<br />

practices from Concept to Manufacturing.<br />

There are nearly 60 product groups identified for design automation projects. These projects will<br />

be taken up in a phased manner by the respective units. A significant step in the direction of<br />

achieving above objective is moving all the products to 3D platform, which <strong>BHEL</strong> plans to<br />

accomplish to a larger extent within one year, through outsourcing the 3D modeling activities..<br />

The no. of 3D models may exceed Fifty thousand numbers with varying degrees of complexities<br />

from simple operations like Extrusion & Revolution to complex operations like Advanced Free form<br />

Surfacing ,Variable Section Sweep, Advanced Filleting, Advanced Rounds etc.<br />

The total estimated value of work to be outsourced is Rs.50<br />

Crores (approx.) comprising of varying<br />

complexities of products across organization, in a time frame of 2 years.<br />

In order to achieve this objective, <strong>BHEL</strong> plans to empanel 3D CAD development vendors engaged<br />

in the areas of Engineering services, for the broad scope of work mentioned below, subject to their<br />

fulfilling requirements listed, thereafter:<br />

1. SCOPE OF WORK<br />

Vendor to note broad scope of work, which this empanelment is intended for, mentioned<br />

under Annexure-III. Vendor to convey acceptance to all the major terms & conditions<br />

listed under Annexure-III, which would form part of tender for 3D modeling work. Vendor<br />

to clearly bring out in their proposal, the non-conformance to any clause listed, therein.<br />

<strong>BHEL</strong> reserves the right to reject the proposal in case of non-conformance/partial<br />

conformance/conditional conformance to any of the clauses stated under Annexure-III. If<br />

non-acceptance to any clause is not clearly brought out by vendor, it will be deemed that<br />

all clauses listed under Annexure-III, are acceptable to vendor.<br />

2. NATURE OF ORGANISATION<br />

The Vendor should either be a fully operational (i) Engineering Services Organization, or<br />

(ii) Engineering Services Division of a Software Organization, or<br />

(iii) An Engineering Services Division of a Manufacturing Organization using CAD tools,<br />

fully devoted to such services outside their own organization, or<br />

(iv) 3D modeling software OEMs/Principals (or their wholly owned subsidiaries/authorized<br />

partners in India).<br />

Vendor should not be a direct or indirect partner/subsidiary/affiliates /affiliates of any nature, to<br />

<strong>BHEL</strong>’s competitors or have direct or indirect business interest in <strong>BHEL</strong>’s product profile.<br />

3. EXPERIENCE<br />

Vendors must be in existence for engineering services, preferably, for about 3 years as a<br />

separate entity or as a part of a larger organization, up to the date of final bid submission.<br />

The vendor should have at least 3 years’ experience in the areas of CAD using platforms<br />

NX/ Pro-E/ Inventor / SOLIDWORKS.<br />

4. REGISTERED OFFICE<br />

The organization must be registered in India and should have its India operations carried<br />

out from India at least for 5 years up to the date of submission of application.<br />

5. PLACE OF WORK<br />

All projects would have to be taken up only at the respective <strong>BHEL</strong> units/centers (ON SITE)<br />

and no offsite work is envisaged. Major units/centers are located at <strong>Bhopal</strong> (Madya<br />

Pradesh), Jhansi (Uttar Pradesh), Tiruchirappalli (Tamilnadu), Ranipet (Tamilnadu),<br />

Haridwar (Uttarankhand), RC Puram, Hyderabad & Corp. R&D, Hyderabad (Andhra<br />

Pradesh), ARP (New Delhi), PEM (Noida) and Bangalore (Karnataka). Other units/centers<br />

are located throughout India.<br />

6. SKILL SET& COMPETENCY REQUIREMENTS<br />

The projects essentially require skills in the area mentioned hereunder at Sl. No. A while<br />

skills in the areas mentioned at Sl. No. B&C are preferably required. The vendors should<br />

provide information regarding their competence in the below listed and other areas<br />

related to development in 3D CAD, along with experience in ANNEXURE-I:<br />

A) 3D Solid Modeling.<br />

B) Rule based design, API programming capability for 3D Modeling, 2D Drawing<br />

generation, BOM Generation, Engg. reports etc.<br />

C) Project Management<br />

As each project involves different technical expertise, a team of adequate size of<br />

engineers is essential.<br />

Typical team structure of a <strong>BHEL</strong> project:<br />

a. Project Manager<br />

b. Project lead – Technical<br />

c. Designers for modeling, drafting etc.<br />

The above requirements are typical for a project and may change on case to case basis<br />

depending on project requirement and vendor must be ready to add required composition<br />

of skill sets to avoid any VTC/disputes etc. ,later<br />

COMPETENCY<br />

A) Personnel deputed for <strong>BHEL</strong> assignment should preferably, have a minimum of 3<br />

years’ experience in CAD/ and should have attended structured training in<br />

relevant areas/modules of the software (NX/ Pro-E/ Inventor / SOLIDWORKS).<br />

B) The Project Manager assigned for the project should have a minimum of 2<br />

Projects experience as Project Manager in similar domain. Project Manager needs<br />

to have at least 5 years of experience in the industry in similar domain.<br />

C) The Technical Lead deputed for project should have executed at least 1 project as<br />

Technical lead in similar domain (3D modeling) and at least 3 years of experience<br />

in industry.<br />

The vendor shall provide supporting documentary proof for the experience and training<br />

details of its personnel, in their proposals.<br />

7. SOFTWARE & HARDWARE<br />

Vendor must use only authorized software licenses (for commercial applications) required<br />

for successful completion of the project as per terms & conditions agreed at the time of<br />

order against specific tender(s). All softwares to be deployed for <strong>BHEL</strong> work shall have<br />

Annual Technical Support(ATS)/Annual Maintenance Contract of the OEMs , valid for full<br />

<strong>BHEL</strong> contract period.<br />

Vendor shall make available necessary hardware like PCs, Workstations etc for on-site<br />

execution of contract, with required ATS/AMS valid for <strong>BHEL</strong> contract period. After<br />

completion of the project, it will be at the discretion of <strong>BHEL</strong> unit to either retain the<br />

memory Hard disc or format the disc.<br />

In specific cases where software &hardware is available with <strong>BHEL</strong> unit, <strong>BHEL</strong> unit might<br />

require the vendor to quote for both the variants i.e., with Hardware/software & without<br />

Hardware/Software, in RFP for 3D modeling work.<br />

All information, drawings, documents & data shared by <strong>BHEL</strong> , if any, with the vendor<br />

including all deliverables shall be proprietary to <strong>BHEL</strong> and the vendors shall be governed<br />

by <strong>BHEL</strong>’s Non-Disclosure Agreement (NDA).<br />

8. 3D MODELING QUALITY ACCEPTANCE<br />

Vendors to confirm compliance to “3D Modeling quality acceptance criteria” listed under<br />

ANNEXURE-II. Vendors to convey their acceptance or clearly spell out their<br />

comments/observations on the listed criteria, as part of the bid queries . <strong>BHEL</strong> clarification<br />

shall be binding on the vendors. Any deviation taken by vendor shall lead to rejection of<br />

their bid.<br />

9. SUB-CONTRACTING<br />

No sub-contracting of work will be allowed to the vendor for any of the activities<br />

envisaged under respective <strong>BHEL</strong> Projects.<br />

10. IP OWNERSHIP<br />

<strong>BHEL</strong> shall have total ownership of the Intellectual property generated during the project<br />

execution using the proprietary material or information of <strong>BHEL</strong>. Transmittal,<br />

reproduction, dissemination and/or editing<br />

as well as utilization of its contents and<br />

communication thereof without explicit<br />

it authorization of <strong>BHEL</strong> would be prohibited.<br />

11. AGREEMENT OF CONFIDENTIALITY<br />

It is recognized that in course of performing the services, vendor may have access to<br />

confidential information and trade secrets belonging to <strong>BHEL</strong>. It is therefore desired that<br />

such confidential information and trade secrets are protected. A suitable “agreement of<br />

confidentiality” will be executed with the vendor before execution of the project by the<br />

concerned <strong>BHEL</strong> unit. Every member of vendor’s project team will have to execute Non-<br />

Disclosure Agreements as required by <strong>BHEL</strong>.<br />

12. VALIDITY OF EMPANELMENT<br />

The validity of empanelled vendors shall be 3 years (maximum), from the date of<br />

empanelment. However, performance of empanelled vendors shall be reviewed every year<br />

from the date of empanelment & non-performance, as decided by <strong>BHEL</strong>, may lead to<br />

termination of empanelment including forfeiture of Security Deposit/EMD & Encashment<br />

of Bank Guarantees etc.<br />

13. REVOCATION OF EMPANELMENT<br />

<strong>BHEL</strong> reserves the right to revoke the empanelment and also forfeit SD/EMD or encash BG<br />

(as applicable) at any point of time during validity period, in the event of: a) the<br />

performance of vendor , reportedly, not to the expected level or, (b) Vendor is found to be<br />

breaching the agreed terms and conditions laid down for empanelment or for execution of<br />

contract ,(c) Information furnished to qualify for empanelment is found untrue at any later<br />

stage.<br />

14. PENALTY<br />

<strong>BHEL</strong> reserves the right to penalize the vendor to the extents mentioned against the<br />

following listed reasons for penalizing:<br />

(i) Delay in execution of contract beyond agreed time of completion due to the reasons<br />

attributable to the vendor: 10% of contract value, maximum<br />

(ii) Deviation from Organogram committed for execution of contract, in terms of<br />

deployment of less number &less qualified/experienced engineers : 5% of contract<br />

value, maximum<br />

(iii) Quality of work during execution of contract, not meeting quality acceptance criteria<br />

laid down in Annexure-II: 10% of contract value, maximum<br />

However, overall limit of maximum penalty shall be 10% of contract value.<br />

15. PROCEDURE TO BE FOLLOWED<br />

All interested Vendors who fulfill above requirements , shall furnish information as per<br />

formats annexed hereunder . Documentary evidence (wherever asked for) also to be<br />

furnished by the vendor. All pages to be duly ink-signed with company seal affixed<br />

thereon. Incomplete applications and applications not supported by documents are liable<br />

to be rejected.<br />

All applications will be evaluated for Eligibility/Non-eligibility for empanelment<br />

and the category assignment of empanelled vendors into Category “A” or Category<br />

“B”, through the Qualifying Criteria & Category Assignment document, by <strong>BHEL</strong> .<br />

The same is attached as doc. No. KVE/QC/0513/002 , for information only, of<br />

Vendor.<br />

<strong>BHEL</strong>'s decision in this regard shall be final and binding. Applications complete in all<br />

respect must reach the address mentioned in the cover note, on or before the due date.<br />

Typical Terms and Conditions for execution of 3D-Modeling Projects at <strong>BHEL</strong> Units<br />

1.0 Scope of work<br />

Annexure-III<br />

“Development of 3D models of Parts/Sub-Assembles/Product Assemblies<br />

along with generation of user-specified 2D views, including extraction of<br />

all driving parameters of 3D models/assemblies to a user-specified<br />

platform.”<br />

2.0 Terms & Conditions<br />

2.1 Offer shall be in two-part bid.<br />

2.2 The technical proposal shall cover, but not be limited to, the following:<br />

(b) Clear understanding of complete scope of work and deliverables with respect<br />

to product information and automation requirements given.<br />

(c) Development methodology and all software programs / packages required to<br />

be used for the development of the software module.<br />

(d) Proposed work schedule with duration so that total duration of the project<br />

does not exceed specified delivery period.<br />

(e) Clear understanding of the working modalities. Bidders should indicate the<br />

computer systems and manpower proposed to be deployed at <strong>BHEL</strong> for this<br />

project.<br />

(f) Time based technical inputs from <strong>BHEL</strong> team, if any, during the project<br />

execution are to be stated by bidders as part of their offer & same are subject<br />

to <strong>BHEL</strong> acceptance/approval. No financial claims will be admissible on this<br />

account.<br />

2.3 Bidders shall be required to pay Tender fee as well as Earnest Money Deposit ( EMD)<br />

as per extant <strong>BHEL</strong> Policy / Rules .<br />

2.4 Bidders shall have to sign “Non-Disclosure Agreement” as per <strong>BHEL</strong> format.<br />

2.5 In the event of the Bidders merging with or getting acquired by another company, all<br />

obligations & liabilities under the contract shall automatically get transferred to the<br />

acquiring company till the end of the contract period, including the guarantee period<br />

and AMC, if opted for.<br />

2.6 Bidders shall intimate <strong>BHEL</strong> if there is any change in their legal status, within fifteen<br />

days of such change. <strong>BHEL</strong> shall review the implications and take necessary action.<br />

2.7 Bidders are required to comply with the provisions of all existing Acts, Statutes, Rules,<br />

Notifications and Regulations of both Central and State governments as the case may<br />

be. Bidders shall be duly registered in compliance with such Acts, Statutes, Rules, etc.,<br />

before Price Bid opening.<br />

2.8 Should a Bidder or, in the case of a Firm or Company, its Partner(s) / major<br />

Shareholder(s)/ Director(s) have relation(s) employed in <strong>BHEL</strong>, the authority inviting<br />

tender shall be informed of the fact along with the offer. Otherwise, <strong>BHEL</strong> may, at its<br />

sole discretion, reject the tender or cancel the contract at any stage of the contract.<br />

2.9 Any attempt by Bidders to exert influence on <strong>BHEL</strong> during the process of bid<br />

evaluation or award of the contract, would make their bid liable for rejection.<br />

2.10 <strong>BHEL</strong> reserves the right to go for Reverse Auction (RA) instead of opening the<br />

submitted Sealed Price Bids. This will be decided after technical evaluation of offers.<br />

Bidders to confirm their acceptance for participation in reverse auction. In case of<br />

their non-acceptance, <strong>BHEL</strong> will have the option to ignore their offer, which will be<br />

decided later and informed to them before RA.<br />

2.11 Bidders to confirm, in case a project is already being executed at same <strong>BHEL</strong> unit, a<br />

separate team will be deployed including separate Project Manager for current project.<br />

Bidder to specify details of manpower deployed to other on-going projects elsewhere<br />

in <strong>BHEL</strong>. This will be compared with total manpower committed by the bidder during<br />

empanelment. If it is found that inadequate manpower is available with the bidder, for<br />

current project, bidder may not be considered for placement of order.<br />

2.12 The Bidder shall post an adequate number of qualified and experienced personnel to<br />

execute the contract. The list of personnel (With Their Qualifications and Experience<br />

in the related area) proposed to be deployed shall be submitted as part of the<br />

technical proposal, by name and title.<br />

Except as <strong>BHEL</strong> may otherwise agree, no changes shall be made in the key manpower.<br />

If, for any reason beyond the reasonable control of the Bidder, it becomes necessary<br />

to replace any of the key manpower, the Bidder shall provide as a replacement a<br />

person of equivalent or better qualifications and experience, subject to approval of<br />

<strong>BHEL</strong>.<br />

2.13 The complete development work will be carried out on <strong>BHEL</strong> premises at <strong>BHEL</strong>,<br />

….(Location). <strong>BHEL</strong> will only provide necessary work place and the basic infrastructure<br />

for installation of Bidder's computers.<br />

2.14 For development of 3-D Model, the vendor to quote for both variants i.e. with vendor<br />

hardware / with <strong>BHEL</strong> provided Hardware.<br />

2.15 Software (including licenses for development packages) required to carry out the<br />

work shall be arranged by the Bidders.<br />

2.16 All expenses towards logistics and incidentals, including lodging, boarding, travel,<br />

furniture etc., incurred in connection with the execution of this whole contract shall be<br />

borne by the Bidders.<br />

2.17 The entire work covered in this RFP shall be entrusted to a single Bidder.<br />

2.18 The successful Bidder shall pay Security Deposit (SD) at the time of acceptance of the<br />

award of contract based on the total contract price according to pre-decided rates.<br />

EMD of the successful Bidder shall be adjusted against SD.<br />

2.19 SD shall be released on the satisfactory completion of the contract. Any penalties or<br />

dues from the Bidder will be adjusted against the bill or from SD.SD shall be forfeited<br />

if the contract is abandoned by the Bidder during the contract period.SD shall not<br />

bear any interest in any manner whatsoever.<br />

2.20 Intellectual Property Rights<br />

2.20.1 Bidders shall treat all information that is generated in connection with this<br />

assignment as absolutely confidential. All information, analysis, reports and<br />

recommendations, both in the form of hard copy or on electronic media,<br />

will be the property of <strong>BHEL</strong> and is prohibited from being used by the<br />

Bidders for any purpose other than this assignment. All Bidders will be<br />

required to sign non-disclosure agreement with <strong>BHEL</strong>. On award of the<br />

contract, all employees, associates and affiliates of the Bidders assigned to<br />

and working on the development work will be required to sign <strong>BHEL</strong>'s ‘Third<br />

Party Non-Disclosure Agreement’ .<br />

2.20.2 Bidders shall indemnify <strong>BHEL</strong> against any copyright or legal liabilities that<br />

may arise in use of the developed software or the methodology / models /<br />

techniques used by the Bidders in development / implementation of the<br />

software module.<br />

2.20.3 In the event that the services provided by Bidders in connection with<br />

software programs and related documentation supplied to <strong>BHEL</strong> in relation<br />

to which rights may be owned by third parties, Bidders shall warrant and<br />

represent that:<br />

• <strong>BHEL</strong> has all necessary permissions, express or otherwise, to enable<br />

the software programs and documentation to be copied or<br />

otherwise used by Bidders during the course of the services without<br />

infringing any third party copyright, patent or trade secret;<br />

• In providing the services Bidders shall not be infringing upon the<br />

intellectual property rights of any third parties;<br />

• The disclosures or use of the software programs and documentation<br />

during the course of services shall not involve the breach of any<br />

confidential or contractual relationship.<br />

2.20.4 All source code as well as other deliverables generated under this work shall<br />

become the sole property of <strong>BHEL</strong>.<br />

2.21 Completion of Contract<br />

2.21.1 The Bidder shall complete the entire scope of work within a period of XX<br />

months from the date of award of contract in strict adherence to the time<br />

schedule prescribed during award of the contract. Bidder to Submit a<br />

detailed Project plan with the technical offer.<br />

2.21.2 The Bidder shall use all reasonable care and skill in providing the services<br />

and shall be responsible for the quality of workmanship and accuracy of the<br />

deliverables to the satisfaction of <strong>BHEL</strong>. Bidder shall implement in-house<br />

quality control and shall carry out 100% quality checks prior to submitting<br />

to <strong>BHEL</strong> for acceptance.<br />

2.21.3 Bidders to hand over entire source code, models and all associated<br />

documents developed for the project of <strong>BHEL</strong> in soft as well hard copy (if<br />

applicable).<br />

2.21.4 The Contract shall be considered successfully completed upon acceptance<br />

by the <strong>BHEL</strong> Project Leader of deliverables as specified in the contract. The<br />

<strong>BHEL</strong> Project Leader shall effect the sign-off along with the Bidder for<br />

closing the contract.<br />

2.21.5 Bidders shall adhere to the material movement and security procedures of<br />

<strong>BHEL</strong>.<br />

2.21.6 Bidders shall not utilize services and/or infrastructure/facilities of of <strong>BHEL</strong> &<br />

its employees for carrying out contract jobs in any manner whatsoever. In<br />

case of any breach of this condition, the contract shall be terminated<br />

forthwith without any prior notice, or assigning any reason at the sole<br />

discretion of <strong>BHEL</strong>.<br />

2.21.7 The obligation stipulated in this specification can only be suspended in the<br />

case of any particular item of work, in the event of Force Majeure or as the<br />

result of an agreement between the parties. In the event of Force Majeure,<br />

neither of the parties may be considered in default of its obligations under<br />

the terms of this tender.<br />

Force Majeure is hereby defined as any cause which is beyond the control of<br />

the Bidder or <strong>BHEL</strong>, as the case may be, which they could not foresee or with<br />

a reasonable amount of diligence could not have foreseen and which<br />

substantially affect the performance of the contract, such as:<br />

• Natural phenomena including, but not limited to, floods, droughts,<br />

earthquakes and epidemics;<br />

• Acts of any government, domestic or foreign, including, but not limited<br />

to, war, declared or undeclared, priorities, quarantines, embargoes;<br />

provided either party shall within fifteen (15) days from the occurrence<br />

of such a cause notify the other in writing of such cause.<br />

2.21.8 <strong>BHEL</strong> shall have the right to terminate the contract in full or part/revoke the<br />

empanelment , after due notice and forfeit the Security Deposit and recover<br />

the loss sustained in getting the balance work done through other agencies<br />

in addition to liquidated damages/ penalty in the event of:<br />

• Bidder's continued poor progress.<br />

• Withdrawal from or abandonment of the work before completion of<br />

the work.<br />

• Corrupt act of the Bidder.<br />

• Insolvency of the Bidder.<br />

• Persistent disregard of the instructions of <strong>BHEL</strong>.<br />

• Assignment, transfer, subletting of the contract work without <strong>BHEL</strong>’s<br />

written permission.<br />

• Non-fulfillment of any contractual obligations.<br />

• Violation of paper compliances made during empanelment or any<br />

information furnished during empanelment, found untrue.<br />

2.22 Warranty Period & Annual Maintenance Charges<br />

2.22.1 The deliverables of the work contract shall be warranted for support for a<br />

period of twelve (12) months from its installation and acceptance at <strong>BHEL</strong>.<br />

In case of any errors/bugs observed during the operation of this module<br />

during this period, the Bidder shall render their services without any<br />

additional cost for repair / rectification of the same within the time as<br />

2.23 Terms of Payment<br />

prescribed by <strong>BHEL</strong>. The warranty will start after Final Acceptance<br />

Certificate given by <strong>BHEL</strong>. It will be given after completion of the model<br />

development work.<br />

2.23.1 No Advance Payments will be made.<br />

2.23.2 Payment shall be made after certification issued by <strong>BHEL</strong> Project Leader<br />

regarding the satisfactory completion of scope of work as per the payment<br />

schedule enumerated hereunder. However, lump-sum payment at the<br />

completion of the contract can also be considered if the Bidder so desires.<br />

Mile Stone 1 or 3 months , whichever is later- XX% of contract value<br />

2.23.4 If project duration is less than 6 months, a lump-sum payment shall be made<br />

2.24 Penalty Clause<br />

2.24.1 0.5% per week or part thereof, subject to a maximum of 10% of the order<br />

value, shall be levied for the late delivery/ execution of the job due to the<br />

reasons attributable to vendor, as per certification of the <strong>BHEL</strong> Project<br />

Leader.<br />

2.24.2 5 % of contract value, maximum, shall be levied for deviation from<br />

Organogram committed for execution of contract , in terms of deployment<br />

of less number & less qualified/experienced engineers as per certification of<br />

the <strong>BHEL</strong> Project Leader.<br />

2.24.3 10 % of contract value, maximum, shall be levied for Quality of work not<br />

meeting quality acceptance criteria laid down in Annexure-II, during<br />

execution of contract, as per certification of the <strong>BHEL</strong> Project Leader.<br />

2.24.4 Overall ceiling of total penalties to be levied on bidder, shall be 10% of<br />

order value.<br />

2.24.5 The penalty shall be evaluated only at the time of final delivery and not<br />

during the stages of individual milestones, if any.<br />

2.24.6 In case of repeated failures on above accounts, <strong>BHEL</strong> reserves the right to<br />

2.25 Arbitration and Jurisdiction:<br />

penalize the bidder to the extent of cancelling the empanelment of the<br />

bidder , without assigning the reasons thereof.<br />

2.25.1 All disputes or differences arising under, out of or in connection with this contract<br />

shall be referred for arbitration by an Arbitrator to be appointed by an officer,<br />

who is the administrative head of <strong>BHEL</strong>, …..(Location). The Arbitration shall be<br />

conducted and governed in accordance with the provisions of the current version<br />

of Indian Arbitration and Conciliation Act 1996 or rules framed thereunder. The<br />

award of the Arbitrator shall be final and binding on both the parties. The<br />

Arbitrator shall have the power to extend time for arbitration proceedings and<br />

making of the award with the consent of the parties.<br />

2.25.2 All disputes or differences arising out of, under or in connection with this contract<br />

shall be subject to the exclusive jurisdiction of the courts having jurisdiction over<br />

<strong>BHEL</strong>, ….(Location)..<br />

2.25.3 This contract shall be governed in all respects by Indian law.<br />
