NOTICE INVITING TENDER FOR EMPANELMENT OF 3D CAD MODELING
VENDORS
Due on: Dt. 15.05.13

1) Sealed Applications, addressed to The General Manager (HGE&ISE) ,Chairman
KBE Vendor Evaluation Committee, are invited as per the terms and conditions
for empanelment of organizations for work defined in the attached document
no. KVE/CAD/0513/001. Authorized Signatory should authenticate all
documents.
2) Eligibility/Non-Eligibility of Vendors for empanelment and categorization of the
empanelled vendors into Category “A” or Category “B” will be based on their
scores arrived at by evaluation of their applications through Qualifying Criteria
defined in the attached document no KVE/QC/0513/002. This document is
furnished for information only, of vendor and not to be filled by vendor.
Vendors must inform themselves fully. Bidders’ queries if any, may be sent to :

BHEL shall respond within 5 days, wherever relevant, as decided by BHEL,
through clarifications to be put up on the website.

3D CAD VENDORS" , Tender Notice No., Due Date, and Name of firm
submitting offer .
4) Applications must be complete in all respects like furnishing of information,
enclosure of all the necessary certificates, registration numbers etc.
5) Vendor must ensure to submit quotation at following address on or before due
date and time. BHEL does not accept any responsibility for delay in submission.

SPECIFICATION FOR EMPANELMENT OF VENDORS FOR 3D-MODELING
BHARAT HEAVY ELECTRICALS LTD is the largest engineering and manufacturing enterprise in
India in energy related infrastructure sector today. BHEL was established 57 years ago when its first
plant was set up in Bhopal. BHEL has 15 manufacturing divisions, 4 power sector regional centers, 8
service centers, 18 regional offices and a large number of Project Sites spread over India and
abroad. Its products span areas like Power Generation, Transmission & Distribution,
Transportation, Oil & Gas and Renewable Energy sectors.
The company has planned to undertake a major initiative in automating its Design & Engineering
functions and also changeover from 2-D to 3-D platform and integrate its design & drawing
practices from Concept to Manufacturing.
There are nearly 60 product groups identified for design automation projects. These projects will
be taken up in a phased manner by the respective units. A significant step in the direction of
achieving above objective is moving all the products to 3D platform, which BHEL plans to
accomplish to a larger extent within one year, through outsourcing the 3D modeling activities..
The no. of 3D models may exceed Fifty thousand numbers with varying degrees of complexities
from simple operations like Extrusion & Revolution to complex operations like Advanced Free form
Surfacing ,Variable Section Sweep, Advanced Filleting, Advanced Rounds etc.
The total estimated value of work to be outsourced is Rs.50
Crores (approx.) comprising of varying
complexities of products across organization, in a time frame of 2 years.
In order to achieve this objective, BHEL plans to empanel 3D CAD development vendors engaged
in the areas of Engineering services, for the broad scope of work mentioned below, subject to their
fulfilling requirements listed, thereafter:
1. SCOPE OF WORK
Vendor to note broad scope of work, which this empanelment is intended for, mentioned
under Annexure-III. Vendor to convey acceptance to all the major terms & conditions
listed under Annexure-III, which would form part of tender for 3D modeling work. Vendor
to clearly bring out in their proposal, the non-conformance to any clause listed, therein.
BHEL reserves the right to reject the proposal in case of non-conformance/partial
conformance/conditional conformance to any of the clauses stated under Annexure-III. If
non-acceptance to any clause is not clearly brought out by vendor, it will be deemed that
all clauses listed under Annexure-III, are acceptable to vendor.
2. NATURE OF ORGANISATION
The Vendor should either be a fully operational (i) Engineering Services Organization, or
(ii) Engineering Services Division of a Software Organization, or
(iii) An Engineering Services Division of a Manufacturing Organization using CAD tools,
fully devoted to such services outside their own organization, or
(iv) 3D modeling software OEMs/Principals (or their wholly owned subsidiaries/authorized
partners in India).
Vendor should not be a direct or indirect partner/subsidiary/affiliates /affiliates of any nature, to
BHEL’s competitors or have direct or indirect business interest in BHEL’s product profile.

3. EXPERIENCE
Vendors must be in existence for engineering services, preferably, for about 3 years as a
separate entity or as a part of a larger organization, up to the date of final bid submission.
The vendor should have at least 3 years’ experience in the areas of CAD using platforms
NX/ Pro-E/ Inventor / SOLIDWORKS.
4. REGISTERED OFFICE
The organization must be registered in India and should have its India operations carried
out from India at least for 5 years up to the date of submission of application.
5. PLACE OF WORK
All projects would have to be taken up only at the respective BHEL units/centers (ON SITE)
and no offsite work is envisaged. Major units/centers are located at Bhopal (Madya
Pradesh), Jhansi (Uttar Pradesh), Tiruchirappalli (Tamilnadu), Ranipet (Tamilnadu),
Haridwar (Uttarankhand), RC Puram, Hyderabad & Corp. R&D, Hyderabad (Andhra
Pradesh), ARP (New Delhi), PEM (Noida) and Bangalore (Karnataka). Other units/centers
are located throughout India.
6. SKILL SET& COMPETENCY REQUIREMENTS
The projects essentially require skills in the area mentioned hereunder at Sl. No. A while
skills in the areas mentioned at Sl. No. B&C are preferably required. The vendors should
provide information regarding their competence in the below listed and other areas
related to development in 3D CAD, along with experience in ANNEXURE-I:
A) 3D Solid Modeling.
B) Rule based design, API programming capability for 3D Modeling, 2D Drawing
generation, BOM Generation, Engg. reports etc.
C) Project Management
As each project involves different technical expertise, a team of adequate size of
engineers is essential.
Typical team structure of a BHEL project:
a. Project Manager
b. Project lead – Technical
c. Designers for modeling, drafting etc.
The above requirements are typical for a project and may change on case to case basis
depending on project requirement and vendor must be ready to add required composition
of skill sets to avoid any VTC/disputes etc. ,later
COMPETENCY
A) Personnel deputed for BHEL assignment should preferably, have a minimum of 3
years’ experience in CAD/ and should have attended structured training in
relevant areas/modules of the software (NX/ Pro-E/ Inventor / SOLIDWORKS).
B) The Project Manager assigned for the project should have a minimum of 2
Projects experience as Project Manager in similar domain. Project Manager needs
to have at least 5 years of experience in the industry in similar domain.

C) The Technical Lead deputed for project should have executed at least 1 project as
Technical lead in similar domain (3D modeling) and at least 3 years of experience
in industry.
The vendor shall provide supporting documentary proof for the experience and training
details of its personnel, in their proposals.
7. SOFTWARE & HARDWARE
Vendor must use only authorized software licenses (for commercial applications) required
for successful completion of the project as per terms & conditions agreed at the time of
order against specific tender(s). All softwares to be deployed for BHEL work shall have
Annual Technical Support(ATS)/Annual Maintenance Contract of the OEMs , valid for full
BHEL contract period.
Vendor shall make available necessary hardware like PCs, Workstations etc for on-site
execution of contract, with required ATS/AMS valid for BHEL contract period. After
completion of the project, it will be at the discretion of BHEL unit to either retain the
memory Hard disc or format the disc.
In specific cases where software &hardware is available with BHEL unit, BHEL unit might
require the vendor to quote for both the variants i.e., with Hardware/software & without
Hardware/Software, in RFP for 3D modeling work.
All information, drawings, documents & data shared by BHEL , if any, with the vendor
including all deliverables shall be proprietary to BHEL and the vendors shall be governed
by BHEL’s Non-Disclosure Agreement (NDA).
8. 3D MODELING QUALITY ACCEPTANCE
Vendors to confirm compliance to “3D Modeling quality acceptance criteria” listed under
ANNEXURE-II. Vendors to convey their acceptance or clearly spell out their
comments/observations on the listed criteria, as part of the bid queries . BHEL clarification
shall be binding on the vendors. Any deviation taken by vendor shall lead to rejection of
their bid.
9. SUB-CONTRACTING
No sub-contracting of work will be allowed to the vendor for any of the activities
envisaged under respective BHEL Projects.
10. IP OWNERSHIP
BHEL shall have total ownership of the Intellectual property generated during the project
execution using the proprietary material or information of BHEL. Transmittal,
reproduction, dissemination and/or editing
as well as utilization of its contents and
communication thereof without explicit
it authorization of BHEL would be prohibited.
11. AGREEMENT OF CONFIDENTIALITY
It is recognized that in course of performing the services, vendor may have access to
confidential information and trade secrets belonging to BHEL. It is therefore desired that
such confidential information and trade secrets are protected. A suitable “agreement of
confidentiality” will be executed with the vendor before execution of the project by the
concerned BHEL unit. Every member of vendor’s project team will have to execute Non-
Disclosure Agreements as required by BHEL.

12. VALIDITY OF EMPANELMENT
The validity of empanelled vendors shall be 3 years (maximum), from the date of
empanelment. However, performance of empanelled vendors shall be reviewed every year
from the date of empanelment & non-performance, as decided by BHEL, may lead to
termination of empanelment including forfeiture of Security Deposit/EMD & Encashment
of Bank Guarantees etc.
13. REVOCATION OF EMPANELMENT
BHEL reserves the right to revoke the empanelment and also forfeit SD/EMD or encash BG
(as applicable) at any point of time during validity period, in the event of: a) the
performance of vendor , reportedly, not to the expected level or, (b) Vendor is found to be
breaching the agreed terms and conditions laid down for empanelment or for execution of
contract ,(c) Information furnished to qualify for empanelment is found untrue at any later
stage.
14. PENALTY
BHEL reserves the right to penalize the vendor to the extents mentioned against the
following listed reasons for penalizing:
(i) Delay in execution of contract beyond agreed time of completion due to the reasons
attributable to the vendor: 10% of contract value, maximum
(ii) Deviation from Organogram committed for execution of contract, in terms of
deployment of less number &less qualified/experienced engineers : 5% of contract
value, maximum
(iii) Quality of work during execution of contract, not meeting quality acceptance criteria
laid down in Annexure-II: 10% of contract value, maximum
However, overall limit of maximum penalty shall be 10% of contract value.
15. PROCEDURE TO BE FOLLOWED
All interested Vendors who fulfill above requirements , shall furnish information as per
formats annexed hereunder . Documentary evidence (wherever asked for) also to be
furnished by the vendor. All pages to be duly ink-signed with company seal affixed
thereon. Incomplete applications and applications not supported by documents are liable
to be rejected.
All applications will be evaluated for Eligibility/Non-eligibility for empanelment
and the category assignment of empanelled vendors into Category “A” or Category
“B”, through the Qualifying Criteria & Category Assignment document, by BHEL .
The same is attached as doc. No. KVE/QC/0513/002 , for information only, of
Vendor.
BHEL's decision in this regard shall be final and binding. Applications complete in all

3D MODELING QUALITY ACCEPTANCE CRITERIA
The CAD modeling has been classified into two types depending on the type of features used as
below:
• Simple 3D Model -Models which can be created using regular features starting
with constrained sketches.
• Complex 3D Model - Models containing free-form surfaces which cannot be
created using sketch-based modeling.
The basic features that make a 3D CAD model simple or complex have been listed in table-1
below.

Typical Terms and Conditions for execution of 3D-Modeling Projects at BHEL Units
1.0 Scope of work
Annexure-III
“Development of 3D models of Parts/Sub-Assembles/Product Assemblies
along with generation of user-specified 2D views, including extraction of
all driving parameters of 3D models/assemblies to a user-specified
platform.”
2.0 Terms & Conditions
2.1 Offer shall be in two-part bid.
2.2 The technical proposal shall cover, but not be limited to, the following:
(b) Clear understanding of complete scope of work and deliverables with respect
to product information and automation requirements given.
(c) Development methodology and all software programs / packages required to
be used for the development of the software module.
(d) Proposed work schedule with duration so that total duration of the project
does not exceed specified delivery period.
(e) Clear understanding of the working modalities. Bidders should indicate the
computer systems and manpower proposed to be deployed at BHEL for this
project.
(f) Time based technical inputs from BHEL team, if any, during the project
execution are to be stated by bidders as part of their offer & same are subject
to BHEL acceptance/approval. No financial claims will be admissible on this
account.
2.3 Bidders shall be required to pay Tender fee as well as Earnest Money Deposit ( EMD)
as per extant BHEL Policy / Rules .
2.4 Bidders shall have to sign “Non-Disclosure Agreement” as per BHEL format.
2.5 In the event of the Bidders merging with or getting acquired by another company, all
obligations & liabilities under the contract shall automatically get transferred to the
acquiring company till the end of the contract period, including the guarantee period
and AMC, if opted for.
2.6 Bidders shall intimate BHEL if there is any change in their legal status, within fifteen
days of such change. BHEL shall review the implications and take necessary action.
2.7 Bidders are required to comply with the provisions of all existing Acts, Statutes, Rules,
Notifications and Regulations of both Central and State governments as the case may
be. Bidders shall be duly registered in compliance with such Acts, Statutes, Rules, etc.,
before Price Bid opening.
2.8 Should a Bidder or, in the case of a Firm or Company, its Partner(s) / major
Shareholder(s)/ Director(s) have relation(s) employed in BHEL, the authority inviting

tender shall be informed of the fact along with the offer. Otherwise, BHEL may, at its
sole discretion, reject the tender or cancel the contract at any stage of the contract.
2.9 Any attempt by Bidders to exert influence on BHEL during the process of bid
evaluation or award of the contract, would make their bid liable for rejection.
2.10 BHEL reserves the right to go for Reverse Auction (RA) instead of opening the
submitted Sealed Price Bids. This will be decided after technical evaluation of offers.
Bidders to confirm their acceptance for participation in reverse auction. In case of
their non-acceptance, BHEL will have the option to ignore their offer, which will be
decided later and informed to them before RA.
2.11 Bidders to confirm, in case a project is already being executed at same BHEL unit, a
separate team will be deployed including separate Project Manager for current project.
Bidder to specify details of manpower deployed to other on-going projects elsewhere
in BHEL. This will be compared with total manpower committed by the bidder during
empanelment. If it is found that inadequate manpower is available with the bidder, for
current project, bidder may not be considered for placement of order.
2.12 The Bidder shall post an adequate number of qualified and experienced personnel to
execute the contract. The list of personnel (With Their Qualifications and Experience
in the related area) proposed to be deployed shall be submitted as part of the
technical proposal, by name and title.
Except as BHEL may otherwise agree, no changes shall be made in the key manpower.
If, for any reason beyond the reasonable control of the Bidder, it becomes necessary
to replace any of the key manpower, the Bidder shall provide as a replacement a
person of equivalent or better qualifications and experience, subject to approval of
BHEL.
2.13 The complete development work will be carried out on BHEL premises at BHEL,
….(Location). BHEL will only provide necessary work place and the basic infrastructure
for installation of Bidder's computers.
2.14 For development of 3-D Model, the vendor to quote for both variants i.e. with vendor
hardware / with BHEL provided Hardware.
2.15 Software (including licenses for development packages) required to carry out the
work shall be arranged by the Bidders.
2.16 All expenses towards logistics and incidentals, including lodging, boarding, travel,
furniture etc., incurred in connection with the execution of this whole contract shall be
borne by the Bidders.
2.17 The entire work covered in this RFP shall be entrusted to a single Bidder.
2.18 The successful Bidder shall pay Security Deposit (SD) at the time of acceptance of the
award of contract based on the total contract price according to pre-decided rates.
EMD of the successful Bidder shall be adjusted against SD.
2.19 SD shall be released on the satisfactory completion of the contract. Any penalties or
dues from the Bidder will be adjusted against the bill or from SD.SD shall be forfeited
if the contract is abandoned by the Bidder during the contract period.SD shall not
bear any interest in any manner whatsoever.

2.20 Intellectual Property Rights

2.20.1 Bidders shall treat all information that is generated in connection with this
assignment as absolutely confidential. All information, analysis, reports and
recommendations, both in the form of hard copy or on electronic media,
will be the property of BHEL and is prohibited from being used by the
Bidders for any purpose other than this assignment. All Bidders will be
required to sign non-disclosure agreement with BHEL. On award of the
contract, all employees, associates and affiliates of the Bidders assigned to
and working on the development work will be required to sign BHEL's ‘Third
Party Non-Disclosure Agreement’ .
2.20.2 Bidders shall indemnify BHEL against any copyright or legal liabilities that
may arise in use of the developed software or the methodology / models /
techniques used by the Bidders in development / implementation of the
software module.
2.20.3 In the event that the services provided by Bidders in connection with
software programs and related documentation supplied to BHEL in relation
to which rights may be owned by third parties, Bidders shall warrant and
represent that:
• BHEL has all necessary permissions, express or otherwise, to enable
the software programs and documentation to be copied or
otherwise used by Bidders during the course of the services without
infringing any third party copyright, patent or trade secret;
• In providing the services Bidders shall not be infringing upon the
intellectual property rights of any third parties;
• The disclosures or use of the software programs and documentation
during the course of services shall not involve the breach of any
confidential or contractual relationship.
2.20.4 All source code as well as other deliverables generated under this work shall
become the sole property of BHEL.
2.21 Completion of Contract
2.21.1 The Bidder shall complete the entire scope of work within a period of XX
months from the date of award of contract in strict adherence to the time
schedule prescribed during award of the contract. Bidder to Submit a
detailed Project plan with the technical offer.
2.21.2 The Bidder shall use all reasonable care and skill in providing the services
and shall be responsible for the quality of workmanship and accuracy of the
deliverables to the satisfaction of BHEL. Bidder shall implement in-house
quality control and shall carry out 100% quality checks prior to submitting
to BHEL for acceptance.
2.21.3 Bidders to hand over entire source code, models and all associated
documents developed for the project of BHEL in soft as well hard copy (if
applicable).
2.21.4 The Contract shall be considered successfully completed upon acceptance
by the BHEL Project Leader of deliverables as specified in the contract. The
BHEL Project Leader shall effect the sign-off along with the Bidder for

closing the contract.

2.21.5 Bidders shall adhere to the material movement and security procedures of
BHEL.
2.21.6 Bidders shall not utilize services and/or infrastructure/facilities of of BHEL &
its employees for carrying out contract jobs in any manner whatsoever. In
case of any breach of this condition, the contract shall be terminated
forthwith without any prior notice, or assigning any reason at the sole
discretion of BHEL.
2.21.7 The obligation stipulated in this specification can only be suspended in the
case of any particular item of work, in the event of Force Majeure or as the
result of an agreement between the parties. In the event of Force Majeure,
neither of the parties may be considered in default of its obligations under
the terms of this tender.
Force Majeure is hereby defined as any cause which is beyond the control of
the Bidder or BHEL, as the case may be, which they could not foresee or with
a reasonable amount of diligence could not have foreseen and which
substantially affect the performance of the contract, such as:
• Natural phenomena including, but not limited to, floods, droughts,
earthquakes and epidemics;
• Acts of any government, domestic or foreign, including, but not limited
to, war, declared or undeclared, priorities, quarantines, embargoes;
provided either party shall within fifteen (15) days from the occurrence
of such a cause notify the other in writing of such cause.
2.21.8 BHEL shall have the right to terminate the contract in full or part/revoke the
empanelment , after due notice and forfeit the Security Deposit and recover
the loss sustained in getting the balance work done through other agencies
in addition to liquidated damages/ penalty in the event of:
• Bidder's continued poor progress.
• Withdrawal from or abandonment of the work before completion of
the work.
• Corrupt act of the Bidder.
• Insolvency of the Bidder.
• Persistent disregard of the instructions of BHEL.
• Assignment, transfer, subletting of the contract work without BHEL’s
written permission.
• Non-fulfillment of any contractual obligations.
• Violation of paper compliances made during empanelment or any
information furnished during empanelment, found untrue.
2.22 Warranty Period & Annual Maintenance Charges
2.22.1 The deliverables of the work contract shall be warranted for support for a
period of twelve (12) months from its installation and acceptance at BHEL.
In case of any errors/bugs observed during the operation of this module
during this period, the Bidder shall render their services without any
additional cost for repair / rectification of the same within the time as

2.23 Terms of Payment

prescribed by BHEL. The warranty will start after Final Acceptance
Certificate given by BHEL. It will be given after completion of the model
development work.
2.23.1 No Advance Payments will be made.
2.23.2 Payment shall be made after certification issued by BHEL Project Leader
regarding the satisfactory completion of scope of work as per the payment
schedule enumerated hereunder. However, lump-sum payment at the
completion of the contract can also be considered if the Bidder so desires.

2.23.4 If project duration is less than 6 months, a lump-sum payment shall be made

2.24 Penalty Clause
2.24.1 0.5% per week or part thereof, subject to a maximum of 10% of the order
value, shall be levied for the late delivery/ execution of the job due to the
reasons attributable to vendor, as per certification of the BHEL Project
Leader.
2.24.2 5 % of contract value, maximum, shall be levied for deviation from
Organogram committed for execution of contract , in terms of deployment
of less number & less qualified/experienced engineers as per certification of
the BHEL Project Leader.
2.24.3 10 % of contract value, maximum, shall be levied for Quality of work not
meeting quality acceptance criteria laid down in Annexure-II, during
execution of contract, as per certification of the BHEL Project Leader.
2.24.4 Overall ceiling of total penalties to be levied on bidder, shall be 10% of
order value.
2.24.5 The penalty shall be evaluated only at the time of final delivery and not
during the stages of individual milestones, if any.
2.24.6 In case of repeated failures on above accounts, BHEL reserves the right to

2.25 Arbitration and Jurisdiction:

penalize the bidder to the extent of cancelling the empanelment of the
bidder , without assigning the reasons thereof.
2.25.1 All disputes or differences arising under, out of or in connection with this contract
shall be referred for arbitration by an Arbitrator to be appointed by an officer,
who is the administrative head of BHEL, …..(Location). The Arbitration shall be
conducted and governed in accordance with the provisions of the current version
of Indian Arbitration and Conciliation Act 1996 or rules framed thereunder. The
award of the Arbitrator shall be final and binding on both the parties. The
Arbitrator shall have the power to extend time for arbitration proceedings and
making of the award with the consent of the parties.
2.25.2 All disputes or differences arising out of, under or in connection with this contract
shall be subject to the exclusive jurisdiction of the courts having jurisdiction over
BHEL, ….(Location)..
2.25.3 This contract shall be governed in all respects by Indian law.
